Request for Proposals No. R09-9625 Premium Fundraising and Seasonal Card Programs

Amendment No. 1

The RFP #R09-9625 is hereby amended effective as of the date hereof by providing the additional information identified in the bold, numbered questions and corresponding Smithsonian responses below. The issues are generally presented in the order such issues appear in the RFP. Where a question relates to a certain page or section of the RFP, the Smithsonian response may refer to such page or section for clarification and may restate the section and the name of the section.

1. Question: Is SI only considering companies to assign this work or can individuals also apply?

Answer: Please refer to the RFP, Section II.A., which states 'oThe Smithsonian is seeking a direct response, marketing company to develop, promote, and fully execute a 4ft quarter holiday card program (the "Seasonal Card Program") and a year-round premium fundraising program (the

"Premium Fundraising Program") beginning in calendar year 2010 (collectively, the

"Programs")."

2. Question: In Exhibit A, Section 8,I saw a couple references to a'rSchedule C" (which apparently addresses royalty 7os and the minimum guarantee), but I don't believe I received a "Schedule C'o with this document. f ako noticed there were some small blanks on pages 2+3 of Exhibit An regarding marketing channels and acceptable countries for manufacturing, and wondered if you could explain those.

Answer: The exhibits are samples of our contract clauses. The schedule would be provided and the blanks in these clauses would be filled in when we get to the point of entering into a contract with the selected company.

3. Question: It looks like we may be missing Schedule A and B from Exhibit A. Would that be something you have that you are able to email?

Answer: Exhibits A and B provide samples of our contract clauses. The Schedules A and B referenced in Exhibit A refer to the product list and review and approval schedule. These schedules do not exist yet, so you are not missing them. These schedules will be provided when we get to the point of entering into a contract with the selected company.

4. Except as amended herein, all other terms and conditions of RÌ.P #R09-9625 remain unchanged.
