About this file

This is a Questions and Responses document for the Oregon State Treasury (OST) Proxy Services Request for Proposals (RFP) OIC #1058. The RFP seeks a comprehensive proxy voting and governance services provider for the State Treasury's investment portfolio. OST currently maintains custody of assets at State Street Bank and manages approximately 35 accounts encompassing 9,000+ meetings annually, with voting activity covering 9,640 ballots and 102,350 votes cast in the prior year. The voting universe includes Russell 3000, MSCI ACWI, and Emerging Markets investments. OST explicitly requires a full-service solution that integrates research, vote disclosure, and filing support; proposals requiring OST to procure separate third-party solutions will not be considered. Proposers without proprietary research capabilities may utilize third-party proxy policy and research partnerships in conjunction with their own data-driven vote recommendation models, provided the overall service delivery remains integrated and comprehensive.

The incumbent service provider is Glass Lewis, and OST currently operates under a fixed annual fee structure. Electronic proposal submissions are permitted up to 40 pages (equivalent to 20 pages double-sided). The RFP evaluation includes assessment of how registration requirements in Europe and the United States—encompassing RIA registration and broader regulatory compliance obligations across multiple jurisdictions—will impact the proposer's business operations, both positively through enhanced products and services and negatively through required process modifications to maintain eligibility across different regulatory regimes. No specific budget, contract term, or award date information is provided in the questions and responses document.
