About this file
This document is a Questions and Answers (Q&A) #4 addendum for an Invitation to Bid (ITB) issued by the Florida Department of Transportation (FDOT) for 2-GB Broadband Internet Service for the District Five District Office. The solicitation is identified by Advertisement Number DOT-ITB-25-5011-INTS and dated 3/20/2025. The document addresses two specific vendor inquiries regarding contract terms and conditions, specifically focusing on the restrictions around modifying or adding terms to the bid documents and service order forms.
The Q&A clarifies that FDOT will not accept any additional contract terms or conditions from the vendor, whether in bid responses or service order forms. The Department will issue a Purchase Order (PO) based on the lowest responsive bid, using only the Terms and Conditions contained in the Invitation to Bid and referenced documents. Per Special Condition 20, any conditions placed on bid documents by the bidder may result in bid rejection. The document emphasizes that no additional contract terms from the vendor will be signed or attached to the PO, and the terms in the ITB will exclusively govern the agreement.

Questions and Answers #4
ADVERTISEMENT NUMBER: DOT-ITB-25-5011-INTS
DESCRIPTION: 2-GB Broadband Internet Service for the District Five District Office
DATE: 3/20/2025
1. Section 4 of the State of Florida PUR 1001 General Instructions to Respondents referenced as part of the RFP states:
"The Buyer objects to and shall not consider any additional terms or conditions submitted by a respondent, including any appearing in documents attached as part of a respondent’s response. In submitting its response, a respondent agrees that any additional terms or conditions, whether submitted intentionally or inadvertently, shall have no force or effect. Failure to comply with terms and conditions, including those specifying information that must be submitted with a response, shall be grounds for rejecting a response."
Could you clarify whether this provision precludes us from redlining or taking exceptions to any parts of the following:
a) General Contract Conditions PUR 1000 at the link given in section 32.1 page 17 of the RFP;
b) State of Florida PUR 1001 General Instructions to Respondents at the link given in section 32.2 page 17 of the RFP;
c) Purchase Order Terms & Conditions given at the link in section 32.3 page 17 of the RFP; or
d) any other specific sections within the RFP itself.
Specifically, does the above quote mean we are prohibited from proposing modifications or exceptions to any terms outlined in these documents? And if we submit such modifications or exceptions that FDOT could then unilaterally reject the response?
Answer: Per Special Condition 20 of the Invitation to Bid: “No conditions may be applied to any aspect of the ITB by the bidder. Any conditions placed on any aspect of the bid documents by the bidder may result in the bid being rejected as a conditional bid.”
2. Regarding your second sentence in the above quote, (“a respondent agrees that any additional terms or conditions, whether submitted intentionally or inadvertently, shall have no force or effect”), if we are the winning bidder for this RFP, then to initiate service we will ask FDOT to review and sign our standard service order form(s). Such service order forms include and reference specific additional contract terms and conditions. (We can provide advance copies if requested.)
So,
1. Is FDOT saying that it can ignore such additional contract terms and conditions in our service order forms? and
2. Is FDOT maintaining that if we are the winning bidder to provide telecommunication service to FDOT, that the additional contract terms in our service order forms would have no force or effect on
FDOT?
Answer: The Department will issue a Purchase Order (PO) for the services as described in Exhibit “A” Scope of Services to the Vendor that submits the lowest, responsive bid. No additional contract terms and conditions from the Vendor will be signed or attached to the PO. The Terms and Conditions contained in the Invitation to Bid, and any documents attached and/or referenced therein will be the terms of the agreement.
