PART 5

SPECIFIC TASKS

5. SPECIFIC TASKS

5.1. HUSBANDING SUPPORT

5.1.1. DESCRIPTION OF CONTRACTUAL SCOPE. The services to be provided through performance consist of husbanding, management and integration services and consist of the following broad categories: general charter and hire. The Husbanding Service Provider (HSP) contractor, shall provide husbanding, management, and integration services which include, but are not limited to, brows, brow stand, tugs, pilot services, line handler services, fenders, crane services, and forklift services.

5.1.2. Husbanding, management, and integration services are provided by a HSP from a standard list of supplies/services at a Firm-Fixed-Price. Supplies/Services other than ship repair services supporting deployed ships shall be within contractual scope. HSP are required to manage and integrate all services provided through an awarded purchase order, to include services provided by subcontractors, Port Authorities, and Host Nations. Services supporting maritime and land-based activities may be required. HSP shall ensure that ordered supplies/services conform to the general requirements of the contract pursuant to this PWS.

5.1.3. This contract is for support of sovereign vessels of the United States. Many of the usual relationships and practices in commercial ships’ husbanding do not apply. This contract governs the relationship between the United States and the HSP. This contract governs and supersedes any usual commercial practice that conflicts with the terms of the contract. This contract creates an independent contractual relationship between the HSP and the United States. The HSP is the prime contractor to provide the United States all requirements called for in this purchase order. Only the HSP contractor has privity of contract with any other entity, including port authorities that the HSP uses to execute the purchase order. The HSP contractor may inform entities with which it must cooperate to execute a purchase order that it has a contract with the United States to integrate and provide port services to a sovereign vessel of the United States.

A contractor that provides integrated husbanding services, such as the services required by this contract, is sometimes referred to in the commercial ships’ husbanding business as an "agent."

Often “agents" in the commercial husbanding business have the authority to bind their principals, but in some instances the “agents” do not have that authority. The HSP under this contract has no authority to bind the United States. If necessary, only for the purpose of standard port authority documentation requiring the listing of an “agent” for the ship or vessel, the HSP may list itself as an “agent” for obtaining the port services required to execute a task order. In listing itself as an “agent,” however, the HSP must make clear to the port authority the nature of its relationship with the United States, i.e., that it is an independent contractor, with no authority to bind the United States and the HSP remains liable for its actions and the actions of its subcontractors under the contract. An HSP, in preparing its purchase order quote, or in executing a purchase order issued to it, shall promptly bring to the attention of the Contracting

Officer any difficulties that arise from a port authority because of the HSP’s contractual relationship with the United States. The Contracting Officer will determine whether the assistance of the United States is required to resolve the difficulties or resolving them is the responsibility of the HSP. The HSP will keep the Contracting Officer informed of the current status of such difficulties from a port authority. If the difficulties make successful performance impossible, and efforts by the HSP to resolve the difficulties are unsuccessful, through no fault of, or failure to cooperate by, the HSP, then no purchase order will be issued to the HSP, or the purchase order may be cancelled at no cost to the United States, if one has been issued. In any case, the contracting officer may seek to acquire the required services from another HSP or using another acquisition approach.

The HSP does not have the authority to:

a. Exert ultimate control over the acquisition, use, or disposition of United States Government property (real or personal, tangible or intangible), including establishing policies for the collection, control, or disbursement of Federal Funds;

b. Determine, protect, and advance economic, political, territorial, property, or other interests by military or diplomatic action, civil or criminal judicial proceedings, contract management, or otherwise; or

c. Commit or bind the United States, to include requiring the Government to take, or not to take, action by contract, policy, regulation, authorization, order, or otherwise.

The HSP must comply with the established task order procedures for any increases or decreases in the services outlined in the task order award.

5.1.4. In performing this contract, the HSP shall comply with its terms and with laws or regulations of the country where performance occurs to include applicable environmental, safety and health regulations, and shall obtain any insurances, licenses or permits required by these laws or regulations. If there is a difference between the terms of this contract and laws or regulations of the country where performance occurs, the HSP shall promptly notify the United States Government if it believes that it will be unable to fully perform specified tasks or provide specified requirements because of problems, disputes, or complications with the respective country where performance occurs.

5.2.2 DESCRIPTION OF RESPONSIBILITY. The contractor shall conduct all planning assistance and administration support functions as identified in the below specific tasks in a timely and professional manner IAW the Order Form associated with the Port Call. Furthermore, the contractor ensures the coordination for all items contained in the specified tasks will be facilitated and prepared for the crew. The contractor will coordinate with, but not limited to, all required local entities, to include government, military, and civilian organizations in order to achieve the demands of the contract’s specified tasks.

5.2.3. SPECIFIED TASKS:

5.2.3.1 Ship Husbanding Services (Management/Integration Services Anchorage and Pierside)

HSP shall provide husbanding services to ships visiting the ports covered by this contract. Ship Husbanding Services (Management/Integration Services) requires HSP to integrate, manage, and perform all services and provide all supplies necessary to fully comply with the tasks and responsibilities described in this contract unless a task or responsibility is specifically included in a separately priced CLIN herein. HSP’s responsibilities under the Ship Husbanding Services (Management/Integration Services) CLIN start prior to the arrival of the ship and continue after the ship’s departure.

The husbanding fee also requires the HSP to coordinate delivery for supplies and services ordered by the government through other sources for support of the ship during the port visit covered by the purchase order. If such coordination is required, the HSP will be notified by the contracting officer or by the COR. Notification to the HSP will include a brief description of the supplies and/or services in the form of an Order Form associated with the port call for which coordination is required and point of contact information for the vendor from whom the government has ordered the supplies and/or services. When notified of a coordination requirement, the HSP will contact the identified vendor, determine when they intend to make delivery to the ship, and inquire as to whether the vendor anticipates problems accomplishing its delivery. The HSP will report the information it receives back to the contracting officer or COR and consider the information about the expected delivery schedule as it coordinates and accomplishes its other responsibilities under the husbanding purchase order. Should the identified vendor choose not to provide any information to the HSP, the HSP will provide notice to the government official who notified it of the coordination requirement. The HSP has no authority to direct the identified vendors in the performance of their separate orders or contracts nor does the HSP have any responsibility for the quality or timeliness of the performance of these other vendors. To the extent possible, the HSP will cooperate with these other vendors to allow them to fully perform their contracts or orders while the HSP continues to fully perform its other task order responsibilities. Allowance for the HSP's costs for coordination are included as a non-separately priced portion of the husbanding fee that is included in the purchase order that is issued. If the HSP is required to provide coordination, as described above, the husbanding fee will not be upwardly adjusted after contract award because allowance for the possibility of such coordination is included in the price agreed to at the time of contract award.

The Ship Husbanding Services (Management/Integration Services) is based on the First Day and Subsequent Day(s) of the ship visit. Ship Husbanding Services (Management/Integration Services) for LSV type vessels.

Other direct/indirect costs examples: Port or Similar Authority charges (dockage, berthage, wharfage, navigation aids, port entry, and lay-by charges) and Host Nation charges. Port or similar authority charge is a general term covering port dues and specific port tariffs. Specific port tariff are charges applied for the performance of a specific port service. Port dues are charge applied either on ship or on cargo (or both) for the general use of the port, without any service being specified. HSP shall not include any other direct or indirect costs as separate exhibit line items in RTOP proposals.

ENVIRONMENTAL REQUIREMENTS. HSP shall exercise due diligence to prevent, contain, and respond to spills of hazardous material, hazardous substances, hazardous waste, sewage, regulated gas, petroleum, lubrication oil, and other substances regulated by environmental law.

HSP shall maintain spill cleanup equipment and materials at the work site. In the event of a spill, HSP shall take prompt, effective action to stop, contain, curtail, or otherwise limit the amount, duration, and severity of the spill/release, and shall contain and clean up these spills without cost to Government. In the event of any releases of oil, hazardous substances, Bilge water, CHT, chemicals, or gases due to HSP activity; immediately (within 15 minutes) notify the COR. HSP is responsible for verbal and written notifications as required by Navy Instructions. Spill response shall be in accordance with local regulations and at no cost to the Government. If Government assistance is requested or required, HSP shall reimburse Government for such assistance. HSP shall reimburse Government for all costs incurred including sample analysis materials, equipment, labor, and spill waste disposal if Government must initiate its own spill cleanup procedures, for HSP responsible spills, when:

1. HSP has not begun spill cleanup procedure within one hour of spill discovery/occurrence, or

2. If, in Government's judgment, HSP’s spill cleanup is not adequately abating life-threatening situation and/or is a threat to any body of water or environmentally sensitive areas.
