This Scope of Work document pertains to a Request for Qualifications issued by the Massachusetts Department of Higher Education (DHE) seeking qualified independent external auditors or financial consulting firms to provide supplemental financial assessment and advisory support services. The DHE requires these services to support its Financial Assessment and Risk Monitoring (FARM) regulatory compliance activities as defined under 610 CMR 13.00 et seq. The services will be delivered at various intervals throughout the Department's regulatory cycles, with the specific scope including financial analysis, risk assessment, and advisory recommendations to support the DHE's regulatory oversight functions. The RFQ was released on October 14, 2028, with specific response deadlines and submission requirements outlined in the procurement documents.
The engagement is structured as a supplemental advisory services contract with potential for ongoing utilization throughout multiple regulatory cycles. Qualified firms must demonstrate expertise in higher education financial analysis, regulatory compliance assessment, and risk monitoring methodologies. The contract terms, pricing structure, and award specifics are detailed in the accompanying RFQ documentation, with the DHE retaining the authority to select one or multiple vendors based on qualifications, experience, and proposed service delivery approaches. Firms interested in bidding should review all supporting exhibits, addenda, and procurement requirements to ensure full compliance with submission guidelines.

NARRATIVE DESCRIPTION OF HISTORY, BACKGROUND AND SCOPE OF PERFORMANCE UNDER ENGAGEMENT/AMENDMENT (Insert below):
In 2019, a little over a year after the abrupt closure of Mt. Ida College, the Massachusetts State Legislature enacted a law aimed at avoiding the disruptive effects that precipitous campus closures can have on students and other stakeholders. This law was informed by a comprehensive review of the scope of authority and statutory responsibilities of the Board of Higher Education, an assessment of the tools used by practitioners in the higher education industry to assess or forecast financial viability, and an examination of trends in student demographics and enrollments, as well as the projected impacts of those factors on colleges and universities that depend heavily on tuition revenue. The result of this work was to create a new regulatory process that requires the Board of Higher Education (BHE or Board), working by and through its state executive agency, the Department of Higher Education (DHE or Department), to conduct annual financial assessments of all private (independent) institutions of higher education located in the Commonwealth and authorized to grant degrees to determine whether a college or university may be at risk of imminent closure; which, if not managed responsibly, could have significantly disruptive impacts on students, faculty, staff, and the host community.
The Department of Higher Education’s Financial Assessment and Risk Management (FARM) responsibilities are supported in part through a memorandum of understanding with the New England Commission on Higher Education (NECHE) which conducts initial financial screenings for NECHE-accredited institutions. This screening is based on a twelve-factor methodology with key performance indicators in the categories of Enrollment and Market Viability, Cash Sufficiency, Liquidity, and Wealth. The Department uses the same methodology to conduct financial screenings of institutions that are not accredited and screened by NECHE. The Department also uses other financial assessment tools as supplemental indicators of financial health. Institutions that are identified through the screening process are advanced through the subsequent steps in the regulatory process, including risk mitigation planning, risk monitoring, and contingency closure planning. 610 CMR 13.00 et seq. The goal of this work is to ensure that in the event of the closure of an institution, sufficient public notice is provided to admitted and enrolled students, and contingency closure planning is in place to ensure enrolled students have multiple, viable options and pathways to continue their academic programs.
Since the enactment of the Financial Assessment and Risk Monitoring (FARM) law in 2019 (see M.G.L. c. 69, § 31B and implementing regulations 610 CMR 13.00), BHE and DHE have worked to establish and implement policies and procedures to identify institutions “at risk of imminent closure”[footnoteRef:1] and to monitor the financial condition and risk mitigation strategies of those identified institutions as they either work to improve their condition or transition to closure. The fundamental purpose of the law is to help avoid “precipitous” closures – defined as closures initiated with little or no warning (i.e., notice) and no transition planning (i.e., contingency closure planning). Any information submitted to or developed by the Board or Department and its agents in furtherance of the FARM law is confidential and statutorily exempt from the public records law by statute. See M.G.L. c. 69, § 31B(d). More information can be found on the DHE’s website: [1: “Risk of Imminent Closure” is defined in regulation as “[a] determination made by the Commissioner, based on an assessment of an Institution’s financial resources, that the Institution is at risk of being unable to continue operations or substantially fulfill its obligations to enrolled and admitted students for the balance of the current and subsequent academic year, using December 1st as the annual threshold measurement date.” 610 CMR 13.02.
Financial Assessment & Risk Monitoring (FARM) / Strategic Initiatives / Massachusetts Department of Higher Education
The DHE seeks to engage a qualified, independent external auditor or financial consulting firm to provide supplemental financial assessment and advisory support services at various times throughout the Department’s Financial Assessment and Risk Monitoring regulatory cycles, defined in 610 CMR 13.00 et seq.
Such services may include, but are not limited to:
· Reviewing and analyzing the screening and assessment results for specific institutions and providing independent analyses based on available information, including audited financial statements; annual reports on finance and enrollment (ARFE) required by NECHE; contracts; loan documents; real estate appraisals; shared services and/or online program management agreements; and other documentation to confirm underlying assumptions and inform the Department’s determination whether to advance an institution through the regulatory process.
· Reviewing the annual financial screening process and methodologies, including the screening tools used to determine whether an institution advances through the regulatory process, and providing recommendations to the Department to enhance the screening process.
· Reviewing and analyzing institutional risk mitigation plans, including the institution’s supporting documentation, as needed, providing an independent assessment of the feasibility of such plans in addressing an institution’s financial health, mitigating the risks of closure, and informing the Department’s determination whether an institution is “at risk of imminent closure.”
· Reviewing, analyzing and advising the Department on the fiscal and budgetary aspects of an institution’s contingency closure plans to help assess whether the institution has sufficient financial resources, and/or is otherwise maximizing all reasonable options and leveraging all available resources to help support a continuity plan that avoids an abrupt closure, minimizes disruption, and prioritizes the best interest of students, faculty and staff. Such reviews may include site visits to an institution to conduct on-site interviews and reviews of an institution’s financial information and institutional resources.
The external auditor or financial consulting firm will conduct its independent institutional reviews and analyses in parallel with the Department’s internal reviews. The contractor’s analysis will provide an independent basis for evaluating and, as appropriate, corroborating, supplementing, or challenging the Department’s financial analyses, findings, and conclusions. The external assessments are intended to strengthen the rigor, consistency, and objectivity of the FARM review process and to identify financial risks, assumptions, or mitigating factors that may warrant additional consideration by the Department.
In addition, the selected vendor may be engaged to support the Department in assessing and making recommendations on improving internal operational processes related to work under FARM, and developing webinars or training documents for institutional leadership related to institutions’ fiscal, fiduciary, and regulatory FARM obligations.

All costs must be part of authorized price listing under PRF78DESIGNATEDCTR00. COMPENSATION FOR SOW. The MAXIMUM OBLIGATION of the SOW will be determined by the final total listed below as negotiated and approved by the Eligible Entity. The Department estimates additional funding may become available to support this work. This contract will be a rate based contract where the vendor will bill using approved hourly rates. Comment by Kwok, Edith (EOE): @Gutierrez, Juan Carlos (DHE) and @Cole, Matthew (DHE) this part is a little confusing for me. To confirm, we want to pay the vendor via time and materials (hourly rate) not to exceed $200K? I know this is the template, but can we finesse this a bit to make it more clear? Comment by Cole, Matthew (DHE): that is correct. now that i am thinking about it, $200K is all we could identify right now. In truth, we could continue to use this contract if/when A&F provides additional FARM Trust dollars so we will likely want to exceed to maximum obligation. Comment by Kwok, Edith (EOE): @Cole, Matthew (DHE) just added a bit following your addition to add clarity. the following paragraph then invites vendors to propose an alternate methodology for billing if it's more cost effective but it can't be T&M. i followed the phrasing "rate based max ob quotes" like the snippit to follow.
The hourly rates include all related fringe benefit costs and profit as negotiated and identified in the Contractor’s Cost Sheet posted on www.Commbuys.com for this Statewide Contract. In addition, all other direct, clerical, administration, indirect, overhead and incidental costs, such as travel, accommodations, meals, non-deliverable related printing, equipment and supplies are included as part of the blended rate, or as otherwise negotiated and detailed below. Contractors may propose an alternative funding structure that will be more cost effective than the blended hourly rate times the # of Units of service if the engagement can be priced as a performance based or other method that will cap the total costs of the engagement and be less costly than an hourly rate. Time and materials are not authorized under this pricing structure.
For rate based Maximum Obligation Quotes, the Contractor will complete the following table with an estimated Quote for the Project which will be negotiated and finalized if Contractor Selected for engagement.
