About this file

This document is a Prime Contractor and Downstream Entity Non-Disclosure Agreement template for a federal contract opportunity issued by the Portfolio Acquisition Executive Marine Corps (PAE MC) under RFP Number M6785427R5400 for a Multi-Spectral Camouflage Overgarment project.

Part I establishes binding confidentiality obligations for prime contractors receiving access to the Statement of Work (SOW) and Purchase Description (PD), which contain Controlled Unclassified Information (CUI). Prime contractors are strictly prohibited from disclosing these materials to subcontractors, joint venture partners, consultants, or teaming members without prior written approval from the Contracting Officer. Any downstream distribution requires execution of a separate Downstream Entity Non-Disclosure Agreement (Part II) and Government approval before documentation is released. Prime contractors are held vicariously accountable for any unauthorized disclosures by sponsored entities. All materials must be handled in compliance with 32 CFR Part 2002, NIST SP 800-171, DFARS 252.204-7012, and DoD Impact Level 5 (IL5) CUI requirements. Internal access is limited to U.S. citizens or lawful permanent residents with verified clearances and legitimate need-to-know. Digital transmission via unsecured communications, unapproved cloud environments, or personal email accounts is prohibited. Materials are subject to International Traffic in Arms Regulations (ITAR) and Export Administration Regulations (EAR) controls, and foreign nationals cannot access materials without explicit export licenses. Within five business days of non-selection, solicitation cancellation, or Government demand, all materials must be destroyed per NIST SP 800-88 Rev. 1 standards, with a Certificate of Destruction submitted to the Contracting Officer.

Part II applies the same confidentiality requirements to subcontractors, joint venture partners, consultants, and teaming members, with an additional prohibition on lower-tier distribution without individual Contracting Officer approval for each downstream entity. The agreement includes signature blocks for downstream entities, prime contractor verification and sponsorship, and Government Contracting Officer approval determinations. An attached Certificate of Destruction template requires detailed inventories of materials and attestation statements confirming complete destruction or return of all SOW, PD, and derived materials in compliance with federal sanitization standards.
