All questions shall be submitted no later than 12:00 p.m. EST on TBD. The email Subject Line should state Question Submission for RFQ 951700-26-Q-0011. Responses to the questions will be posted by 12:00 p.m. EST on TBD. Offerors shall submit a copy of their written proposals using electronic media in the appropriate MS Word, Excel, and PowerPoint formats. Text shall be presented on 8 ½ x 11-inch paper in Arial or Times New Roman font, no smaller than 12-point pitch (smaller fonts are acceptable for graphics, figures, tables, footnotes, and legends) with 1-inch margins. These documents may be submitted in PDF format if desired. No hard copies will be accepted.

The Government will award a contract to the responsible Offeror whose proposal will be the most advantageous to the Government, price and other factors considered. The Government will select the “best-value” using the factors listed below. The best value is defined as the offer that results in the most advantageous acquisition decision for the Government. This analysis will be performed through an integrated assessment and trade-off analysis between technical (e.g., technical/management approach and past performance) and price factors.

18.2 Evaluation Factors For Award

Evaluation of all offers will be made in accordance with the criteria outlined in this section. The proposals will be evaluated against the Government’s following four (4) factors:

• Factor 1 – Technical Approach

Document Number: 951700-26-Q-0011 Page 7 of 48

• Factor 2 – Similar Experience

• Factor 3 – Past Performance

• Factor 4 – Price Factors 1, 2 and 3 are the Technical Factors. Factor 4 will be evaluated separately and applied in the determination of best value.

Factor 1, Technical Approach, is considered the most important technical factor. Factors 2 and 3 are of equal importance but individually less important than Factor 1.. All Technical Factors when combined are slightly more important than the Price factor.

Offerors are cautioned that an award may not be necessarily made to the lowest price offer. If non-price factors are evaluated as comparatively equal between two or more Offerors, price may become a determining factor.

18.3 Technical Evaluation Factors

Technical Approach An assessment of the proposed technical approach will include an evaluation of the Contractor’s understanding of, approach for, fulfilling the technical requirements, based on the depth, completeness and rationale of Contractor’s proposed labor categories, skill mix and process. Proposed labor categories and skill mix will best meet the Government's requirement.

18.4 Similar Experience and Past Performance Factors

Similar Experience The Government’s intent is to determine whether the Offerors have performed services on contracts consistent in scope and complexity The Contractor shall submit three (3) references for awards of similar experience, size, and scope, performed within the past three (3) years. Additional performance risk considerations may be given for similar experience references focused within the USAGM Remote Monitoring Services and having supported similar projects. The government may also use past performance information obtained from sources other than those provided by the Offeror. Similar experience references shall not exceed 5 (five)total pages and shall include the following:

• Name of contracting activity

• Contract Type

• Contract Work

• Name of Contracting officer, telephone number, and email address

• Name of Government program manager, telephone number and email address

• Contract Number

• Total contract value

• Performance dates

• Task order number (if applicable) Past Performance The Government’s intent is to determine whether the Offerors consistently deliver quality services in a timely manner The contractor shall submit detailed narratives describing relevant Government and/or corporate past performance within the past three (3) years. The narrative must include a description of how the Contractor planned, executed, and assured the quality of its services from start to finish. If three (3) references cannot be provided, the Contractor will receive a neutral past performance score.

Past performance information shall not exceed 5 total pages and shall include the following:

• Name of contracting activity

• Contract Type

• Contract Work

• Name of Contracting officer, telephone number, and email address

• Contract Number

• Total contract value

• Performance dates

• Task order number (if applicable)

18.5 Factor 4: Price

General The price evaluation will include price completeness and accuracy, price realism, price reasonableness, price risk, and total cost to the Government.

Price Realism The Offerors are placed on notice that any proposals that are unrealistic in terms of technical commitment or unrealistically low in cost(s) and/or price will be deemed reflective of an inherent lack of technical competence or indicative of failure to comprehend the complexity and risk of contract requirements, and may be grounds for rejection of the proposal.

Price Reasonableness An evaluation of the Offerors’ price proposals will be made to determine if they are realistic for the work to be performed, reflect a clear understanding of the requirements, and are consistent with the technical proposal. Reasonableness determinations will be made by determining if competition exists, by comparing bid prices with established commercial or GSA price schedules, or by comparing bid prices with the Government estimate.

Price Risk

Document Number: 951700-26-Q-0011 Page 8 of 48

Price risk refers to any aspect of the Offerors’ proposals that could have significant negative cost consequences for the Government.

Proposals will be assessed to identify potential price risk. Where price risk is assessed, it may be described in quantitative terms or used as a best value discriminator.

Price-Related Factor Evaluation The price proposal will be evaluated on the total of the base year price, plus any option periods. The Government will evaluate offers for award purposes by adding the total price for all quantities and services for a solution.

18.6 Best Value Award Determination

USAGM evaluation will be based on best value principles. Accordingly, an award will be made to the responsible and technically acceptable Offeror whose proposal provides the greatest overall value to the Government; price and other factors considered. This best value determination will be accomplished by comparing the value of the differences in the technical factors for competing offers, based on their strengths, weaknesses, and risks, with differences in their price to the Government. In making this comparison, the Government is more concerned with obtaining superior technical and management capabilities than with making an award at the lowest overall cost to the Government. However, the Government will not make an award at a significantly higher overall price to the Government to achieve slightly superior technical skills.

(b) If the solicitation for this contract contained the provision 52.204-7 with its Alternate I, and the Contractor was unable to register prior to award, the Contractor shall be registered in SAM within 30 days after award or before three days prior to submission of the first invoice, whichever occurs first.

(c) The Contractor shall maintain registration in SAM during contract performance and through final payment of any contract, basic agreement, basic ordering agreement, or blanket purchasing agreement. The Contractor is responsible for the currency, accuracy and completeness of the data within SAM, and for any liability resulting from the Government's reliance on inaccurate or incomplete data.

To remain registered in SAM after the initial registration, the Contractor is required to review and update on an annual basis, from the date of initial registration or subsequent updates, its information in SAM to ensure it is current, accurate and complete. Updating information in SAM does not alter the terms and conditions of this contract and is not a substitute for a properly executed contractual document.

(d) (1) (i) If a Contractor has legally changed its business name or "doing business as" name (whichever is shown on the contract), or has transferred the assets used in performing the contract, but has not completed the necessary requirements regarding novation and change-of-name agreements in subpart 42.12, the Contractor shall provide the responsible Contracting Officer a minimum of one business day's written notification of its intention to--

(A) Change the name in SAM;

(B) Comply with the requirements of subpart 42.12 of the FAR; and

(C) Agree in writing to the timeline and procedures specified by the responsible Contracting Officer. The Contractor shall provide with the notification sufficient documentation to support the legally changed name.

(ii) If the Contractor fails to comply with the requirements of paragraph (d)(1)(i) of this clause, or fails to perform the agreement at paragraph (d)(1)(i)(C) of this clause, and, in the absence of a properly executed novation or change-of-name agreement, the SAM information that shows the Contractor to be other than the Contractor indicated in the contract will be considered to be incorrect information within the meaning of the "Suspension of Payment" paragraph of the electronic funds transfer (EFT) clause of this contract.

(2) The Contractor shall not change the name or address for EFT payments or manual payments, as appropriate, in SAM record to reflect an assignee for the purpose of assignment of claims (see FAR subpart 32.8, Assignment of Claims). Assignees shall be separately registered in the SAM. Information provided to the Contractor's SAM record that indicates payments, including those made by EFT, to an ultimate recipient other than that Contractor will be considered to be incorrect information within the meaning of the "Suspension of Payment" paragraph of the EFT clause of this contract.

(3) The Contractor shall ensure that the unique entity identifier is maintained with the entity designated at www.sam.gov for establishment of the unique entity identifier throughout the life of the contract. The Contractor shall communicate any change to the unique entity identifier to the Contracting Officer within 30 days after the change, so an appropriate modification can be issued to update the data on the contract. A change in the unique entity identifier does not necessarily require a novation be accomplished.

(e) Contractors may obtain additional information on registration and annual confirmation requirements at https://www.sam.gov.

(1) The stop-work order results in an increase in the time required for, or in the Contractor's cost properly allocable to, the performance of any part of this contract; and

(2) The Contractor asserts its right to the adjustment within 30 days after the end of the period of work stoppage; provided, that, if the Contracting Officer decides the facts justify the action, the Contracting Officer may receive and act upon the claim submitted at any time before final payment under this contract.
