(d) Comptroller General Examination of Record. (2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

452.204-70 Modification for Contract Closeout (DEVIATION JUL 2022)
Upon contract closeout for contracts utilizing Simplified Acquisition Procedures (SAP) according to
FAR 13:
(a) If unobligated funds in the amount of $1000 or less remain on the contract, the Contracting Officer (CO) shall issue a unilateral modification for deobligation. The contractor will receive a copy of the modification but will not be required to provide a signature. The CO shall immediately proceed with contract closeout upon completion of the period of performance, receipt and acceptance of supplies or services, and final payment.
(b) If unobligated funds of more than $1000 remain on the contract, the CO shall issue a bilateral modification for deobligation. The contractor will receive a copy of the modification and will be required to provide a signature. (The CO may also request a Release of Claims be completed by the contractor, although not required for contract and orders using SAP procedures.) If the bilateral modification and Release of Claims are not returned to the CO within 60 days, the CO shall release the modification as unilateral and proceed with contract closeout upon completion of the period of performance, receipt and acceptance of supplies or services, and final payment.

452.237-74 Key Personnel (FEB 1988)
(a) The Contractor shall assign to this contract the following key personnel: Foreman/Supervisor(s).
(b) During the first ninety (90) days of performance, the Contractor shall make no substitutions of key personnel unless the substitution is necessitated by illness, death, or termination of employment. The Contractor shall notify the Contracting Officer within 15 calendar days after the occurrence of any of these events and provide the information required by paragraph (c) below. After the initial 90-day period, the Contractor shall submit the information required by paragraph (c) to the Contracting Officer at least 15 days prior to making any permanent substitutions.
(c) The Contractor shall provide a detailed explanation of the circumstances necessitating the proposed substitutions, complete resumes for the proposed substitutes, and any additional information requested by the Contracting Officer. Proposed substitutes should have comparable qualifications to those of the persons being replaced. The Contracting Officer will notify the Contractor within 15 calendar days after receipt of all required information of the decision on substitutions. The contract will be modified to reflect any approved changes of key personnel.
INVOICING
Invoices will be created and processed via Invoice Processing Platform (IPP). Invoices will be approved for all work completed, inspected, and accepted by the COR.
Payment – The Contractor will submit a monthly invoice through IPP at the end of each service month.
Payments shall be made through IPP with approval of invoice on a calendar month (30 days) basis in arrears. Upon receipt of Contractor’s IPP invoice, payments will be made 30 calendar days from the acceptance date in accordance with the Prompt Payment Act.
The “Submit Invoice-to” address for USDA Orders is the Department of Treasury’s Invoice Processing Platform (IPP). The Contractor must follow the instructions on how to register and submit invoices via IPP as prescribed on the IPP website. A. Scope of Contract
Furnish all labor, equipment, and supplies necessary to provide snowplowing and associated fallen tree removal from roads and parking areas for the 2023-2024 winter season at the Marcell Experimental Forest (MEF) in the vicinity of 43122 Wilderness Trail, Bovey, MN and as specified above and below. The area to be plowed includes class-five gravel roads, parking areas along roads, turnarounds, and a parking lot.
Except for the heaviest and deepest of snows, a three-quarter ton pickup with a modern plow is adequate for snow plowing. Under the heaviest and deepest of snow accumulation/drifting, heavy equipment may be needed. Infrequent removal of fallen trees typically involves a chain saw without the use of heavy equipment.
The service is to be billed based upon hourly snow plowing, heavy equipment, and tree clearing rates, not a fixed price for each plowing. Vendors are highly encouraged to inspect the area to be plowed before submitting offers. Arrangements to see the area can be made with the Contracting Officer Representative (COR) or Government Technical Monitor (GTM).
B. Performance Requirements
1. Snow Removal from a parking lot, driveways, and roads. Refer to accompanying maps for specific locations (Figures 1-3). The MEF includes two parcels in Balsam Township, Bovey, MN that are separated by about 3 miles. The different areas are referred to and mapped as the South (Figure 2) and North (Figure 3) Units. National Forest Roads are referred to as “Forest Rd”, for example Forest Rd 2143. The roads are located on land of the Chippewa National Forest, Itasca County, and the state of Minnesota.
a. The COR/GTM will request plowing if roads are unfrozen (during late autumn or early winter). Once roads freeze, the area to be plowed must be finished within 12 hours after each
Page: 2 end of snowfall of 3” or more (or 3” or more of cumulative snowfalls). If snow falls on Friday or a weekend, the snow should be cleared for access by Monday 11 AM central standard time.
b. Sand and road salt services are not to be used.
c. Snow must be removed from alongside the sidewalks at the Marcell Research Center (labeled as “Research Center” on the map) building front and west side entrance, in front of the garage doors and adjacent porch of the detached garage, driveway, and from the parking lot and associated entrances from Wilderness Trail. Initially, snow from the parking lot should be pushed off as far as possible on to the grass lawn to accommodate subsequent snow fall and successive accumulation of plowed snow that will be pushed to the front of piles.
Contractor is required to provide heavy equipment to remove or snow blow if needed to maintain the full parking area. A clear line of sight must be maintained at both entrances from Wilderness Trail (Forest Road #2143). Coordinate with COR/GTM on specific snowbank locations, particularly with regards to avoiding the septic drain field and identifying the parking lot perimeter.
d. Snow must be removed from driveway, the areas in front of the garage door at the Marcell Field Laboratory (labeled as “Field Lab” on the map), the entrance to the sidewalk on the south side of the building, in front of the gate to the area enclosed in chain link fence, and the turnaround/parking area to the north of the of driveway. Maintain clear line of sight at entrance to driveway from Wilderness Trail (Forest Road #2143). Coordinate with COR/GTM on specific snowbank locations.
e. The full width must be plowed on about 5.5 miles of road:
• Wilderness Lake Rd (entire 1.25-mile length). Two-lane road on South Unit.
• Forest Rd 1031 (0.5-mile) starting at 43485 Wilderness Trail. One-lane Road with circular drive turnaround at southern terminus. On South Unit.
• Forest Rd 1020 (entire 0.13-mile length) from Wilderness Lake Rd to parking/turnaround. One-lane road on South Unit.
• Forest Rd 1029 (0.2 m segment) from Spring Lake Rd to S1-N driveway. Two-lane road on South Unit.
• Lum Lake Rd (Forest Road 1043) from Wilderness Trail to 29141 Lum Lake Rd (Forest Rd 1043, 3.1-mile section). Two-lane road between South and North Units, and on the North Unit. Short sections of this road are particularly prone to snow drifting and formation of deep snow.
• Forest Rd 3875 starting at 29605 Lum Lake Rd (entire 0.3-mile length). Gated at entrance. One-lane road on North Unit

• Northern terminus of Wilderness Lake Rd. South Unit. The area is large enough to accommodate a semi-circular clearing for vehicles that does not require a three-point turn.
• As previously mentioned, and shown on map, the terminus of FR 1031 is a 1-lane road that loops back to form a turnaround. Should be widened to the width of the tree-free area. South Unit.
g. Care shall be taken so that no damage occurs to parked vehicles, structures, infrastructure, or trees when pushing or piling snow surrounding plowed areas and roads. If road and parking area surfaces are not yet frozen, extreme caution is warranted to avoid excess scraping and movement of road and parking surfaces or damage to soils and road margins. Any damage that might occur must be repaired by the contractor or repaired by others at the contractor’s expense.
h. A gate key for two separate gates on the proposed route is provided for only as long as needed.

Page: 5 associated with this contract. Gates may be left open, with the padlock locked or the padlock kept inside the plowing vehicle, during plowing. Gates must be immediately and securely relocked upon completion of plowing on those roads. Key must be immediately returned to COR/GTM upon request, or no later than May 17, 2023 or sooner if weather conditions and forecasts indicate little likelihood of additional snow accumulation.
i. If enough snow piles up in snow storage areas around parking lots and driveways, the contractor, upon request from COR/GTM must be able to remove the snow and pile it at another location on the site or pile it high enough to accommodate free travel.
j. Tasks a. through i. are expected to take a minimum of about 5 hours for light snow of 3” to 8”.
Option 1: If unplowed by the time that all other required plowing has been done, plow Wilderness Trail (entire 1.9-mile length, two lane road that passes through the South Unit towards the North Unit). The minimum expected time for plowing for light snow of 3” to 8” is about an hour.
Snowplowing is typically done by Itasca County and the route is mapped in orange (Figures 1-3).
Add extra line item to invoice to specify hours of work done (to the closest 15-minute increment) in addition to required snow plowing in Figure 2 and billing will be based upon hourly plowing rate.

COR/GTM.
Option 2: If unplowed, Spruce Rd (entire 1.1-mile length) and Spring Lake Rd (0.75-mile from intersection with Spruce Rd). Two-lane road on the South Unit. The minimum expected time for plowing for light snow of 3” to 8” is < 1 hour. This road is typically plowed by Oak Ridge National Laboratory (ORNL). Only authorized if unplowed by the time that all other required roads have been plowed. Route mapped in purple in Figure 2. Add extra line item to invoice to specify hours of work done (to the closest 15-minute increment) in addition to required snow plowing and billing will be based upon hourly plowing rate. Report within 5 days of plowing by emailing the form provided with this statement of work to COR/GTM.
Option 3: Remove trees that have fallen across the roadway or impinge upon the road. Move brush and trunks at least 8 feet beyond road edge or down steep embankments into adjacent forest. The need for tree removal is expected to be uncommon and limited in scope unless there is exceptional snow fall or other unexpected weather events that cause trees to fall. Add extra line item to invoice to specify hours of tree removal work (to the closest 15-minute increment) in addition to required snow plowing and billing will be based upon hourly tree removal rate. Report within 5 days by emailing the form provided with this statement of work to COR/GTM.
Option 4: Upon request from the COR/GTM, the contractor must be able to provide heavy or snow blowing equipment to maintain full road passage whether plowing or moving snow from the heaviest of snowfalls or deep accumulation from successive snow fall events. Alternatively, the contractor is expected to inform the COR/GTM about conditions that require heavy equipment and may seek approval for use of heavy equipment. Such a need for specialized heavy equipment does not happen every year, though it is possible. For example, sections of the Lum Lake Rd are prone to deep snow drift or infilling between embankments. Add extra line item to invoice to specify hours of heavy equipment use (to the closest 15-minute increment) in addition to required snow plowing and billing will be based upon hourly heavy equipment use rate. Report within 5 days of plowing by emailing the form provided with this statement of work to COR/GTM.

n. While subject to weather conditions, snowplowing is expected to be needed two to four times per month. Options 1 and 2 for plowing Wilderness Trail and Spruce Rd/Spring Lake Rd (respectively) may be uncommon or unneeded, but certainly is not expected every time that the remaining required roads are to be plowed. Tree removal (option 3) is likely to be less frequent, if needed at all. Heavy equipment use (option 4) may not be needed but is expected to be two times at most since a ¾ ton truck with plow is typically capable of clearing roads at the MEF.
