About this file

This document is a Justification and Approval (J&A) for other than full and open competition to modify an existing Indefinite Delivery Indefinite Quantity (IDIQ) contract with Jacobs Government Services, Inc. to extend the performance period for Architectural-Engineering Services to perform Program Management Assistance (PMAC) for the Defense Commissary Agency (DeCA).

The PMAC services include quality assurance, condition assessments, construction management, and architectural/engineering assistance for DeCA's design, construction, and maintenance projects in the contiguous United States, Alaska, Hawaii, and Puerto Rico, as well as facilities outside the contiguous United States. The modification would extend the contract performance period by 12 months from March 29, 2024 to March 28, 2025 and increase the contract capacity by $5 million. The J&A cites the authority for sole-source justification as only one responsible source being available to meet the agency's requirements. The Contracting Officer will establish price reasonableness in accordance with FAR 15.4. The government is conducting market research for a follow-on competitive contract anticipated to be awarded by February 2025.

A. Justification

1. Contracting Office: Defense Commissary Agency (DeCA), CCQE Division, 2250

Foulois St., Ste. 3, Joint Base San Antonio (JBSA) Lackland, TX 78236-1007

2. Type of Contract Action: This action involves modifying contract HDEC0318D0004 with Jacobs Government Services, Inc., to extend the performance period by twelve-months, starting from March 29, 2024 and concluding on March 28, 2025. This is an

Indefinite Delivery, Indefinite Quantity (IDIQ) type contract.

3. Description of Supplies or Services: The DeCA needs Architectural-Engineering

Services to perform Program Management Assistance (PMAC) which encompasses quality assurance inspection services, facilitates condition assessment, construction management, and architectural and engineering assistance. These services include the utilization of Management Information Control systems such as Service Order

Management System (SOMS), Sustainment Maintenance and Repair Tracking System

(SMART), Facilities Automatized Construction Tracking System (FACTS), and maintenance to the Engineering Design Criteria and Specifications. These services support DeCA’s ongoing design, construction, and maintenance projects in the

Contiguous United States (CONUS) to include Alaska, Hawaii, and Puerto Rico and

DeCA facilities located outside the Contiguous United States (OCONUS). The proposed twelve-month modification would extend the contract performance period to March 28, 2025 and increase the capacity by $5M.

4. Authority Cited: 10 U.S.C. § 3204 as implemented by 6.302-1(a)(2)(iii)(B) Only one responsible source and no other supplies or services will satisfy agency requirements.

5. Reason for Authority Cited: This extension is a follow-on contract to an indefinite-delivery, indefinite-quantity (IDIQ) contract which was awarded in September 25, 2018 to Jacobs for program management assistance services. DeCA is in the process of competitively awarding the long-term follow-on PMAC, but the award is not anticipated until approximately February 2025 and a gap in receiving these vital services would negatively impact the agency. It is likely that award to any other source would result in unacceptable delays to fulfilling the agency’s requirements.

If there is a gap, ongoing design projects will suffer from the absence of a third-party management entity that would otherwise be responsible for ensuring quality and compliance standards are met. Ongoing construction efforts will lack crucial construction management support, increasing the risk of delays, cost overruns, and potential quality issues. DeCA is reliant on the current PMAC contractor to complete revisions to DeCA’s criteria and specifications and absent these revisions, the standardization and quality control processes vital for DeCA’s projects will be jeopardized. Without the PMAC contract, the agency will lose the capability to maintain its Design and Construction management system (FACTS), resulting in the inability to effectively record and monitor all projects, spanning both design and construction phases. This loss of oversight could lead to inefficiencies, errors, and difficulties in tracking project progress accurately.

Justification for Other than Full and Open Competition

Decafacilities.com is a web-based platform overseen and upheld through the PMAC. It serves as a repository for criteria, guide specifications, and various engineering documents. Additionally, it hosts essential systems such as FACTS/FACTSDOCS for construction/project management and SOMS/SMART for maintenance monitoring. The website grants access to four proprietary applications and three file storage platforms.

These programs, developed by the former PMAC contractor, are exclusive to DeCA, with no comparable offerings in the market. Award to another source would require significant training and lead-time to transition the information in these systems to the new source, a process that could take months.

In addition to the above, award to another source would require an adequate onboarding and transition process to ensure that all relevant knowledge and documentation is shared.

Given the PMAC’s roles in other agency construction efforts, these consequences would have a ripple effect and likely cause delay and disruption across the agency, including a lack of continuity in project management and oversight, leading to potential delays, cost overruns, and quality issues across ongoing and future projects. Ongoing task orders include technical inspection services for Andersen, Guam and technical inspection services at Kaneohe Bay, Hawaii. The agency has multiple projects planned for the period of this extension, including technical inspection services of Wright Patterson roofing, Dugway roofing, Dugway refrigeration, and Charleston roofing, to name a few.

Another source would require an extensive investment of time and resources to seamlessly transition. Without proper transition, the ongoing maintenance program would be negatively impacted without the computer support (SOMS/SMARTS) provided by the

PMAC, leaving DeCA unable to process, record, and manage current and future projects required by commissaries. This would result in deteriorating infrastructure and operational disruptions.

6. Efforts to Obtain Competition: A notice of intent to sole-source this contract action was posted to the SAM.gov on February 23, 2024. The notice, required by FAR 5.201, gave vendors the opportunity to respond to the agency’s intended sole source action by 2:00pm

CST March 9, 2024. No responses were received.

7. Fair and Reasonable Price Determination: The Contracting Officer will ensure that contract terms, conditions and price are commensurate with the Government’s need.

Price reasonableness will be established in accordance with FAR 15.4.

Market Research: Jacobs Government Services, Inc. is capable of immediate and continuous response because they are already performing contractor services to provide construction management services, professional consulting engineer support services, and program support services for DeCA. For the reasons stated in paragraph 5 above, the government did not conduct Market Research for this requirement. However, as detailed in paragraph 6 above, the government has published notice of its intent to award this extension on a sole source basis and will review any responses it receives from that notice to determine whether a different acquisition path is viable.

Control Number: HQC003-24-23

8. Other Factors: DeCA anticipates the Program Management-related work will remain as an IDIQ with a second contract to provide Information Technology support. The government is conducting Market Research for the follow-on contracts to determine the extent to which small businesses are capable of meeting the requirements.

9. Interested Sources: As of March 9, 2024 2:00pm CST, there were no interested sources other than Jacobs Government Services, Inc.

10. Actions to Increase/Foster Competition: The government in conducting Market Research for the follow-on contracts to determine what sources exist. The follow-on contract action is anticipated to be awarded by February 2025.
