FAR PART 8.405-6

Acquisition Plan Action ID:__36C241-23-AP-4295___________________

(1) Contracting Activity: Department of Veterans Affairs in support of VISN 1 VA Health Care System at 150 S Huntington Ave. Boston, MA 02130.

2237: 523-23-3-1487-0070

1. (2) Description of Action: The Government is requesting multiple Cadwell Ambulatory EEG systems that will be deployed nationally to sites for participation in the national Tele-EEG network. The funding for this replacement machine is National, through our partnership with ECOE. The funding has already been transferred into FCP 1487.

(3) Description of Supplies or Services:

The estimated value of the proposed action is

The requested systems will serve a national capacity as part of the national Tele-EEG and epilepsy network. The many sites in the VA use Cadwell systems and the purchase of these systems will facilitate interoperability between patient sites.

The requested Caldwell Arc Apollo+ and Arc VOYAGER, Ambulatory EEG Solution systems are needed to assist in brain imaging and diagnosing that can only be done with the assistance of this machine. Each item plays an integral part in making sure that our Veterans have the highest quality care and have access to the best testing and equipment. This system is one of a kind, and the manufacturer is the only one who makes this type of testing equipment. As stated in the attached documents, what will be included in this cost would be: (5) Arc Apollo+ 32 Channel systems, (5) 12” Apollo+ cables, (5) Arc Voyager Ambulatory EEG Solution Tablet (Win10 Pro, Microsoft Office, Arc License w/Highlight & Satellite View) and Voyager Ambulatory Kit ( Voyager Case, Camera with IR, Ambulatory Microphone, All Needed Cables), (5) Q-Video Mobile 3 Cameras, (5) Arc Q-video Software Licenses (requires cameras), (5) Apollo+ Battery kits, (2) Arc Concurrent Review Software Licenses, (10) Persyst P14 Advanced Review, (4) Persyst Advanced Review for Citrix Servers, (2) CadLink Server Software, (1) 30-pack CadLink Client Licenses with Auto Archive, (6) On-site Installation with Training, 1 day.

(4) Identify the Authority and Supporting Rationale (see below and if applicable, a demonstration of the proposed contractor’s unique qualifications to provide the required supply or service.)

FAR 8.405-6(a)(1)(A): An urgent and compelling need exists and following the ordering procedures would result in unacceptable delays:.

FAR 8.405-6(a)(1)(B): Only one source is capable of providing the supplies or services required at the level of quality required because the supplies or services are unique or highly specialized;

FAR 8.405-6(a)(1)(C): In the interest of economy and efficiency, the new work is a logical follow-on to an original Federal Supply Schedule order provided that the original order was placed in accordance with the applicable Federal Supply Schedule ordering procedures. The original order must not have been previously issued under sole source or limited source procedures.

FAR 8.405-6(b): Items peculiar to one manufacturer:

These are “direct replacements” parts/components for existing equipment.

The material/service must be compatible in all aspects (form, fit and function) with existing systems presently installed/performing.

(5) Describe Why You Believe the Order Represents the Best Value consistent with FAR 8.404(d) to aid the contracting officer in making this best value determination:

Not applicable. Negotiator not using Federal Supply Schedules.

(6) Describe the Market Research Conducted among schedule holders and the results or a statement of the reason market research was not conducted.

The Contract Specialist discussed with the requiring department to determine acquisition strategy. As a result, it was concluded that only Cadwell branded products would meet this Government need (further specified below). The Contract Specialist called the Original Equipment Manufacturer (OEM), Cadwell, regarding market research for this requirement. It was determined that the OEM has a list of authorized Service-Disabled Veteran Owned Small Business resellers that can supply the required items. As such, the Contract Specialist recommends soliciting this requirement as brand name only on a 100% SDVOSB Set-Aside.

(7) Any Other Facts Supporting the Justification:

Only Cadwell branded equipment will be acceptable for this requirement. This requirement is to continue the usage of equipment at existing sites that use or connect to Cadwell platforms. To consider switching to another branded equipment would require replacement of existing equipment. At a VA site, this can range from $50,000 to $250,000 per site depending on the existing equipment.

Additionally, the software associated with both the acquisition and servers may require upgrades and can range from $25,000 to $100,000. Lastly, the time and labor associated with making a change in brand for this type of equipment requires collaboration by Biomedical, OI&T, Service Technicians, and Clinical providers. The value of this time and labor can result in salary costs of approximately $25,000 to $50,000 per location and will impact patient care during the transition and training period.

At this time the Government can only accept Cadwell branded equipment.

(8) A Statement of the Actions, if any, the agency may take to remove or overcome any barriers that led to the restricted consideration before any subsequent acquisition for the supplies or services is made:

None

(9) Requirements Certification: I certify that the requirement outlined in this justification is a Bona Fide Need of the Department of Veterans Affairs and that the supporting data under my cognizance, which are included in the justification, are accurate and complete to the best of my knowledge. I understand that processing of this limited

Effective Date: 02/01/2022 Page 3 of 4 sources justification restricts consideration of Federal Supply Schedule contractors to fewer than the number required by FAR Subpart 8.4.

(10) Approvals in accordance with the VHAPM Part 806.3 OFOC SOP:

a. Contracting Officer’s Certification (required): I certify that the foregoing justification is accurate and complete to the best of my knowledge and belief.

b. One Level Above the Contracting Officer (Required over the SAT but not exceeding $750K): I certify the justification meets requirements for other than full and open competition.
