About this file
This is a Performance Bond template document issued by the City of Palo Alto, California, establishing the surety bond requirements for contractors undertaking public improvement projects. The bond secures the Principal contractor's faithful performance and completion of work as outlined in executed agreements with the City. The surety bond obligates both the contractor and the surety company to ensure prompt and faithful performance of all covenants, conditions, and provisions of the underlying contract, including satisfaction of all claims and demands, full protection and indemnification of the City against liabilities arising from contractor default, and reimbursement of all City expenses incurred in remedying any default. The bond amount is variable based on the specific contract requirements and is executed by the Principal contractor and an admitted surety company incorporated in California, with signatures from authorized representatives of both parties required before a notary public for acknowledgment and certification.
The bond further establishes that the surety company waives notice of any changes, extensions of time, alterations, or additions to contract terms, specifications, or work scope, and waives the provisions of California Civil Code Sections 2845 and 2849. The surety remains liable for any liquidated damages assessed against the Principal under the underlying contract, with such damages forming part of the secured obligations in addition to the bond's face amount. The City is designated as the principal beneficiary of the bond with all rights of a party thereto. In the event of contractor default, the City may recover costs, expenses, and reasonable attorney's fees incurred in enforcing the bond obligations, all taxable as costs and includable in any judgment rendered against the surety and contractor.
