SECTION 1 – DESCRIPTION

This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in Federal Acquisition Regulation (FAR) subpart 12.6, “Streamlined Procedures for Evaluation and Solicitation for Commercial Items,” as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; quotations are being requested, and a written solicitation document will not be issued.

Solicitation PC-17-Q-013 is being issued as a request for quotation (RFQ). The solicitation document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular 2005-92.

This requirement is being solicited on an unrestricted basis using Simplified Acquisition Procedures per FAR Subpart 13.5. A firm-fixed price purchase order is anticipated. The associated North American Industrial Classification System (NAICS) code for this procurement is 541519 with a small business size standard of 150 employees.

The Peace Corps is seeking to purchase Click Dimensions software, services and maintenance support.

All interested companies shall provide quotations for the following:

SECTION 2 - PERIOD OF PERFORMANCE/DELIVERY INFORMATION

2.1 PERIOD OF PERFORMANCE

Base Period: January 6, 2017 to January 5, 2018 Option Year 1: January 6, 2018 to January 5, 2019 Option Year 2: January 6, 2019 to January 5, 2020

Software shall be delivered according to the period of performance above. Optional Quantities, if exercised, shall be delivered to within five calendar days of the option exercise. All deliveries shall be to the Technical Point of Contact (TPOC) indicated in Section 3.1.

3. TECHNICAL POINT OF CONTACT (TPOC)

3.2 CONTRACTING OFFICER’S AUTHORITY

The Contracting Officer (CO) is the only person authorized to make or approve any changes to any of the requirements of this contract, and, notwithstanding any provisions contained elsewhere in this contract, the said authority remains solely with the Contracting Officer. In the event the Contractor makes any changes at the direction of any person other than the Contracting Officer, the change will be considered to have been made without authority and no adjustment will be made in the contract terms and conditions, including price.

3.3 RESTRICTION ON ADVERTISING

The Contractor shall not refer to this contract in commercial advertising or similar promotions in such a manner as to state or imply that the product or service provided is endorsed or preferred by the Peace Corps, or any other element of the Federal Government, or is considered by these entities to be superior to other products or services. Any advertisement by the Contractor shall contain the following statement: “This advertisement is neither paid for nor sponsored, in whole or in part, by any element of the United States Government.”

3.4 USE OF PEACE CORPS NAME AND LOGO (NOV 2008)

The Contractor shall make no publicity announcements or issue other public relations or promotional materials mentioning the Contractor’s connection with Peace Corps without first consulting with the Contracting Officer. Further the Contractor shall not use the Peace Corps name and/or logo in conjunction with, or proximity to, the Contractor’s logo, trademark, trade name or facsimile thereof (co-branding) without the advance written concurrence of the Contracting Officer.

3.5 INTERPRETATIONS OF MODIFICATIONS

No oral or written statement of any person and no written statement of anyone other than the CO shall modify or otherwise affect the terms and conditions of this contract. Requests for interpretations, modifications or changes must be made in writing to the CO. The technical point of contact can only respond to technical matters that do not result in a change of scope to this contract.

3.6 SYSTEM ACCESSIBILITY

Section 508 – Electronic and Information Technology (EIT) Standards:

The Section 508 Standards established by the Architectural and Transportation Barriers Compliance Board (Access Board) are incorporated into, and made part of all Peace Corps orders, solicitations and purchase orders developed to procure Electronic and Information Technology (EIT). A printed copy of the standards will be supplied upon request. The Contractor shall comply with the technical standards as marked:

3.7 INSPECTION AND ACCEPTANCE

Inspection and acceptance will be at destination in accordance with FAR clause 52.212-4. In accordance with FAR 52.212-4, the Government has the right either to reject or to require correction of nonconforming supplies. Supplies are nonconforming when they are defective in material or workmanship or are otherwise not in conformity with contract requirements. The Government may reject nonconforming supplies with or without disposition instructions.

For questions regarding payments, please send an email inquiry, including the invoice number, Delivery Order number, billed amount and date sent to Disbursing@peacecorps.gov. The invoice shall include, but not be limited to, the following information:

•Name and address of the Contractor
•Invoice date and invoice number
•Period of performance covered by the invoice
•Description, price(s), date of service, and quantity(ies) of services and supplies for which payment is being requested
•Shipping and payment terms, if any
•EFT account/payment information (see below)
•Costs incurred under the current voucher or costs incurred to date (cumulative)
•Signature of the Contractor’s authorized representative
•Contractor’s Tax Identification Number (TIN)

INVOICE CERTIFICATION

Upon receipt of the invoices, the Peace Corps will check the invoices for correctness and appropriateness of the charges and will ensure that chargeable items appearing on the invoices have been formally accepted by the Peace Corps. In the event that the Peace Corps discovers any discrepancies in the invoice, the Peace Corps Contracting Officer and Contracting Officer Representative (COR) will, in addition to following the requirements of the Prompt Payment Act, take steps necessary to resolve the discrepancies with the Contractor.

INVOICE PAYMENT

For the purposes of this subsection, “invoice payment” is a Government disbursement of moneys to the Contractor under this order for products and/or services which are formally accepted by the Government. Invoices are payable in accordance with the requirements of the Prompt Payment Act. Payment will be considered as being made on the day of the electronic funds transfer is made.

5.1 PROVISIONS

The following solicitation provisions apply to this acquisition:

All questions in response to this combined solicitation/synopsis shall be submitted electronically to Noah Padilla, Contract Specialist, npadilla@peacecorps.gov on or before December 27, 2016 at 1:00 pm ET.

Vendors shall submit quotes electronically to Noah Padilla at npadilla@peacecorps.gov. All quotes are due no later than December 29, 2016 at 1:00 pm ET.

FAR 52.212-2, Evaluation—Commercial Items (Oct 2014) and below addendum:

The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government on a lowest price technically acceptable basis. The offeror shall demonstrate the ability to provide the ClickDimension products listed in Section 1. The evaluation of offers received shall not be on the basis of FAR Part 15.

The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. Evaluation of options shall not obligate the Government to exercise the options.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records—Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(e)(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial items. 52.217-7 -- Option for Increased Quantity -- Separately Priced Line Item (Mar 1989) The Government may require the delivery of the numbered line item, identified in the Schedule as an option item, in the quantity and at the price stated in the Schedule. The Contracting Officer may exercise the option by written notice to the Contractor within [insert in the clause the period of time in which the Contracting Officer has to exercise the option]. Delivery of added items shall continue at the same rate that like items are called for under the contract, unless the parties otherwise agree.

52.217-8 Option to Extend Services (NOV 1999) The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within five (5) days.

52.217-9 Option to Extend the Term of the Contract (MAR 2000)

(a) The Government may extend the term of this contract by written notice to the Contractor within five (5) days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least ten (10) days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed five (5) years.

52.203-17 Contractor Employee Whistleblower Rights and Requirement To Inform Employees of Whistleblower Rights (APR 2014)

(a) This contract and employees working on this contract will be subject to the whistleblower rights and remedies in the pilot program on Contractor employee whistleblower protections established at 41 U.S.C. 4712 by section 828 of the National Defense Authorization Act for Fiscal Year 2013 (Pub. L. 112-239) and FAR 3.908

(b) The Contractor shall inform its employees in writing, in the predominant language of the workforce, of employee whistleblower rights and protections under 41 U.S.C. 4712, as described in section 3.908 of the Federal Acquisition Regulation.

(c) The Contractor shall insert the substance of this clause, including this paragraph (c), in all subcontracts over the simplified acquisition threshold.

52.232-40 Providing Accelerated Payments to Small Business Subcontractors (Dec 2013)

(a) Upon receipt of accelerated payments from the Government, the Contractor shall make accelerated payments to its small business subcontractors under this contract, to the maximum extent practicable and prior to when such payment is otherwise required under the applicable contract or subcontract, after receipt of a proper invoice and all other required documentation from the small business subcontractor.

(b) The acceleration of payments under this clause does not provide any new rights under the Prompt Payment Act.

(c) Include the substance of this clause, including this paragraph (c), in all subcontracts with small business concerns, including subcontracts with small business concerns for the acquisition of commercial items.
