. 2 PERFORMANCE WORK STATEMENT (PWS) AND QASP

PAGE 6 OF 31 PBGC01-RQ-16-0033

PERFORMANCE WORK STATEMENT (PWS)

1. PROJECT TITLE: Valuation Consulting Services.

2. BACKGROUND:

2.1. PBGC has approved termination of the underfunded defined benefit pension plan ($5.2 million Unfunded Benefit Liability) sponsored by Eber Bros. Wine & Liquor Corp and its subsidiaries (“Eber”) and is in current litigation with Eber regarding the date of plan termination (“DOPT”). PBGC chose a retroactive DOPT in order to recapture certain subsidiaries of Eber into the controlled group.

2.2. Current disputes include the DOPT and the value of liabilities (unfunded termination liability, interest, unpaid minimum funding contributions and termination premiums) that will arise once the pension plan has been terminated and trusteed. The value of the equity of an operating controlled group member of Eber as of the proposed DOPT included in PBGC’s recovery of claims is also disputed in the negotiations. Negotiations have currently stopped with the plan sponsor claiming that the equity of the former operating subsidiary has little or no value.

3. SCOPE:

3.1. Objective(s): To value the Eber controlled group members, which will provide the basis for negotiations and determining the value of the termination liens to be filed. The financial advisor will provide negotiation support, which will include producing various required analyses of financial statements and business plans as required.

3.2. Performance Areas:

3.2.1. Performance area 1 – Valuation Services

3.2.2. Performance area 2 – Negotiation Services

3.3. Project Parameters:

3.3.1. Valuation of Eber’s net worth, including, if possible, consideration of the wine and liquor distribution industry in the geographic area that Eber operates.

3.4. Limitations and Constraints: None

PAGE 7 OF 31 PBGC01-RQ-16-0033

4. APPLICABLE DOCUMENTS: None

5. PERFORMANCE REQUIREMENTS:

5.1. Task 1 (CLIN 0001) – Provide Valuation Services

5.1.1. The Contractor shall advise and assist PBGC in requesting information from the company, and other relevant parties, needed for the valuation.

5.1.2. The Contractor shall provide a business valuation report (going concern and liquidation) for each member of the company’s controlled group, and for the controlled group as a whole, utilizing standard valuation methodologies, including income-, asset- and market-based approaches. The valuation report shall include:

5.1.2.1. Analysis of the company’s business plan and its feasibility. Include analyzing the propriety and reasonableness of material expenditures (including officer’s salaries) and interaction with related parties.

5.1.2.2. Analysis of the company’s business projections and capital structure. As part of this analysis, a comparison with industry will be performed.

5.1.2.3. Analysis of the company’s prospects and capital structure.

5.1.2.4. Based on the Contractor’s analysis, the Contractor shall adjust financials to a realistic and justified level, in order to perform the valuation.

5.1.3. The valuation will be based primarily on one former operating subsidiary of Eber and its stock, in at least two specific points in time. The revenue of the former operating subsidiary is approximately $40 million.

5.1.4. The Contractor shall answer the Government’s questions on an ad hoc basis.

5.2. Task 2 (CLIN 0002) – Provide Negotiation Services

5.2.1. The Contractor shall assist and advise the Government in negotiating the highest possible recovery on PBGC’s employer liability claims.

5.2.2. The Contractor shall participate in ad hoc meetings as needed.

5.2.3. The Government will trigger the start of the negotiations task in writing via email from the COR.

6. PERFORMANCE STANDARDS: Required performance standards are contained in the Performance Requirement Summary Table (PRS) in the Quality Assurance Surveillance Plan (QASP) at Technical Exhibit 1. Absence of any contract
