The Offeror’s proposed unit price fixed rate for the optional services shall be incorporated into the final contract upon award. B.2 FEE SCHEDULE
Private Markets Monitoring Services
The Contractor will receive payment based upon one of two different fee structures. Offeror shall provide pricing for both fee structures. PBGC reserves the right to select the fee structure that is in the best interest of the Government at the time of award. For each subsequent option period, PBGC may elect the Asset Based Fee or the Per Partnership fee structure for that option period.
Either fee shall be inclusive of all the Private Markets Monitoring Services as discussed in Schedule C, Statement of Work, Section 1, Paragraphs 1-4, except Consulting Services. When providing the fee structure, the Contractor should take into account the make-up of the PBGC’s Private Markets Assets and should refer to Schedule C, Statement of Work for a description. The contractor may not charge an implementation fee (e.g., loading of partnership data into the Contractor’s database).
• Asset Based Fee (“ABF”) o The ABF will be charged on a calendar quarterly basis in arrears based upon the Net
Asset Value (NAV), as reported by PBGC’s custodian, of the specific Private Markets assets assigned to the Contractor for monitoring.
o The NAV shall generally be based upon the valuation provided by general partners. It is anticipated that PBGC’s custodians will provide the pricing for the majority of PBGC’s NAV, however, the Contractor is expected to also record valuations for reconciliation purposes. For each quarter, the Contractor will compute the quarter-end total NAV of the Private Markets assets assigned to the Contractor for monitoring before applying the ABF. For example, at the end of the March quarter, the Contractor will compute the total NAV of the Private Markets assets assigned to the Contractor for monitoring as of March 31. The contractor will then apply the ABF to the
PAGE 16 OF 85 PBGC01-RP-15-0015
computed March 31 total NAV and then divide by four to arrive at the invoiced amount for the March quarter.
o The Contractor may not invoice for any Private Market asset (and is not responsible for its oversight) until PBGC has provided the Contractor with written notice that PBGC has assigned the asset to the Contractor.
o The Contractor will also include a narrative clearly delineating what services are included under the ABF.
• Per-Partnership Fee o The Per-Partnership Fee is a fixed annual fee charged quarterly to the PBGC in arrears based on the number of Private Markets Limited Partnerships assigned to Contractor for monitoring at the end of the quarter. For example, at the end of the March quarter, the contractor will compute the number of active (as defined below) Private Markets Limited Partnerships assigned for monitoring as of March 31. The contractor will then apply the Per-Partnership Fee to the number of active Private Markets Limited Partnerships assigned for monitoring as of March 31 and then divide by four to arrive at the invoiced amount for the March quarter.
o Note that a Private Markets Limited Partnership is considered “active” if it has not yet fully liquidated.
o If the Contractor charges separately for various services, the Contractor may show separate line items as long as the fees are fixed annual fees. All separate line items shall be totaled to arrive at an aggregate Per-Partnership Fee.
o The Contractor may not invoice for any Private Market asset (and is not responsible for its oversight) until PBGC has provided the Contractor with written notice that PBGC has assigned the asset to the Contractor.
included under the Per-Partnership Fee, with breakdowns by line item, if applicable.
B.3 Consulting Services
The Contractor may charge the PBGC based upon labor hours for certain consulting services, as discussed in Schedule C, Statement of Work, Section 2. For sales of Private Markets Limited Partnerships in the secondary market, the Contractor may also charge the PBGC a disposition fee, in addition to the labor hours associated with the consulting services related to the secondary sale. When providing the fee structure, the Contractor should take into account the make-up of the PBGC’s Private Markets Assets and should refer to Schedule C, Statement of Work for a description.
• Hourly Rate o The Hourly Rate will be charged on a calendar quarterly basis in arrears based upon the number of labor hours used for consulting services. For example, at the end of the March quarter, the contractor will compute the number of hours spent on consulting services as of March 31. The contractor will then apply the hourly rate to the number of hours spent on consulting services as of March 31 to arrive at the invoiced amount for the March quarter.
PAGE 17 OF 85 PBGC01-RP-15-0015
o The Contractor may not invoice for any consulting services (and is not responsible for them) until:
PBGC has provided the Contractor with a written request for consulting services.
The Contractor provides an estimate of labor hours needed to complete the request and the total cost in dollars.
PBGC agrees to the estimate in writing.
o The Contractor may invoice PBGC for labor hours related to Private Markets assets assigned to the Contractor for sale in the secondary market even if a transaction is not consummated.
included under the hourly rate, with breakdowns by line item, if applicable.
• Disposition Fee o The Disposition Fee will be charged on a calendar quarterly basis in arrears based upon the Net Sale Proceeds of the specific Private Markets assets sold by the Contractor in the secondary market. “Net Sale Proceeds” means proceeds from the sale of assigned asset(s) less deductions (such as, but not limited to, legal expenses, labor hours and the repayment of any outstanding debt associated with the asset(s) [e.g. in the case of Real Estate]).
o The sale price shall be based upon the prices negotiated between the Contractor and the secondary buyer(s). For each quarter, the Contractor will compute the quarter-end Net Sale Proceeds of the Private Markets assets assigned to the Contractor for sale in the secondary market before applying the Disposition Fee. For example, at the end of the March quarter, the Contractor will compute the total Net Sale Proceeds of the Private Markets assets assigned to the Contractor for sale in the secondary market as of March 31. The contractor will then apply the Disposition Fee to the computed March 31 total Net Sale Proceeds to arrive at the invoiced amount for the March quarter.
o It is anticipated that those Private Markets assets assigned to the Contractor for sale in the secondary market are also assigned to the Contractor for monitoring. As such, the Contractor may also invoice PBGC for monitoring services (as described above), as well the Disposition Fee. The Contractor must discontinue charging for monitoring services subsequent to a secondary market transaction.
o The Contractor may not invoice for any Disposition Fee (and is not responsible for selling any Private Markets assets in the secondary market) until:
PBGC has provided the Contractor with written notice that PBGC has assigned an asset to the Contractor for sale in the secondary market.
The Contractor provides an estimate of labor hours needed to complete the request and the total cost in dollars (as described above in Hourly Rate).
The Contractor provides an estimate of the Disposition Fee.
PBGC agrees to the Labor Hour and Disposition Fee estimates in writing. The PBGC may elect to have the Disposition Fee paid
PAGE 18 OF 85 PBGC01-RP-15-0015
directly from sale proceeds. Such information would be provided in writing to the Contractor.
A secondary sale is consummated.
o The Contractor may not invoice for any Disposition Fee unless a secondary sale is consummated. However, the Contractor may invoice for Labor Hours used (as discussed above) as related to the various activities related to a secondary sale.
o The Contractor will also include a narrative clearly delineating what services are included under the Disposition Fee.
o The Contractor cannot charge a Disposition Fee for proceeds reinvested with the contractor, if applicable.
B.4 Contract Ceiling Amount The ceiling amount for the base year and nine (9) option years is to be determined upon award and stated in Section B of the resulting contract.

DESCRIPTION/SPECIFICATIONS/WORK STATEMENT

PRIVATE EQUITY
Statement of Work (SOW)
Section 1 Background
The Pension Benefit Guaranty Corporation (PBGC or the Corporation) is a federal corporation created by Title N of the Employee Retirement Income Security Act of 1974 (ERISA) that maintains investment funds. Certain terminated and trusteed single employer plans held Private Markets assets which PBGC commingled. Through commingling, PBGC's private markets portfolio is presently split into three distinct pools:
PBGC-Only: The first pool is comprised of limited partnerships that are wholly owned by the PBGC, that is, the PBGC is the statutory trustee of a series of pension plans trusteed by the PBGC in which the PBGC owns each position entirely versus being an investor in a master trust with other third parties. There are approximately 84 limited partnerships as of November, 2014 and approximately 53 General Partner (GP) relationships. The aggregate capital commitment is $1.1 billion and the partnerships are approximately 95% funded. Most partnerships are older vintages (ranging from 1986 to 2009, with the crux of partnerships in the 1999 to 2001 vintages) and are in their liquidation phase. Current valuation is approximately $147 million.
Commingled Master Trust One: This second pool is comprised of limited partnerships that are commingled in a master trust vehicle of a former plan sponsor. More specifically, the former plan sponsor commingled multiple pension plans into a single master trust and made investments on behalf of all the pension plans in the trust. PBGC trusteed one of the plans commingled in this master trust and as such, PBGC owns a minority interest (at the trust level) of each limited partnership at the time of trusteeship. Therefore, GPs formally recognize the master trust as the investor, but are aware that the PBGC has a minority interest in the master trust. The former plan sponsor has its own Private Markets advisor and the Contractor’s oversight of Commingled Master Trust One will require collaborating with a potential competitor. This pool has approximately 79 limited partnerships and approximately 44 GP relationships as of November 2014. The aggregate capital commitment applicable to the PBGC is approximately $700 million and these partnerships are approximately 96% funded. Most partnerships are older vintages (ranging from 1989 to 2006, with the crux of partnerships in the 1998 to 2001 vintages) and are in their liquidation phase. Current valuation is approximately $102 million.
Commingled Master Trust Two: This third pool is similar to Commingled Master Trust One.
Commingled Master Trust Two is comprised of primarily limited partnerships that are commingled in a master trust vehicle of which the former plan sponsor was an investor. More specifically, the former plan sponsor and certain other related plan sponsors commingled multiple pension plans into a single master trust and made investments on behalf of all the pension plans in the trust. PBGC trusteed two of the plans commingled in this master trust and as such, PBGC owns an interest of each limited partnership at the time of trusteeship. The PBGC’s interest in each limited partnership varies deal-by-deal, but PBGC has a minority interest (at the trust level) in most limited partnerships in this pool. In addition to private equity partnerships, this pool also includes private debt and private real estate (both in a fund structure and direct real estate). The former plan sponsor has its own Private Markets advisor and the Contractor’s oversight of Commingled Master Trust Two, if assigned for oversight, will require collaboration with this separate firm. This pool has approximately 600 limited partnerships and approximately
PAGE 20 OF 85 PBGC01-RP-15-0015
Statement of Work (SOW)
170 GP relationships as of September 2014. The aggregate capital commitment applicable to the PBGC is approximately $3 billion and these partnerships are approximately 90% funded. Most partnerships are older vintages (ranging from 1986 to 2009, with the crux of partnerships in the 2005 to 2008 vintages) and are in their liquidation phase. Current valuation is approximately $1.3 billion.
Given the nature of the PBGC's business, the number of limited partnerships will likely grow over time. Further, it is possible that PBGC may enter into additional commingled master trust relationships
