B.1 PBGC-11-002 DESCRIPTION OF SERVICES (AT CONTRACTOR SITE) (Sept

2014)

The Contractor shall provide the personnel, facilities, equipment, and other materials and services necessary to perform the effort described in Section C, the Statement of Work resulting from this Request for Proposal No. PBGC01-RP-15-0013. The solicitation may result into multiple awards. The contract(s) awarded for this effort will be a Fixed Rate/Variable Quantity

(FRVQ).

B.2 GENERAL DESCRIPTION

PBGC is seeking to obtain qualified, experienced, and highly competent contractors to provide passive investment management services for portfolios that will very closely track the benchmark of the respective portfolio, consistent with appropriate levels of risk.

B.3. PERIOD OF PERFORMANCE

PBGC anticipates the period of performance to be a twelve month base year plus (9) nine option years. The Contractor shall commence work immediately upon notice of award. *Note: The actual dates of the Period of Performance will be entered at the time of award.

B.4. PRICING SCHEDULE – Index Fund Investment Management Services

Offerors are required to submit pricing proposals for the twelve (12) month base year and nine twelve (12) month option periods for each index fund required in the solicitation. The required index funds are listed below with the assumed asset level for evaluation purposes to provide comparable fees. The pricing assumptions provided by PBGC in the solicitation may not be indicative of the work the Offerors can expect to receive on an annual basis under the resulting contract. Therefore, PBGC makes no guarantee as to the allocation to each index fund. As a result, Offerors shall provide pricing break points for all asset levels. The Offeror’s proposed fixed rate and pricing break points shall be incorporated into the final contract upon award.

Failure to provide pricing for every required index fund listed below will result in the Offeror’s proposal being deemed incomplete and the Offeror’s proposal will not be evaluated for award.

PBGC may make awards to multiple managers. PBCG may make award to one manager for all equity index funds (Funds #1-8) as a standalone, another manager for all fixed income index funds (Funds #9-12) as a standalone, or a manager for all twelve of the index funds as a group.

PBGC reserves the right to evaluate pricing on all twelve of the index funds as a group and consider relationship pricing. Relationship pricing does not constitute a second price proposal.

PBGC will not accept multiple price proposals.

Optional Contract Line Item Number (CLIN) X013 will be included in any awarded contract(s).

PBGC may elect not to exercise optional CLIN X013 during any particular year of the period of

PAGE 7 OF 131 PBGC01-RP-15-0013

performance, but this decision would not impact the PBGC’s right to exercise an optional CLIN in other (or future) option periods. The Total Ceiling Price will be determined at the time of award and stated in Section B of the resulting contract. Additionally, the exact dates for the

Period of Performance will be determined at time of award.

SECTION C

DESCRIPTION/SPECIFICATIONS/WORK STATEMENT

C. 1 Section C

Index Fund Investment Management Services

STATEMENT OF WORK

Background The Employee Retirement Income Security Act of 1974 (ERISA) established Pension Benefit

Guaranty Corporation (PBGC) as a federal corporation to encourage the growth of defined benefit pension plans, provide timely and uninterrupted payment of pension benefits, and keep pension insurance premiums at a minimum. Defined benefit pension plans promise to pay a specified monthly benefit at retirement, commonly based on salary and years on the job.

PBGC, a wholly owned United States Government corporation, administers the insurance program and termination process for most private-sector defined benefit pension plans that are tax-qualified under the Internal Revenue Code. PBGC is headed by a Director who reports to a board of directors consisting of the Secretaries of Labor, Commerce, and Treasury, with the Secretary of Labor as

Chairman. General tax revenues do not fund PBGC. PBGC collects insurance premiums from employers that sponsor insured pension plans, earns money from investments and receives the assets of the pension plans it terminates. PBGC manages all these assets under an investment policy approved by the Board of Directors. PBGC’s funds are separated into two funds: a

Revolving Fund which holds the premiums received and a Trust Fund which holds the assets of terminated plans.

The PBGC Investment Program is structured as a manager-of-managers program. No assets are managed internally. The PBGC exclusively uses institutional investment management firms to invest its assets, subject to PBGC’s oversight and consistent with the PBGC’s Investment Policy

Statement. PBGC selects investment managers subsequent to a rigorous procurement process and delegates investment discretion to them to manage the Corporation’s investment assets consistent with guidelines specified by contract. The PBGC continuously reviews and evaluates manager performance and conducts extensive due diligence to ensure satisfaction of performance standards and compliance with investment guidelines.

Scope The investment management organization retained under contract by PBGC is responsible for providing passive index fund investment management and custody for equity, fixed income and REIT assets. The assets are part of PBGC’s Trust Fund. The investment manager shall provide index funds that very closely track the appropriate index. Tracking error should be minimal and be able to be attributed to specific sources. PBGC is not seeking actively managed funds. Lending funds or non-lending funds are acceptable. Transition management will also be a required service. PBGC may make awards to multiple managers: PBCG may make award to one manager for all equity index funds (Funds #1-8) as a standalone, another manager for all fixed income index funds

(Funds #9-12 below) as a standalone, or a manager for all twelve of the index funds as a group. Award allocations will vary based on the investment skill, experience level and ability of the managers to meet the needs of this contract. PBGC expects the allocation awards to range from

US$500 million to US$40 billion for each manager, but makes no guarantees as to the size of any award. PBGC intends to award the following mandates with estimated investment allocations:

PAGE 59 OF 131 PBGC01-RP-15-0013

1. Russell 1000 Value Index $3.2 billion

2. Russell 2000 Index $600 million

3. Russell 3000 Index $6.4 billion

4. Dow Jones US Real Estate Securities Index $2.8 billion

5. MSCI EAFE Index $5.3 billion

6. MSCI EAFE Small Cap Index $1.1 billion

7. MSCI Canada Index $1.0 billion

8. MSCI Emerging Markets Index $2.6 billion

9. Barclays U.S. Aggregate Bond Index $850 million

10. Barclays Long Credit Index $560 million

11. Barclays Long Government Index $1.4 billion

12. Barclays Global Aggregate ex-US (Hedged) Index $1.2 billion

These allocations may change over time due to the investment results generated by the Offeror and the needs of PBGC.

The investment manager shall have ERISA fiduciary responsibility for the assets under its management. PBGC shall delegate its proxy voting authority to the investment manager. The investment manager shall maintain records of its votes and report the results, at least annually, to

PBGC.

The investment manager shall work closely with PBGC’s custodian bank to facilitate the efficient and timely recording of unit purchases, sales and other activity, reconcile securities and cash balances and provide information necessary to calculate performance results. The manager shall be responsible for best execution, including foreign exchange.

This would include the cost of related meals offered as part of the formal conference program. Non-training or non-educational activities offered at the conference including, but not limited to, golf, fishing, tours, entertainment, etc., shall not be included, as

Contractors may only modify this contract through a written document formally executed by a PBGC Contracting Officer. In the event PBGC agrees to incorporate additional terms and conditions at the request of a contractor, such terms and conditions may not conflict with the terms of the original contract unless all parties document a desire to change a specific term or condition in the original contract. PBGC will endeavor to identify and resolve all potential conflicts before agreeing to incorporate new terms and conditions into this contract. However, if a conflict between the original federal government contract and newly-incorporated terms and conditions is later discovered, the conflicting portion of the new terms and conditions shall be stricken from the contract. Deletion of conflicting terms does not necessarily negate the remainder of newly incorporated terms and conditions. Also please note that PBGC may not necessarily be able to accept standard documents and agreements provided to PBGC. PBGC may need to negotiate with vendors to amend those documents to be in line with government contract rules and regulations.

(1) is not biased because of its financial, contractual, organizational, or other interests which relate to the work under this contract, and

(2) does not obtain any unfair competitive advantage over other parties by virtue of its performance of this contract.

(b) Scope. The restrictions described herein shall apply to performance or participation by the contractor and any of its partners, affiliates or their successors in interest (after this collectively referred to as the "contractor") in the activities covered by this clause as a prime contractor, subcontractor, cosponsor, joint venturer, consultant, or in any similar capacity. For the purpose of this clause, affiliation occurs when a business concern is controlled by or has the power to control another or when a third party has the power to control both.

(1) Use of Contractor's Work Product.

Furthermore, unless so directed in writing by the Contracting Officer, the contractor shall not perform any advisory and assistance services work

(D) release such information unless such information has previously been released or otherwise made available to the public by PBGC.

(ii) In addition, the contractor agrees that to the extent it receives or is given access to proprietary data, data protected by the Privacy Act of 1974 or other confidential or privileged technical, business, or financial information under this contract, it shall treat such information in accordance with all restrictions imposed on disclosure and use of such information.

(c) Disclosure after award.

(1) The contractor agrees that if changes, including additions, to the facts disclosed by it prior to award of this contract, occur during the performance of this contract, it shall make an immediate and full disclosure of such changes in writing to the Contracting Officer. Such disclosure may include a description of any action which the contractor has taken or proposes to take to avoid, neutralize, or mitigate any resulting conflict of interest. PBGC may, however, terminate the contract for convenience if it deems such termination to be in the best interest of the Government.

(2) In the event that the contractor was aware of facts required to be disclosed or the existence of an actual or potential organizational conflict of interest and did not disclose such facts or such conflict of interest to the Contracting Officer, PBGC may terminate this contract for default.

(d) Remedies. For breach of any of the above restrictions or for nondisclosure or misrepresentation of any facts required to be disclosed concerning this contract, including the existence of an actual or potential organizational conflict of interest at the time of or after award, the Government may terminate the contract for default, disqualify the contractor from subsequent related contractual efforts, and pursue such other remedies as may be permitted by law or this contract.

(e) Waiver. Requests for waiver under this clause shall be directed in writing to the PBGC Office of General Counsel and a copy provided to the Contracting Officer, and shall include a full description of the requested waiver and the reasons in support of the request. If it is determined to be in the best interests of the Government, the Contracting Officer may grant such a waiver in writing.

(f) Subcontracts.

(1) The contractor shall include a clause, substantially similar to this clause, including this paragraph (f), in subcontracts expected to exceed the simplified acquisition threshold in FAR Part 13. The terms "contract," "contractor," and "Contracting Officer" shall be appropriately modified to preserve the Government's rights.

PAGE 70 OF 131 PBGC01-RP-15-0013

advisory and assistance services, the contractor shall obtain from the proposed subcontractor or consultant a disclosure of all existing or potential organizational conflicts of interest and shall determine in writing whether the interests disclosed present a significant potential for an organizational conflict of interest. Where an actual or significant potential organizational conflict of interest is identified, the contractor shall take actions to avoid, neutralize, or mitigate the organizational conflict to the satisfaction of the contractor. If the conflict cannot be avoided or neutralized, the contractor must obtain the approval of the PBGC Contracting Officer prior to entering into the subcontract.
