About this file

This is a Sole Source Justification under Simplified Procedures for Commercial Items issued by the Department of Veterans Affairs.

The Department of Veterans Affairs, VISN 12, at William S. Middleton Memorial Veterans Hospital is procuring preventive and corrective maintenance services for Skytron Surgical Lights and Booms equipment through a sole source award to Alliance Medical, Corp. The anticipated aggregated total cost is $439,360.00, structured as a Firm-Fixed Price purchase order with a base year and four one-year options spanning June 1, 2026 through May 31, 2031. Each contract year is valued at $87,872.00. The service agreement includes all on-site labor, travel, expenses, parts, materials, tools, test equipment, cleaning supplies, supervision, and expertise necessary to maintain the equipment to Original Equipment Manufacturer specifications. Alliance Medical is the only authorized service vendor for the geographical area, as Skytron Surgical Lights and Booms are proprietary equipment with replacement costs estimated at $1.0 million. The procurement was justified under the authority of 41 U.S.C. § 1901 for acquisition of commercial products and services. An Intent to Sole Source notice was published on March 11, 2026 with a response deadline of March 16, 2026, resulting in zero vendor responses. Extensive market research was conducted through the Small Business Administration, AddsUp, GSA, NAC, and Google using multiple search keywords, all confirming that Alliance Medical is the only qualified provider for these specialized systems. The justification was certified by Mebin George, Biomedical Engineer, and approved by Joni Dorr, NCO 12 Contracting Officer, and Erika Cannaday, NCO 12 Services Team 1 Branch Chief at the Great Lakes Acquisition Center.

4. Statutory Authority Permitting Restricted Competition:

RFO 12.201-1 Acquisition of Commercial Products and Commercial Services. The statutory authority for applying the Acquisition of Commercial Products and Commercial Services of RFO 12.201-1 is under the authority of 41 U.S.C. § 1901 for restricting competition on this procurement.

Effective Date: 12/30/2025 Page 2 of 4

Acquisition ID#: 36C252-26-AP-1385

Competition is restricted on this procurement for the reason below:

( X ) Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements

( ) Unusual and Compelling Urgency ( ) Industrial Mobilization, Engineering, Developmental or Research Capability or Expert

Services ( ) International Agreement ( ) Authorized or Required by Statute ( ) National Security ( ) Public Interest

5. Demonstration that the Contractor’s Unique Qualifications or Nature of the Acquisition Requires the Use of the Authority Cited Above (applicability of authority):

Skytron Surgical Lights and Booms are proprietary to Skytron, Inc, with Alliance Medical Corporation the only authorized service vendor for the geographical area. Alliance Medical is authorized to provide proprietary parts. Alliance Medical Corporation is the only vendor that can provide Preventive and Corrective Maintenance for the Skytron Surgical Lights and Booms at the William S.

Middleton Memorial Veterans Hospital.

When searching for additional vendors who provide services to surgical lights and booms via Google, multiple vendors resulted. Skytron Surgical Lights and Booms are currently in use at the William S.

Middleton Memorial Veterans Hospital. To replace the 20 booms and three (3) surgical lights, it would cost an estimate of $1.0 million. It would be cost prohibitive to replace the existing Skytron Surgical Lights and Booms. For the geographical location, only Alliance Medical can meet the needs of the William S. Middleton Memorial Veterans Hospital as the VA Hospital currently owns the Skytron equipment and maintenance of the Skytron equipment is required. It is in the Government’s best interest to continue with the new purchase order for the Preventive and Corrective Maintenance of the Skytron Surgical Lights and Booms.

Skytron Surgical Lights and Booms are highly specialized systems designed specifically for use in operating rooms across a wide range of surgical procedures. These systems integrate seamlessly with existing surgical infrastructure to provide essential illumination, equipment management, and ergonomic support required for safe and efficient workflow. Their unique design, compatibility requirements, and proprietary components make service and replacement parts available only through Skytron’s authorized provider, Alliance Medical Corporation.

Lack of service or failure of these critical systems could significantly disrupt surgical workflows, compromise visibility and equipment access for surgeons, and ultimately delay patient care.

Interruptions in operative procedures can lead to adverse clinical outcomes, including life‑threatening complications. For these reasons, Alliance Medical is the only source capable of providing the specialized service and components necessary to maintain uninterrupted operation of these vital systems.

Utilizing non-authorized vendors would affect system integrity, performance, and compliance.

Additionally, critical safety features may be subject to failure or malfunction and cause patient care delay as only Alliance Medical is authorized to provide the services and OEM parts. The equipment may render inoperable over time if a non-authorized vendor provides the services.

6. Description of Efforts Made to ensure that offers are solicited from as many potential sources as deemed practicable:

An Intent to Sole Source notice was published in Contract Opportunities on 03/11/2026 with a response date of 03/16/2026. Interested vendors were asked to provide capability statements. No responses were received.

7. Determination by the CO that the Anticipated Cost to the Government will be Fair and Reasonable:

The anticipated cost to the Government will be determined fair and reasonable by comparing the cost to previously awarded contracts and purchase orders for similar services with similar scope that were already found fair and reasonable to the Government.

8. Description of the Market Research Conducted and the Results, or a Statement of the Reasons

Market Research Was Not Conducted:

SBA was searched on 03/11/2026 using keyword “Skytron”. Four (4) small businesses resulted, including Skytron, LLC, but upon further research, it was determined that none of these vendors can provide the requirement as three (3) vendors do not provide the requested services, and Skytron, LLC, the OEM of the equipment, does not provide services. SBA was also searched using keywords “Boom”, “Surgical Boom”, and “Surgical Light”. All three (3) searches resulted in zero (0) vendors.

When SBA was searched using keyword “Assure”, one (1) vendor resulted, but it was noted that this vendor provided services for a virtual call center. When SBA was searched using keyword “Light”, one (1) vendor resulted, but it was noted that this vendor provided camera supplies.

AddsUp was searched looking for awarded contracts on 03/11/2026 using keyword “Skytron”.

Multiple vendors resulted as Skytron is the only authorized provider for the equipment and supplies, and authorize other vendors for the services depending on the geographical region. When AddsUp was searched by using NAICS 811210 and PSC J065, four (4) vendors resulted, all with different vendors. It should be noted that VISN 12 has not previously awarded a service contract for Skytron Surgical Lights and Booms as this equipment appears to be new and has replaced the original Stryker Lights and Booms as Skytron Surgical Lights and Booms are a more superior product.

NAC was searched on 03/18/2026 using keywords “Skytron Light” and “Skytron Boom”. Both search resulted in zero (0) vendors. GSA was also searched on 03/18/2026 using keyword “Skytron”, which resulted in zero (0) vendors.

When SBA was searched using NAICS 811210, 1,430 vendors resulted as of 03/11/2026. None of the vendors have the capability to provide the required services.

Google was also searched using “Surgical Lights” and “Surgical Booms”. Multiple vendors resulted, but none of these vendors are authorized to provide the required services. It was determined that if the VAMC decided to change vendors, the surgical lights and booms would need to be replaced, with costs estimated at $1,000,000.00, which is not price reasonable.

Skytron (OEM) provided an authorization letter stating that Alliance Medical Corporation is the only authorized provider for the required services for the William S. Middleton Memorial Veterans Hospital geographic location.

An Intent to Sole Source was posted on 03/11/2026 with a closing date of 03/16/2026. Zero (0) Vendors resulted.
