Revision 09 Date: 04/17/2020

Predictive Maintenance will be performed by the contractor at the intervals that are in accordance with the manufacturer’s recommendations, but no less than annually.

4. Statutory Authority Permitting Other than Full and Open Competition:

FAR13.5 Simplified Procedures for Certain Commercial Items: The authority for applying the Simplified Procedures for Commercial Items of FAR 13.5 is 41 U.S.C. 1901 and is implemented by for restricting competition on this procurement via FAR 13.106 1(b)(2).

5. Demonstration that the Contractor’s Unique Qualifications or Nature of the Acquisition Requires the Use of the Authority Cited Above (applicability of authority):

Market research revealed that Stryker Corporation is the proprietary developer and sole service provider for the Neptune Rovers and Docking Stations and the maintenance thereof.

Additionally, Stryker Corporation is the creator and Original Equipment Manufacturer (OEM) of this equipment and related maintenance. Stryker Corporation, furthermore, owns the proprietary maintenance rights for this equipment and any maintenance thereof. Thus, it is impossible for any other company to provide maintenance for this equipment as Stryker Corporation has sole rights and does not allow for authorized resellers, authorized dealers, or third party maintenance vendors to provide such services for the Neptune Rovers and Docking Stations specifically. Any other entity besides Stryker Corporation providing this service would result in violation of these proprietary rights and voiding of any equipment warranties, as applicable.

Furthermore, Stryker Corporation requires on site action (repairs and preventative maintenance) conducted only by a trained (Stryker certified) technician using OEM parts.

Stryker has not certified third party entities (i.e., other small or large businesses) to conduct on site action. Due to the above requirement for Stryker certified technicans using OEM parts and availability of such technicains and OEM parts being only available with Stryker, this also cannot be solicited for full and open competition. This is documented in Stryker Corporation’s sole source proprietary rights letter provided to the Contracting Officer.

This procurement is a sole source of commercial services pursuant to FAR 13.106 1(b)(2).

6. Description of Efforts Made to ensure that offers are solicited from as many potential sources as deemed practicable:

Market research was conducted as described in Item 8 below to see if capable sources were available. On the basis of these efforts and due to the fact that Stryker Corporation has sole and proprietary rights as Original Equipment Manufacturer (OEM) with no third party authorized dealers being able to service proprietary Stryker equipment, offers are thus not able to be solicited from anyone but the OEM Stryker Corporation.

OFOC SOP Revision 09 Page 4 of 7

Revision 09 Date: 04/17/2020

If circumstances change in the future and the OEM provides for the ability for third party authorized dealers to provide maintenance to Stryker Neptune equipment, the Contracting Officer will provide fair opportunity for SDVSOB, VOSB, SB, and/or Large Business sources through competitive procurement.

7. Determination by the CO that the Anticipated Cost to the Government will be Fair and Reasonable:

The Contracting Officer has determined the cost will be fair and reasonable on the basis of either or both of the following:

Based on Comparison of Proposed Prices with Prices Found Reasonable on Previous Purchases (FAR 13.106 3(a)(2)(ii))

Based on Comparison to the Independent Government Cost Estimate (IGCE) (FAR

13.106 3(a)(2)(vi))

This will ensure best value of contract price to the Government.

8. Description of the Market Research Conducted and the Results, or a Statement of the Reasons Market Research Was Not Conducted:

Market research was conducted by the Contracting Officer to see if there were other capable Service Disabled Veteran Owned Small Business (SDVOSB), Veteran Owned Small Business (VOSB), or Small Business (SB) sources available to perform this service.

To determine SDVOSB or VOSB, market research was conducted through https://vetbiz.va.gov. Per this site, there were approximately 287 SDVOSB and VOSB listed in Vet Biz under NAICS 811219.

While there were 287 SDVOSB and VOSB, they were not a feasible option for set asides, as none responded to Intent to Sole Source Notice nor were able to perform services due to proprietary rights of sole source contractor Stryker Corporation and further rationale as detailed on P03 Justification & Approval that will be included in procurement file.

To determine validity to do a sole source award to Stryker Corporation, an Intent to Sole Source notice was posted to Contract Opportunities at https://beta.sam.gov on 06 29 2020 with response deadline of 07 06 2020. Contracting Officer also e mailed to SDVOSB and VOSB identified under NAICS 811219 at https://vetbiz.va.gov this intent notice on 06 29 2020, with response deadline of 07 06 2020.

OFOC SOP Revision 09 Page 5 of 7

Revision 09 Date: 04/17/2020

Upon passing of response deadline, no responses were received by CO, and it is thus assumed, along with this market research report, proprietary rights letter from Contractor, and P03 Justification & Approval that will be included in procurement file, that a sole source award to Stryker Corporation is appropriate.

9. Any Other Facts Supporting the Use of Other than Full and Open Competition:

Not Applicable

10. Listing of Sources that Expressed, in Writing, an Interest in the Acquisition:

Stryker Corporation

DUNS 196548481

1941 Stryker Way Portage, MI 49002

11. A Statement of the Actions, if any, the Agency May Take to Remove or Overcome any Barriers to Competition before Making subsequent acquisitions for the supplies or services required:

Due to fact that Stryker Corpioration has sole and proprietary rights as Original Equipment Manufacturer (OEM) with no third party authorized dealers being able to service proprietary Stryker equipment, offers are thus not able to be solicited from anyone but the OEM Stryker Corporation.

If circumstances change in the future and the OEM provides for the ability for third party authorized dealers to provide maintenance to Stryker Neptune equipment, the Contracting Officer will provide fair opportunity for SDVSOB, VOSB, SB, and/or Large Business sources through competitive procurement.

Informal Vendor Quotes Prior Bills of Material Prior Monthly Vouchers Catalog Pricing Other (Please Explain ): IGCE is derived from Contractor Market Research Quote provided by Stryker. We also review past contract pricing at Contract Opportunities at https://beta.sam.gov. On 04-12-2018, Contract 36C26218C0093 was awarded to Stryker in amount of $39,586.32 by San Diego VA Health Care System. This would be considered a per facility cost of $39,586.32. For our procurement, total quote is $957,143.62.

The average annual cost would be $119,642.95. Cost per facility (8 facilities divided by annual cost) would be $14,955.37. On this basis, it would appear that Stryker quote would be fair and reasonableness pricing. As quote research was less than past contract pricing, the IGCE is thus derived from Contractor quote. Finally, the most recent contract VA263-15-C-0022 final option year (01-01-2018 to 12-31-2019) pricing of $178,138 pricing is fair and reasonable in comparison to base year pricing of $172 880 20 Pricing is $5 257 80 less

III. MARKET RESEARCH FINDINGS

The Contracting Officer (CO) conducts market research first in compliance with mandatory sources for services, unless procurement is sole source. Once a mandatory source has been found, no further research will be conducted of lower priority sources.

The CO is looking for sources to solicit in priority order of Service Disabled Veteran Owned Small Business (SDVOSB), Veteran Owned Small Business (VOSB), Ability One (if on established Procurement List and no SDVOSB/VOSB found), Small Business (SB), and Unrestricted. Per Veterans Affairs Acquisition Regulation (VAAR) 819.7004 (Contracting Order of Priority), SDVOSB and VOSB receive highest priority.

Sole Source

The CO may use other than full and open competition procedures based on criteria set forth in FAR Subpart 6.3 (Other Than Full and Open Competition), FAR 8.405 6 (Limiting Sources), or FAR Part 13 (Simplified Acquisition Procedures). The CO must include a Limited Sources Justification (LSJ) in the procurement file if Federal Supply Schedule (FSS) per FAR 8.405 6, Other Than Full and Open Competition Justification & Approval (OFOC J&A) per FAR Subpart 6.3, or FAR 13.106 1(b) if an open market requirement.

Posting of such justifications will follow applicable FAR regulations. SDVOSB and VOSB sole source is highest priority for sole source if applicable.

This requirement is an SDVOSB Sole Source and will be awarded IAW Veterans Affairs Acquisition Regulation (VAAR) 819.7007; LSJ or OFOC J&A will be completed and included in the procurement file as P03 meta tag. See VII. Recommendation below for further detail.

This requirement is a VOSB Sole Source and will be awarded IAW VAAR 819.7008; LSJ or OFOC J&A will be completed and included in the procurement file as P03 meta tag.

See VII. Recommendation below for further detail.

This requirement is a Sole Source to Small Business (SB); LSJ or OFOC J&A will be completed and included in the procurement file as P03 meta tag. See VII.

Recommendation below for further detail.

This requirement is a Sole Source to Large Business (LB); LSJ or OFOC J&A will be completed and included in the procurement file as P03 meta tag. See VII.

Recommendation below for further detail.

This is not applicable

To determine validity to do a sole source award to Stryker Corporation, an Intent to Sole Source notice was posted to Contract Opportunities at https://beta.sam.gov on 06 29 2020 with response deadline of 07 06 2020. See P02 Successful Intent to Sole Source Posting in procurement file. Contracting Officer also e mailed to SDVOSB and VOSB identified under NAICS 811219 at https://vetbiz.va.gov this intent notice on 06 29 2020, with response deadline of 07 06 2020. See P02 Successful Intent to Sole Source to Vet Biz SDVOSB and VOSB in procurement file.

Upon passing of response deadline, no responses were received by CO, and it is thus assumed, along with this market research report, proprietary rights letter from Contractor, and P03 Justification & Approval that will be included in procurement file, that a sole source award to Stryker Corporation is appropriate.

IV. RULE OF TWO ANALYSIS

Vet Biz Database Research https://www.vip.vetbiz.gov

To determine SDVOSB or VOSB, market research was conducted through Vet Biz NAICS 811219. See P02.1 VIP Query NAICS 811219 in procurement file. Per Vet Biz, there were approximately 287 SDVOSB and VOSB listed in Vet Biz.

VI. COMMERCIALITY DETERMINATION

Market research indicates this is a commercial item customarily available in the commercial marketplace to the public, and it meets agency requirements IAW FAR 2.101(a)(6). IAW FAR 10.002 (b)(1)(i) to (vii), the following specific information on this acquisition is determined:

a) Government’s needs can be met by items of a type customarily available in the commercial marketplace

b) There is no modification required of these items

c) These are standard commercial practices with no warranty and low risk to the

Contractor

d) The requirement does not have any unique laws or regulations that would not apply to the general public

e) No recovered materials or energy efficient items are used or available

f) Normal distribution and support capabilities are utilized for these services

g) Size and status of potential sources is not applicable

VII. RECOMMENDATION

On basis of market research as documented above, it is recommended that a sole source procurement and award be made to Stryker Corporation.

As this procurement is over $700,000, a subcontracting plan will be required by awarded Contractor IAW FAR 19.702 (a)(2) if the procurement has subcontracting possibilities.

This is done under authority of 41 U.S.C. 3304(a)(1), as implemented by FAR 13.106-1(b)(i): Contracting Officers may solicit from one source if the contracting officer determines that the circumstances of the contracting action deem only one source reasonably available (e.g., urgency, exclusive licensing agreements, brand-name, or industrial mobilization).

This is not a request for competitive quotes.

The North American Industry Classification System (NAICS) code for this service is 811219 (Other Electronic and Precision Equipment Repair and Maintenance) and the Product Service Code (PSC) is J065 (Maintenance and Repair of Medical, Dental, and Veterinary). Small Business Size Standard is $22,000,000.

Page 3 of 5beta.SAM.gov

While this synopsis does not constitute a solicitation, interested contractors may identify their interest and capability to satisfy the requirement, including documentation from the proprietary rights holder Stryker Corporation that such contractor could provide this service as an authorized dealer or third party for Neptune Rovers and Docking Stations specifically.

All responsible sources may submit a capability statement, which shall be considered by the agency by e-mailing such statement and supporting documentation by 11:59pm Central Standard Time (CST), 07- 06-2020 to Doug Reed, Contracting Officer, at douglas.reed3@va.gov. No phone calls please. Please indicate “Response to Stryker Neptune Services Intent to Sole Source for VISN 23” in subject line of e-mail.

Such documentation will be reviewed solely for the purpose of determining whether or not to conduct the procurement on a competitive basis. A determination not to compete this requirement, based upon responses to this notice, is solely within the discretion of the Government under authorities cited above.

Subject: COURTESY INTENT TO SOLE SOURCE NOTICE - Sole Source to Stryker Corporation for Neptune Service Contract Date: Monday, June 29, 2020 1:46:00 PM

This is a Notice of Intent published in accordance with Federal Acquisition Regulation (FAR) 5.101(a)

(1) requiring the dissemination of information regarding proposed contract actions. This Notice of Intent is for a proposed award of a sole source firm fixed price contract to the following contractor in support of Stryker Neptune Maintenance Services for Veterans Integrated Service Network (VISN) 23:

Stryker Corporation

DUNS 196548481

1941 Stryker Way Portage, MI 49002

This is done under authority of 41 U.S.C. 3304(a)(1), as implemented by FAR 13.106-1(b)(i):

Contracting Officers may solicit from one source if the contracting officer determines that the circumstances of the contracting action deem only one source reasonably available (e.g., urgency, exclusive licensing agreements, brand-name, or industrial mobilization).

This is not a request for competitive quotes.

All responsible sources may submit a capability statement, which shall be considered by the agency by e-mailing such statement and supporting documentation by 11:59pm Central Standard Time (CST), 07-06-2020 to Doug Reed, Contracting Officer, at douglas.reed3@va.gov.

Thanks, Doug Reed
