About this file

This document is a Justification for Limiting Sources for a micro-purchase threshold up to the Simplified Acquisition Threshold (SAT) for the Department of Veterans Affairs (VA). The VA is awarding a contract to Omnicell, Inc. for Omnicell Maintenance Service Agreement, Gold Plan under Solicitation Number 36C25724AP4279. The contract was awarded on 2024-10-17 for $63,978. This justification is required to limit competition for this procurement to a single source, Omnicell, Inc., as the incumbent provider. The VA determined that Omnicell's proprietary software and hardware are essential for the maintenance and operation of the existing Omnicell medication management systems already in use.

3. Description of Supplies or Services:

The estimated value of the proposed action is VA Texas Valley Coastal Bend Health Care System (VATXVCBHCS) has government owned Omnicell automation equipment in use at several different locations. This automation equipment is essential for efficient supply dispensing throughout numerous patient cai·e clinics. An updated server as well as licensing for the equipment is necessa1y to always keep the equipment fully operational to preclude disruption to patient cai·e. An updated Omnicell server and licensing is necessa1y for Omnicell to suppo1i and download updates for the government owned automation equipment. The purpose of the task order is to retain operational capability of the Omnicell equipment to ensure the health and safety of Veteran patients. The estimated period of perfo1mance for the license is for twelve months, 11/01/24-10/31/25. Omni cell is the only source that manufactures, develops and provides products and suppo1i services of Omnicell equipment in the United States. As such no other source is capable of meeting the requirement.

Mai·ket research was conducted by searching mandato1y and non-mandato1y government sources to dete1mine what sources could fulfill the requirement. Only one source, the original equipment manufacturer was found capable of fulfilling the need via Federal Supply Schedule. This was fuither confnmed with the original manufacturer and stated in Omnicell's sole source letter dated 5/17/24 (see section five for details). Due to these findings no further mai·ket research was conducted. Omnicell is a lai·ge business.

4. Authority:

Order Against FSS: Authority of the Multiple Award Schedule Program, Title III of the

Federal Property and Administrative Services Act of 1949 (41 USC 251, et seq.); Title 40 USC

501, Services for Executive Agencies; and Section 803 of the National Defense Authorization

Act of 2002 (PL 107-107) and implemented by FAR 8.405-6. Mark the applicable exception:

An urgent and compelling need exists, and following the procedures would result in unacceptable delays(FAR 8.405-6(a)(1)(i)(A);

Only one source is capable of providing the supplies or services required at the level of quality required because the supplies or services are unique or highly specialized;

(FAR 8.405-6(a)(1)(i)(B));

In the interest of economy and efficiency, the new work is a logical follow-on to an original Federal Supply Schedule order and the original order was placed in accordance with the applicable Federal Supply Schedule ordering procedures. The original order was not previously issued under sole-source or limited-sources procedures (FAR

8.405-6(a)(1)(i)(C)); or

Items peculiar to one manufacturer. An item peculiar to one manufacturer can be a particular brand name, product, or a feature of a product, peculiar to one manufacturer).

A brand name item, whether available on one or more schedule contracts, is an item peculiar to one manufacturer (FAR 8.405-6(b)).

5. Rationale/explanation to support cited authority: Per Omnicell letter dated 5/17/24, Omnicell is the sole manufacturer, developer and exclusive provider of support services for

Omnicell equipment in the United States. Omnicell does not have authorized personnel outside of the company to provide the required services, as such no other source is capable of meeting the requirement. Using a different source would require all government owned

Omnicell equipment to be either unserviced, negatively impacting patient care, or would require Omnicell equipment to be replaced throughout the facilities causing duplication in costs.

6. Note that this determination satisfies the requirements of FAR 8.405-6. The requirement to prepare a written justification IAW FAR 6.303 does not apply to Federal Supply Schedules.
