Sole Source Justification Summary
This document is a Sole Source Justification under Simplified Procedures for Certain Commercial Items (RFO 12.102) issued by the Department of Veterans Affairs for a Community Based Outpatient Clinic (CBOC) Primary Care Services and Tele-Mental Health Services contract. The contracting activity involves VA's Veterans Integrated Service Network (VISN) 19, the Oklahoma City Health Care System (OKC VAHCS), and Network Contracting Office (NCO) 19. The procurement requires services for the Blackwell CBOC in Blackwell, Oklahoma, serving an estimated 620 veteran enrollees monthly. The contract type is a firm-fixed-price Indefinite Delivery Indefinite Quantity (IDIQ) with a base period of April 1, 2026, through June 30, 2026, and a three-month option period from July 1, 2026, through September 30, 2026. Services are currently provided under contract 36C25925D0029 expiring March 31, 2026, with the long-term competitive requirement in pre-award phase targeting an April 1, 2026, award date.
The justification restricts competition to Blackwell Family Medicine, the incumbent contractor, citing it as the only responsible source capable of meeting agency requirements. The rationale emphasizes that establishing a new CBOC would require four to six months for facility buildout, staff recruitment, credentialing, and VA background checks—timelines incompatible with the April 1, 2026, start date. Market research identified forty-five small businesses under NAICS 621498 in Oklahoma, including four Service-Disabled Veteran-Owned Small Businesses (SDVOSBs) and four Veteran-Owned Small Businesses (VOSBs), but none possess the capability to stand up operations within the required timeframe. The Contracting Officer will determine pricing as fair and reasonable using current contract rates, an Independent Government Cost Estimate (IGCE), and a 2.87 percent Consumer Price Index escalation rate. A long-term competitive SDVOSB set-aside solicitation (36C25922R0102) was previously issued to address the barrier to competition and provide continuation of veteran care without service interruption.

Effective Date: 12/30/2025 Page 2 of 4 Revision: 02 Acquisition ID#:
This will be a fixed price three (3) month base period April 1, 2026, to June 30, 2026, and a three (3) month option period July 1, 2026, to September 30, 2026. It is estimated that 620 Veteran enrollees may visit the clinic each month over the three (3) month period of performance, at a cost of per member per month (PMPM). The short-term contract will include RFO clause 52.217-8 Option to Extend Services. If executed, the period of performance could be extended to March 31, 2027. The specified rates under this clause will be those rates in effect under the contract each time an option is exercised under this clause.
4. Statutory Authority Permitting Restricted Competition:
RFO 12.102 Simplified Procedures for Certain Commercial Items. The statutory authority for applying the Simplified Procedures for Commercial Items of RFO 12.201-1 is 41 U.S.C. § 1901 and is implemented by RFO 12.201-1 for restricting competition on this procurement. Competition is restricted on this procurement for the reason below:
(X) Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements
( ) Unusual and Compelling Urgency ( ) Industrial Mobilization, Engineering, Developmental or Research Capability or Expert
Services ( ) International Agreement ( ) Authorized or Required by Statute ( ) National Security ( ) Public Interest
5. Demonstration that the Contractor’s Unique Qualifications or Nature of the Acquisition Requires the Use of the Authority Cited Above (applicability of authority):
The services required by this procurement are essential to the continued patient care of the Veterans primarily residing in Blackwell Oklahoma. With a required start date of April 1, 2026, the incumbent contractor, Blackwell Family Medicine is the only source in the position to provide all the requirements of the PWS.
Blackwell Family Medicine has the appropriated staff, systems and facility equipped to provide the continuity of highly specialized services to the Veterans in the area thus avoiding unacceptable delays in fulfilling the agency’s requirements. The Blackwell CBOC currently serves 620 veterans on an annual basis. As the incumbent, Blackwell Family Medicine is uniquely positioned to ensure uninterrupted care and services to our veterans.
There are no other sources with CBOC capabilities located in Blackwell Oklahoma that can provide the existing services in the required timeframe. A new CBOC contractor will need fully credentialed staff and a suitable facility that meets PACT standard prior to providing care to the Veterans.
Further, setting up a new CBOC would take up to six months after award to set up. Therefore, there is insufficient time to accomplish this prior to the need date of April 1, 2026.
6. Description of Efforts Made to ensure that offers are solicited from as many potential sources as deemed practicable:
A long-term competitive solicitation (36C25922R0102) was issued as an SDVOSB set-aside and the award is pending funding. This short-term interim contract will provide continued services while the long-term acquisition is awarded ensuring no transitional impacts which would delay Veterans care.
Effective Date: 12/30/2025 Page 3 of 4 Revision: 02 Acquisition ID#:
The short-term requirement was not solicited. This justification will be published to the Government Point of Entry (GPE) in accordance with RFO 6.301.
7. Determination by the CO that the Anticipated Cost to the Government will be Fair and
Reasonable: The Contracting Officer will determine that the anticipated cost to be fair and reasonable based on current contract pricing, Independent Government Cost Estimate (IGCE) and United States Bureau of Labor Statistics (BLS) – Consumer Price Index (CPI) Escalation rates. The Medical Sharing Office SharePoint site indicates a CPI rate of 2.87%.
8. Description of the Market Research Conducted and the Results, or a Statement of the Reasons
Market Research Was Not Conducted: Market research was conducted by the Contracting Officer on February 2, 2026, using Small Business Search (SBS) to determine businesses capable of providing Community Based Outpatient Care services in Blackwell Oklahoma. In addition, to meet the VA Rule of Two, a review of the Small Business Search website was also conducted to determine if two (2) or more Service-Disabled Veteran-Owned Small Businesses (SDVOSBs) and Veteran-Owned Small Businesses (VOSBs) that are capable of providing Community Based Outpatient Clinics are listed the state of Oklahoma.
SBS reflects forty -five (45) small businesses listed under North American Industry Classification System (NAICS) 621498 for Oklahoma. There are four (4) Service-Disabled Veteran Owned Small Businesses and four (4) Veteran Owned Small Businesses listed.
The VA Rule of Two cannot be met as the Service-Disabled Veteran Owned Small Businesses does not have capability to stand up a new CBOC in the timeframe required for services to begin on April 1, 2026. A new contractor would require a suitable facility that meets PACT standard prior to providing care to the Veterans of which typically takes four (4) to six (6) months buildout.
Blackwell Family Medicine is the only source capable of providing continuity of services within the limited period required before contract expiration. Any change in the current contractor support at this time is not feasible as the process would require the new contractor to locate and build-out a new facility, recruit and hire staffing, undergo VA background checks, and complete credentialing, which is not realistic given the timeframe of current services expiring on March 31, 2026. A new contractor will need at least six (6) months to provide a fully operational CBOC in Blackwell Oklahoma, once a location has been selected.
9. Any Other Facts Supporting the Use of Other than Full and Open Competition: None.
10. Listing of Sources that Expressed, in Writing, an Interest in the Acquisition:
Blackwell Family Medicine 1009 W. Ferguson Ave Blackwell, Oklahoma 74631
11. A Statement of the Actions, if any, the Agency May Take to Remove or Overcome any Barriers to
Competition before Making subsequent acquisitions for the supplies or services required: A long-term competitive solicitation for a SDVOSB set-aside has been issued.
12. Requirements Certification: I certify that the requirement outlined in this justification is a Bona Fide Need of the Department of Veterans Affairs and that the supporting data under my cognizance,
File details come from the government source that posted it. Updated .
