About this file

This is a Justification and Approval (J&A) document for other than full and open competition issued by the Department of Veterans Affairs (VA), Office of Acquisition, Logistics, and Construction (OALC), Network Contracting Office (NCO) 21, on behalf of VA Southern Nevada Health Care System (VASNHCS).

The VA seeks a firm-fixed-price contract valued at $363,500.00 for Guldmann GH3+ ceiling lift track systems, design, installation, and clinical training. The requirement stems from the VA's ownership of 40 Guldmann GH3+ lift motors that remain in inventory but cannot be deployed without compatible track infrastructure. These installations are necessary to address increased patient-handling demands in clinical areas including Dialysis, Dental, Peri-Surgical Units, Radiology, and Therapy Services. Performance shall be completed within six months of award. The acquisition will be conducted using RFO Part 12 procedures for commercial products and services.

Competition is restricted under 41 USC §3304(a)(1) based on the "only one responsible source" authority, as Guldmann, Inc., the Original Equipment Manufacturer, is the sole source capable of providing proprietary ceiling lift track systems compatible with the VA-owned GH3+ motors. Alternative manufacturers' track systems are incompatible with motor mounting interfaces and safety features, would void warranties, and necessitate purchasing entirely new motors, resulting in substantial additional costs and inefficient use of government property. Market research included publication of a Notice of Intent to Sole Source (36C26126Q0876) from June 24-30, 2026, yielding no competing offers. Guldmann, Inc., a small business located in Tampa, Florida, is the sole offeror identified for this requirement.

VHAPG Part 806.3 OFOC Page 1 of 5 Revision: 04 Effective Date: 12/15/25 Acquisition ID#: 36C261-26-AP-2817

DEPARTMENT OF VETERANS AFFAIRS

Justification and Approval (J&A) For

Other Than Full and Open Competition (>SAT)

Acquisition Plan Action ID: 36C261-26-AP-2817 JOFOC Tracker 26: FY26-NCO 21-1647

1. Contracting Activity: Department of Veterans Affairs (VA), Office of Acquisition, Logistics, and Construction (OALC), Network Contracting Office (NCO) 21, on behalf of the Health Service Area (HSA) 52, VA Southern Nevada Health Care System

(VASNHCS). 2237: 593-26-2-163-0031.

2. Nature and/or Description of the Action Being Approved: This action is for a new firm-fixed-price contract for Guldmann GH3+ ceiling lift track systems required for proper operation of patient lift motors already owned by the VA. The action includes design, installation, and clinical training for ceiling-mounted track systems in multiple clinical areas. The acquisition will be conducted in accordance with Revolutionary FAR Overhaul (RFO) Part 12 procedures for commercial products and services. Competition is restricted pursuant to RFO 6.104, and the statutory authority cited in Section 4.

The award will be made to Guldmann, Inc., a small business, located in Tampa, Florida.

3. Description of Supplies/Services Required to Meet the Agency’s Needs:

The requirement consists of furnishing and installing ceiling lift track systems that interface with forty (40) VA-owned Guldmann GH3+ lift motors, which remain in inventory but cannot be deployed without compatible track infrastructure. As confirmed in the vendor quotation and Independent Government Cost Estimate (IGCE), the motors will be provided by the VA, and only the track systems and installation services are being procured.

These installations are necessary to address increased patient-handling demands in underserved areas such as Dialysis, Dental, Peri-Surgical Units, Radiology, and Therapy Services. Existing mobile or floor lifts are insufficient due to space limitations, workflow incompatibilities, or inability to safely support current patient populations. The ceiling lift track systems will ensure safe patient transfers, reduce staff injury risk, and support operational efficiency.

Performance shall be completed within six (6) months after receipt of award.

The estimated total value of the proposed action is $363,500.00.

4. Statutory Authority Permitting Other than Full and Open Competition:

( X ) (1) Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements per 41 USC §3304(a)(1) as implemented by

RFO 6.103-1;

( ) (2) Unusual and Compelling Urgency per 41 USC §3304(a)(2) as implemented by RFO 6.103-2;

( ) (3) Industrial Mobilization, Engineering, Developmental or Research Capability or Expert Services per 41 USC §3304(a)(3) as implemented by RFO 6.103-3;

( ) (4) International Agreement per 41 USC §3304(a)(4) as implemented by RFO 6.103-4

( ) (5) Authorized or Required by Statute per 41 USC §3304(a)(5) as implemented by RFO 6.103-5;

( ) (6) National Security per 41 USC §3304(a)(6) as implemented by RFO 6.103-6;

( ) (7) Public Interest per 41 USC §3304(a)(7) as implemented by RFO 6.103-7;

5. Demonstration that the Contractor’s Unique Qualifications or Nature of the Acquisition Requires the Use of the Authority Cited Above (applicability of authority):

Guldmann, Inc., as the Original Equipment Manufacturer (OEM), is the only responsible source capable of meeting the Government's requirements. Guldmann ceiling lift track systems are proprietary and engineered to integrate directly with GH3+ motors. Other vendors’ track systems are incompatible with the motor mounting interfaces, load ratings, and software safety features required for proper GH3+ functionality.

Use of a non-OEM track would:

• render the VA-owned motors unusable,

• void manufacturer warranties,

• introduce unacceptable safety risks in patient-handling environments, and

• necessitate purchasing new lift motors, resulting in substantial and avoidable additional costs.

Because the VA already owns the Guldmann GH3+ motors, procuring non-Guldmann track systems would not satisfy the Government's minimum requirements to efficiently utilize existing government property.

Therefore, Guldmann is the only responsible source capable of providing ceiling lift track systems that are compatible with VA-owned equipment and meet clinical safety and performance standards.

Accordingly, Guldmann, Inc. is the only firm capable of providing the supplies and services described in Section 3 above without the Department of Veterans Affairs experiencing unacceptable delays in fulfilling its requirements.

6. Description of Efforts Made to ensure that offers are solicited from as many potential sources as possible (including whether a notice was or will be publicized as required by RFO Part 5 and, if not, which exception under RFO Part 5 applies): Notice of Intent to Sole Source was published via Contracting Opportunities (Solicitation No. 36C26126Q0876) on June 24, 2026. The notice remained open until June 30, 2026, thereby providing a full six days for potential vendors to review and respond. No vendors submitted offers or inquiries during this period except Guldmann, Inc. In addition to publication of the Notice of Intent, market research included review of available Government contract vehicles, commercial sources, and SBA Small Business Search results.

7. Determination by the CO that the Anticipated Cost to the Government will be

Fair and Reasonable: The Contracting Officer will determine the price to be fair and reasonable in accordance with RFO Part 12. This determination will be based on comparison to the Independent Government Cost Estimate (IGCE), historical pricing, and market research, as applicable.

8. Description of the Market Research Conducted and the Results, or a

Statement of the Reasons Market Research Was Not Conducted:

A search of the Small Business Administration’s (SBA) Small Business Search database on June 12, 2026, using North American Industry Classification System (NAICS) code 339113 (Surgical Appliance and Supplies Manufacturing), identified twelve (12) small businesses, including three (3) Service-Disabled Veteran-Owned Small Businesses (SDVOSBs).

A Notice of Intent to Sole Source (36C26126Q0876) was posted on Contracting Opportunities from June 24, 2026, through June 30, 2026. Only Guldmann, Inc.

responded to the notice.

The Guldmann GH3+ ceiling lift track systems was not found in the VA National Acquisition Center (NAC) catalog despite conducting a search using the applicable item number, GH3+. A subsequent search using the same item number on the General Services Administration (GSA) Advantage website also produced no results. This confirms that the required equipment is not available through either the NAC or GSA procurement channels.

The Independent Government Cost Estimate (IGCE) confirms that lift motors will be provided by the VA; therefore, any required ceiling lift track systems must be fully compatible with the Guldmann GH3+ model specifications.

While multiple manufacturers produce patient lift devices, ceiling lift track systems vary significantly in design, load capacity, motor interface requirements, rail configuration, and installation engineering. Based on available product information and manufacturer specifications, no alternative manufacturer offers track infrastructure that is certified, engineered, or warranted to integrate with Government-owned Guldmann GH3+ motors.

VHAPG Part 806.3 OFOC Page 4 of 5

Vendor documentation confirms that Guldmann ceiling lift tracks are proprietary and uniquely designed to interface with Guldmann motors, ensuring safe and compliant operation. Other manufacturers’ tracks are not compatible with GH3+ motor attachment systems and would void warranties, create safety hazards, and require purchasing entirely new lift motors resulting in duplicative costs and inefficient use of Government-owned assets.

Nonmanufacturer Rule does not apply. Vendor is manufacturer of GH3+ Ceiling Lift.

The system is manufactured, designed, and developed in the United States. The Buy American Statute and Trade Agreement Act does not apply.

As described in Section 6 above, market research in accordance with RFO Part 10 was conducted, including publicizing the requirement to industry to identify potential sources.
