Summary

This is a Sole Source Justification document under FAR 13.5 Simplified Procedures for Certain Commercial Items submitted by the Department of Veterans Affairs, Network 23 Contracting Office (NCO 23) in Coralville, Iowa. The procurement seeks a firm-fixed-price, six-month emergency bridge Indefinite Delivery Indefinite Quantity (IDIQ) contract for the rental of in-home ventilators and associated consumables to support VISN 23 VA Health Care Systems at multiple locations. The estimated contract value is $868,605.51, representing approximately six months of the estimated $2,000,000 annual requirement. The contract period of performance runs from April 2, 2026, through September 30, 2026. The government intends to award this bridge contract to the incumbent contractor, Corner Home Medical LLC (current contract 36C26325D0011 expiring April 1, 2026), to ensure continuity of critical patient care while acquisition planning for a consolidated home ventilator and home oxygen services requirement is completed and a fully competitive procurement is conducted.

The justification cites two restricted competition authorities: "Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements" and "Unusual and Compelling Urgency." The government determined that Corner Home Medical is the only vendor capable of providing uninterrupted ventilator rental and consumable support at the required VISN-wide scale based on market research, review of prior acquisition history, and a prior Intent to Sole Source posting issued September 10, 2024, which generated no competing responses. The schedule of items includes 22 line items covering ventilator rentals, tracheostomy supplies, suction equipment, saline vials, sterile water bottles, and related medical consumables. The contracting officer certified the justification as accurate; Branch Chief approval was also obtained as required for contracts exceeding $350,000 but not exceeding $900,000.

VHAPG Part 813.5 Simplified Acquisition Procedures for Certain Commercial Items Attachment 1: Request for Sole Source Justification Template >SAT-SAP under FAR13.5

DEPARTMENT OF VETERANS AFFAIRS

SOLE SOURCE JUSTIFICATION UNDER SIMPLIFIED PROCEDURES FOR CERTAIN COMMERCIAL

ITEMS IN ACCORDANCE WITH FAR 13.5

Acquisition Plan Action ID: 36C263-26-AP-2561

1. Contracting Activity: Department of Veterans Affairs, NCO 23 Contracting Office, 1303 5th St. STE

300, Coralville, IA.

Organizational Activity: Department of Veterans Affairs; in support of VISN 23 VA Health Care Systems at Multiple VISN 23 Locations.

2. Nature and/or Description of the Action Being Processed:

This procurement is for the rental of in-home ventilators and associated consumables and will be conducted in accordance with FAR 13.5, Simplified Procedures for Certain Commercial Products and Commercial Services. Under FAR 13.501, Special Documentation Requirements, acquisitions conducted using these procedures are exempt from the competition requirements of FAR Part 6; however, a justification is still required and must follow the format outlined in FAR 6.303-2.

The Government intends to award a firm-fixed-price, six-month emergency bridge IDIQ contract for in-home ventilators and consumables to ensure continuity of critical patient care while the follow-on consolidated acquisition is completed.

3. Description of Supplies/Services Required to Meet the Agency’s Needs: VISN 23 requires continued support for home ventilators and associated consumables to meet ongoing, medically necessary patient care needs. This six-month emergency bridge action is necessary to provide contracting staff sufficient time to complete the required consolidation memorandum to combine home ventilator and home oxygen services into a single, unified acquisition. Consolidating these requirements will allow future procurements to be fully competed in accordance with FAR regulations and aligned with national VISN practices.

VISN 23 is estimated to order approximately $2,000,000 annually for home ventilators and consumables. The estimated value for this six-month bridge contract is $868,605.51. Ventilators and related supplies will be ordered on an as-needed basis, as demand is driven by unpredictable patient-specific clinical needs. The bridge contract will be structured as a six-month IDIQ with a period of performance from 04/02/2026 through 09/30/2026.

5. Statutory Authority Permitting Restricted Competition:

FAR 13.5 Simplified Procedures for Certain Commercial Items. The statutory authority for applying the Simplified Procedures for Commercial Items of FAR 13.5 is 41 U.S.C. § 1901 and is implemented by FAR 13.106-1(b)(2) for restricting competition on this procurement. Competition is restricted on this procurement for the reason below:

( X ) Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements

( X ) Unusual and Compelling Urgency ( ) Industrial Mobilization, Engineering, Developmental or Research Capability or Expert

Services ( ) International Agreement ( ) Authorized or Required by Statute ( ) National Security ( ) Public Interest

6. Demonstration that the Contractor’s Unique Qualifications or Nature of the Acquisition Requires the Use of the Authority Cited Above (applicability of authority): This requirement is a six-month bridge IDIQ for home ventilator rentals and associated consumables. VISN 23 intends to consolidate home ventilator and home oxygen services into a single, unified requirement. To complete the consolidation determination, issue a combined solicitation, and conduct a fully competitive acquisition, a six-month bridge is necessary to support the continued need for home ventilators.

Corner Home Medical LLC is the incumbent contractor under contract 36C26325D0011, which expires on 04/01/2026. With fewer than nine days remaining on the current contract and a critical need to ensure there is no interruption to patient care, there is no opportunity to compete this short-term bridge action. Proceeding with a bridge contract is essential to maintain continuity of services while acquisition planning for the consolidated requirement is finalized.

7. Description of Efforts Made to ensure that offers are solicited from as many potential sources as deemed practicable: In accordance with FAR 6.302-2, Unusual and Compelling Urgency, the Government is required to request offers from as many potential sources as practicable under the circumstances. Due to the urgent and compelling need to avoid a lapse in critical home ventilator services as of 04/02/2026, the Government conducted a review of all available market research, prior vendor responses, and recent acquisition history to determine whether additional responsible sources existed.

A prior Intent to Sole Source (ITSS) posting for this requirement, issued on 09/10/2024, resulted in no responses or expressions of capability from other vendors. No new vendors have emerged since that time, and updated market research confirms that no additional sources are currently able to meet VISN-wide clinical, delivery, and response requirements without service interruption. Corner Home Medical, the incumbent, is the only vendor with demonstrated capability to continue providing uninterrupted ventilator rental and consumable support at the required scale.

Given the minimal time remaining before expiration of the current contract, and the critical patient-care impacts associated with any delay, conducting a competitive procurement is not practicable. A synopsis posting would unreasonably delay award and jeopardize continuity of care, meeting the criteria under FAR 6.302-2. Therefore, based on the urgent and compelling need and the absence of other capable sources identified through prior notifications and current market research, Corner Home Medical is the only practicable source for this short-term bridge requirement.

8. Determination by the CO that the Anticipated Cost to the Government will be Fair and Reasonable: It is anticipated that price will be fair and reasonable through comparison against the IGCE and historical contract pricing.

9. Description of the Market Research Conducted and the Results, or a Statement of the Reasons Market Research Was Not Conducted: The contracting office contacted Corner Home Medical LLC, the incumbent vendor, who confirmed they are willing and capable of fulfilling this emergency bridge requirement. To determine whether the VA Rule of Two could be met, the Dynamic Small Business Search (DSBS) tool was reviewed to identify any verified Service-Disabled Veteran-Owned Small Businesses (SDVOSBs) or Veteran-Owned Small Businesses (VOSBs) under the applicable NAICS code. No eligible vendors were identified with the capability to perform this requirement at the VISN-wide scale needed.

As outlined in Section 6, market research was conducted in accordance with FAR Part 10. This included reviewing prior acquisition history, assessing vendor capabilities, and utilizing public-facing tools to identify potential sources. Additional notice to industry through a synopsis would unreasonably delay award under the current urgent and compelling circumstances. No additional responsible sources were identified through these efforts.
