About this file
This document is a Justification and Approval (J&A) for Other Than Full and Open Competition to increase the ceiling of the Department of Homeland Security (DHS) Cellular Wireless Managed Services (CWMS) Indefinite Delivery Indefinite Quantity (IDIQ) Contract No. 70RTAC21D00000001. The IDIQ contract was awarded to WidePoint Integrated Solutions Corp. in 2020 with an initial ceiling of $500,000,000. DHS now seeks to increase the ceiling by $254,586,751.17, bringing the new total ceiling to $754,586,751.17. The CWMS IDIQ contract provides comprehensive managed wireless services including devices, service, Mobile Device Management, and other related services. The justification cites the need to provide continuity of services without disruption and afford DHS time to re-compete the follow-on requirement. The J&A indicates that segregating the work is not recommended, as it would not allow DHS to achieve cost savings and program efficiencies. A recompete of the CWMS requirement is underway, and DHS plans to release a draft Statement of Work for industry feedback in July 2024.

JUSTIFICATION AND APPROVAL FOR OTHER THAN FULL AND OPEN
COMPETITION
41 U.S.C. 3304(a)(7))
J&A #FY24-00115
Pursuant to the requirements of the Competition in Contracting Act (CICA) as implemented by the Federal Acquisition Regulation (FAR) Subpart 6.3 and in accordance with the requirements of FAR 6.303-1, the justification for the use of the statutory authority under FAR Subpart 6.3 is justified by the following facts and rationale required under FAR 6.303-2 as follows:
1. Agency and Contracting Activity.
The Department of Homeland Security (DHS), Office of Procurement Operations (OPO), Information Technology Acquisition Center (ITAC) proposes to increase the ceiling of the Cellular Wireless Managed Services (CWMS) Indefinite Delivery Indefinite Quantity (IDIQ) Contract Number 70RTAC21D00000001. This justification is for other than full and open competition.
2. Nature and/or Description of the Action being Approved.
(a) Nature of action
DHS intends to issue a modification to increase the contract ceiling of the DHS CWMS IDIQ Contract Number 70RTAC21D00000001. The IDIQ contract has a total ceiling value of $500,000,000.00. The total IDIQ contract ceiling will be increased by $254,586,751.17 from $500,000,000.00 to $754,586,751.17.
(b) Name and address of the contractor
WidePoint Integrated Solutions Corp.(WidePoint) 11250 Waples Mill Rd, Fairfax, VA 22030
(c) Contract Type
Firm-Fixed Price (FFP), Labor-Hours, and/or Time-and-Materials (T&M) type task orders may be issued under this IDIQ contract.
(d) Estimated Total Value
IDIQ Ceiling at time of IDIQ Award: $500,000,000.00 Proposed Increase: $254,586,751.17 New IDIQ Ceiling: $754,586,751.17
(e) Type of funding
N/A. No funding will be obligated against the IDIQ contract. Funding will be provided at the task order level.
(f) Year of funding
N/A. No funding will be obligated against the IDIQ contract. Funding will be provided at the task order level.
(g) Solicitation number
70RTAC20R00000025
(h) Background information about the requirement.
The IDIQ contract was competed full and open under Request for Proposal (RFP) 70RTAC20R0000025. The IDIQ contract has a one (1) year base period of performance and four (4) one (1) year optional ordering periods. The IDIQ contract period of performance will remain unchanged and expires on November 24, 2025. The period of performance of each task order may extend up to one (1) year after the contract term (including any options exercised) has expired.
3. Description of Supplies/Services.
The primary purpose of this requirement is for Cellular Wireless Managed Services (CWMS) for the DHS and its Components. CWMS includes managed services; a web portal for device ordering and management; cellular wireless equipment and devices; cellular and data service; Mobile Device Management (MDM); project management; services to enhance in-building cellular coverage; service desk services and other optional services. The CWMS IDIQ contract provides a comprehensive commercial cellular wireless managed services solution. The contract enables access to multiple commercial cellular wireless carriers that include but not limited to: Verizon, T-Mobile, AT&T, and Sprint, as well as local and regional providers to ensure maximum coverage. The web portal is a tool for wireless program management and is customized for each Component and allows each Component to access and manage their wireless accounts with access to inventory management, equipment management and reporting capabilities. Together, these services provide DHS and its Components with streamlined invoicing, billing, payment, ordering, delivery processes, standardized reporting, and a robust means of providing wireless devices and services to its employees.
4. Identification of Statutory Authority Permitting Other Than Full and Open Competition.
provide continuity of services without disruption through the remaining period of performance. This ceiling increase will also afford DHS time to successfully re-compete the follow-on requirement.
Segregating any portion of the work is not recommended because procuring CWMS from multiple sources would not allow DHS to obtain streamlined invoicing, billing and payment services, device ordering and delivery processes and standardized reporting and achieve cost savings and program efficiencies. There are also requirements at the department level for oversight and monitoring of DHS assets, inventory control, and device disposition.
(c) Summarize alternatives considered and why they will not work.
DHS considered alternate sources, including , for this requirement. It is determined that utilizing non-CWMS contract(s) would not be in the best interest of the Government because of the reasons described above in Section 6 (a).
(d) Impact to the mission that would result if the J&A is not approved and, consequently, the product or service not provided.
If this requirement is competitively awarded to a new contractor, DHS would have to procure new device ordering system software, software licenses, and maintenance at a cost exceeding the cost of the current device ordering system from WidePoint. The Government cost estimate is $ to start the Authorization to Operate (ATO) process for a new device ordering system, and additional costs will incur for labor and hardware purchases, which would increase the Government’s financial burden related to the potential multiple transitions cost as described above.
The failure to continue the CWMS services would have a serious impact on the DHS and its Components. Specifically, a gap in service would result in the DHS and its Components not able to receive CWMS services described in Section 3 above and streamlined invoicing, billing and payment services, device ordering and delivery processes, standardized reporting, and a robust means of providing wireless devices and services to its employees. It is also impractical and not viable to attempt to award a short-term contract on a competitive basis given the current time constraints.
(e) Rationale for use of the nonavailability exception to the Buy American statute, including detailed information explaining why the particular articles, materials, or supplies of the class or kind to be acquired, either as end items or components, are not mined, produced, or manufactured in the United States in sufficient and reasonably available commercial quantities and of a satisfactory quality.
Not applicable.
11. A Listing of the Sources, if Any That Expressed, in Writing, an Interest in the Acquisition.
This J&A will be posted on SAM.gov. Sources may express their interest in writing to the Contracting Officer.
12. A Statement of the Actions, if Any, the Agency May Take to Remove or Overcome Any
Barriers to Competition Before Any Subsequent Acquisition for Supplies or Services Required.
A recompete of the Cellular Wireless Managed Services requirement is underway and monthly meetings are being held with Headquarters and various components to revise the documents and plan the acquisition strategy for the re-compete. A draft Statement of Work will be released to industry on Sam.gov by July 2024 to request feedback on the proposed
SOW.
