For the Investment Funds Department Request for Proposals

OPIC-16-R-0016

Q1. What is the deadline for submitting a response to the solicitation?

A1. Responses to this solicitation is June 30, 2016, at 2:00pm Eastern Time.

Q2. Can foreign firms submit a response to this solicitation?

A2. Foreign firms may submit a response to the unrestricted portion of this solicitation.

Q3. Do I need a System of Award Management (SAM) User account? If so, when do I need it?

A3. An active System of Award Management (SAM) User account is required for all contractors. In order to register for a SAM User account, an entity must have a Dun and Bradstreet Number (DUNS) and a Commercial and Government Entity Code or NATO Commercial and Government Entity Code. Please visit www.sam.gov for more information.

If a contractor does not have an active SAM User account by the time the Contracting Officer is prepared to make an award, the contractor will be disqualified.

Q4. Would OPIC would entertain a collaborative/subcontracting agreement as it relates to this solicitation?

A4. While subcontracting is not precluded, preference will be given to those firms that already have relevant capacity in-house.

Q5. Are there any contractors currently performing this work? If so, what are the award numbers?

A5. Currently, there are incumbent contractors that hold Basic Ordering Agreements (BOAs). The current contractors and award numbers are as follows:

OPIC encourages the incumbents as well as new contractors to submit responses to this solicitation.

Q6. If there are current contractors performing, when do the current awards expire?

A6. The current awards are Basic Ordering Agreements (BOAs) and they expire on July 14, 2016.

The awards made from this solicitation will replace these BOAs. Note that the new awards will be Indefinite Delivery Indefinite Quantity (IDIQ) Contracts.

Q7. Does OPIC require the firm or consultant to be licensed as a Series 7, 63, or other?

A7. No license is required.

Q8. Is the Non-Disclosure Agreement for Contractors required to be submitted as part of our response to this solicitation? If required, which part should it be included with?

A8. This information would be provided by the Contractor at the Task Order level.

Q9. The firm is able to provide a list of the private equity firms we have recommended to our institutional clients and where they have subsequently invested. However, we are not, because of client confidentiality, able to say which client is invested in which private firm. How does OPIC want the firms to response in this instance?

A9. Please provide a list of clients and a separate list of firms that have been recommended to the clients. What OPIC is looking to determine by requesting this information is the type of institutional clients and recommendations on a Private Equity Manager.

Q10. What is the span of emerging markets that you anticipate these services will cover—the standard, Brazil, Russia, India and China and possibly the next five largest?

A10. The eligible countries that OPIC conducts business with can be found at https://www.opic.gov/doing-business-us/OPIC-policies/where-we-operate. OPIC does not conduct business in China or Russia.

Q11. Can private equity consultants be green-card holders, or must they be US Citizens only?

A11. OPIC is looking to hiring firms and not individuals. Citizenship of individuals does not matter.

Q12. Are there any page limitations to the response that a contractor submits?

A12. There are no specific limitation on the number of pages provided. OPIC requests that all proposals be succinct and responsive.

Q13. We have several confidential work product samples we would like to share with OPIC in response to the Request for Proposals (RFP). Can these samples be protected from public disclosure due to their confidential nature? If so, how should we watermark or otherwise designate them?

A13. All responses to a solicitation are considered “procurement sensitive” and are not disclosed to the public. All individuals reviewing responses to the solicitation are required to sign a Conflict of Interest and Non-Disclosure Statements which prohibit them from disseminating any information. These are the common safeguards put into place by the Government.

If you would like to mark any of the pages of your response as proprietary or confidential in nature, you may do so.

Q14. Is the Standard Form 1449 (SF 1449) required to be submitted as part of our response to this solicitation? If required, which file should it be included with, Part I, II or III?

A14. Please submit a signed electronic copy of the SF 1449 as part of your response. This document would be included in Part I of the submission.

Q15. In Section J, Attachment 2, there is a Non-Disclosure Agreement for Contractors document. Is this required to be submitted as part of our response to this solicitation? If required, which file should it be included with, Part I, II or III?

A15. The Non-Disclosure Agreement for Contractors would be provided at the IDIQ Task Order level, not as part of the submission to the RFP.

Q16. According to OPIC’s website, the list of funds provided information where OPIC was invested in 2015. Do you have details regarding the fees for legal, accounting and due diligence that were paid out associated to these placements?

A16. The fees for legal, accounting and due diligence associated with OPIC’s participation in an individual fund are business confidential and as such are not disclosed.

Q17. OPIC’s call for proposals from Private Equity managers from 2015 says that their submissions were due to you on June 8th, OPIC interviewed them in August, and then on-site due diligence was performed between September and December. Is that how the Contractors should expect 2016 to commence? Is the due diligence period for ALL funds in the last three months of the calendar year?

A17. The forthcoming schedules associated with new calls for proposals have not yet been set, and will be detailed in each Task Order.

Q18. With respect to legal due diligence, would you like the due diligence advisors to handle this, or do you outsource that separately? If so, what is expected from the Contractor?

A18. OPIC performs its own legal due diligence reviews and character reference due diligence reviews.
