Schedule Notes: Comment by Johnson, Melissa -FS [2]: Include necessary information to assist the contractor in completing the price schedule and any other information you wish to highlight. Samples are included.

Make sure it’s clear what price will be evaluated if you have minimum and maximum quantities and you’re only asking for a unit price or if you don’t have a price schedule (i.e.: IDIQ being competed using seed projects).

Also, if including clause 52.217-8 for a 6-month extension, you need to make clear how the price for that extension will be evaluated. See comment for 52.217-5.

Samples…

a) Items labeled as optional are not required to be exercised by the government. If exercised, the contractor will be required to perform the optional work in accordance with the terms and conditions of this contract.

b) One award will be made from this solicitation, contractors must submit pricing for all items.

c) AGAR 452.216-73 Minimum and Maximum Contract Amounts (FEB 1988) - During the period specified in FAR clause 52.216-18, ORDERING, the Government shall place orders totaling a minimum of *, but not in excess of * . Comment by Johnson, Melissa -FS [2]: If this is an IDIQ and your price schedule or SF-1449 doesn’t indicate the contract minimum and maximum amounts, you should indicate that here.

FAR 52.216-18 Ordering (AUG 2020) Comment by Johnson, Melissa -FS: Use in solicitations and contracts when a definite-quantity/Indefinite delivery contract, a requirements contract, or an IDIQ contract is contemplated.

(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the Schedule. Such orders may be issued from __________ through ____________ [insert dates].

(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.

(c) A delivery order or task order is considered “issued” when—

(1) If sent by mail (includes transmittal by U.S. mail or private delivery service), the Government deposits the order in the mail;

(2) If sent by fax, the Government transmits the order to the Contractor's fax number; or

(3) If sent electronically, the Government either—

(i) Posts a copy of the delivery order or task order to a Government document access system, and notice is sent to the Contractor; or

(ii) Distributes the delivery order or task order via email to the Contractor's email address.

(d) Orders may be issued by methods other than those enumerated in this clause only if authorized in the contract.

(End of clause) FAR 52.216-19 Order Limitations (Oct 1995) Comment by Johnson, Melissa -FS: Use in solicitations and contracts when a definite-quantity/indef delivery contract, a requirements contract, or an IDIQ contract is contemplated.

(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than _____________ [insert dollar figure or quantity], the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.

(b) Maximum order. The Contractor is not obligated to honor—

(1) Any order for a single item in excess of _____________ [insert dollar figure or quantity];

(2) Any order for a combination of items in excess of ______________ [insert dollar figure or quantity]; or

(3) A series of orders from the same ordering office within _____________ days that together call for quantities exceeding the limitation in paragraph (b)(1) or (2) of this section.

(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) of this section.

(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within _____ days after issuance, with written notice stating the Contractor’s intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

(End of clause) FAR 52.216-22 Indefinite Quantity (Oct 1995) Comment by Johnson, Melissa -FS: Use in solicitations and contracts when an indefinite-quantity contract is contemplated. Substitute clause 52.216-20 for a definite quantity/indefinite delivery contract. Substitute clause 52.216-21 for a requirements contract If you don’t have a price schedule, include verbiage somewhere that indicates what the term “schedule” means as it is referenced in this clause If you are making a multiple award IDIQ, you’ll need to include task order issuance instructions in your sol/contract.

(a) This is an indefinite-quantity contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies and services specified in the Schedule are estimates only and are not purchased by this contract.

(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the quantity designated in the Schedule as the “maximum.” The Government shall order at least the quantity of supplies or services designated in the Schedule as the “minimum.”

(c) Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.

(d) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor’s and Government’s rights and obligations with respect to that order to the same extent as if the order were completed during the contract’s effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after _______________ [insert date].

(End of clause) FAR 52.217-6 Option for Increased Quantity (MAR 1989) Comment by Johnson, Melissa -FS: Use when the inclusion of an option is appropriate (see 17.200 and 17.202) and the option quantity is expressed as a percentage of the basic contract quantity or as an additional quantity of a specific line item.

The Government may increase the quantity of supplies called for in the Schedule at the unit price specified. The Contracting Officer may exercise the option by written notice to the Contractor within ______________________ [insert in the clause the period of time in which the Contracting Officer has to exercise the option]. Delivery of the added items shall continue at the same rate as the like items called for under the contract, unless the parties otherwise agree.

(End of clause) FAR 52.217-7 Option for Increased Quantity-Separately Priced Line Item (MAR 1989) Comment by Johnson, Melissa -FS: Use when the inclusion of an option is appropriate (see 17.200 and 17.202) and the option quantity is identified as a separately priced line item having the same nomenclature as a corresponding line item.

The Government may require the delivery of the numbered line item, identified in the Schedule as an option item, in the quantity and at the price stated in the Schedule. The Contracting Officer may exercise the option by written notice to the Contractor within ________________[insert in the clause the period of time in which the Contracting Officer has to exercise the option]. Delivery of added items shall continue at the same rate that like items are called for under the contract, unless the parties otherwise agree.

(End of clause) FAR 52.217-9 Option to Extend the Term of the Contract (Mar 2000) Comment by Johnson, Melissa -FS: Use in solicitations and contracts when the inclusion of an option is appropriate (see 17.200 and 17.202) and it is necessary to include in the contract any or all of the following:

(1) A requirement that the Government must give the contractor a preliminary written notice of its intent to extend the contract.

(2) A statement that an extension of the contract includes an extension of the option.

(3) A specified limitation on the total duration of the contract.

For IDIQ contracts where ordering periods are established instead of option years, this clause would not be included. In this situation, the PoP at time of award could be stated as up to 5 years to reflect all IDIQ order periods.

(a) The Government may extend the term of this contract by written notice to the Contractor within _____ [insert the period of time within which the Contracting Officer may exercise the option]; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least _____ days [60days unless a different number of days is inserted] before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed ___________ (months) (years).

(End of clause) FAR 52.227-14 Rights in Data-General (MAY 2014) Comment by Nemeth, Amanda - FS, AK: If applicable, IAW FAR 27.403 and FAR 12.211, as prescribed in FAR 27.409(b)(1) insert the clause at FAR 52.227-14 Rights in Data-General, in solicitations and contracts if it is contemplated that data will be produced, furnished, or acquired under the contract, unless the contract is-

NOTE: Contracts should contain only one data rights clause, if more than one is required, the contract should distinguish the portion of contract performance to which each pertains IAW FAR 27.409(a).

Alternate I (DEC 2007) Substitute the following definition for "limited rights data" in paragraph (a) of the basic clause: Comment by Nemeth, Amanda - FS, AK: Delete Alt I if the alternate definition of “Limited Rights Data” does not apply.

IAW FAR 27.404-2(b), as prescribed in prescribed in FAR 27.409(b)(2), to adopt the alternate definition of "Limited Rights Data" in paragraph (a) of the clause, use the clause with its Alternate I.

(b) This notice shall be marked on any reproduction of these data, in whole or in part.

(End of notice) Alternate III (DEC 2007) Insert the following paragraph (g)(4) in the basic clause: Comment by Nemeth, Amanda - FS, AK: Delete if it is not necessary to obtain restricted computer software.

IAW FAR 27.404-2(d), as prescribed in FAR 27.409(b)(4), if a contracting officer determines it is necessary to obtain restricted computer software, use the clause with its Alternate III. Any greater or lesser rights regarding the use, reproduction, or disclosure of restricted computer software than those set forth in the Restricted Rights Notice of paragraph (g)(4) of the clause shall be specified in the contract and the notice modified accordingly.

(g)(4)(i) Notwithstanding paragraph (g)(1) of this clause, the contract may identify and specify the delivery of restricted computer software, or the Contracting Officer may require by written request the delivery of restricted computer software that has been withheld or would otherwise be entitled to be withheld. If delivery of that computer software is required, the Contractor shall affix the following "Restricted Rights Notice" to the computer software and the Government will treat the computer software, subject to paragraphs (e) and (f) of this clause, in accordance with the notice:

Restricted Rights Notice (DEC 2007)

(a) This computer software is submitted with restricted rights under Government Contract No. _____________________ (and subcontract ________, if appropriate). It may not be used, reproduced, or disclosed by the Government except as provided in paragraph (b) of this notice or as otherwise expressly stated in the contract.

(b) This computer software may be-

(End of notice)

(iii) If restricted computer software is delivered with the copyright notice of 17 U.S.C. 401, it will be presumed to be licensed to the Government without disclosure prohibitions, with the minimum rights set forth in paragraph (b) of this clause.

Alternate IV (DEC 2007) Substitute the following paragraph (c)(1) for paragraph (c)(1) of the basic clause: Comment by Nemeth, Amanda - FS, AK: Delete if not applicable.

As prescribed in FAR 27.409(b)(5), Use the clause with its Alternate IV in contracts for basic or applied research (other than those for the management or operation of Government facilities, and contracts and subcontracts in support of programs being conducted at those facilities or where international agreements require otherwise) to be performed solely by universities and colleges. The clause may be used with its Alternate IV in other contracts if IAW FAR 27.404-3(a), an agency determines to grant permission for the contractor to assert claim to copyright subsisting in all data first produced without further request being made by the contractor. When Alternate IV is used, the contract may exclude items or categories of data from the permission granted, either by express provisions in the contract or by the addition of a paragraph (d)(4) to the clause (see FAR 27.404-4).

(c) Copyright-(1) Data first produced in the performance of the contract. Except as otherwise specifically provided in this contract, the Contractor may assert copyright in any data first produced in the performance of this contract. Alternate V (DEC 2007) Add the following paragraph (j) to the basic clause: Comment by Nemeth, Amanda - FS, AK: Delete Alt V if the right to inspect certain data at a contractor’s facility is not required.

IAW FAR 27.404-6, as prescribed in FAR 27.409(b)(6), if the Government needs the right to inspect certain data at a contractor’s facility, use the clause with its Alternate V.

(j) The Contractor agrees, except as may be otherwise specified in this contract for specific data deliverables listed as not subject to this paragraph, that the Contracting Officer may, up to three years after acceptance of all deliverables under this contract, inspect at the Contractor’s facility any data withheld pursuant to paragraph (g)(1) of this clause, for purposes of verifying the Contractor’s assertion of limited rights or restricted rights status of the data or for evaluating work performance. When the Contractor whose data are to be inspected demonstrates to the Contracting Officer that there would be a possible conflict of interest if a particular representative made the inspection, the Contracting Officer shall designate an alternate inspector.
