About this file
This is a Notice of Intent to Award a Sole Source Contract issued by Salem Area Mass Transit District (SAMTD/Cherriots) for Battery Electric Bus (BEB) Telematics Software Licenses from ChargePoint, Inc. SAMTD seeks to procure cloud-based telematics software licenses for its fleet of 22 Gillig battery electric buses, which are equipped with pre-installed ChargePoint DataHub telematics hardware. The software subscription package includes Base Telematics Software Licensing providing real-time vehicle tracking, route monitoring, and charging status tracking, along with Vehicle Insights Add-On Licensing offering advanced battery health analytics, predictive maintenance alerts, and charging efficiency reporting. The proposed 10-year contract term runs from November 2026 through November 30, 2036, aligned with the useful life of the electric bus telematics assets. The public notice posting duration is 7 calendar days beginning October 20, 2026, with a protest and comment deadline of October 27, 2026, at 5:00 PM Pacific Time. Any prospective contractor or interested party may submit written protests or comments electronically to procurement@cherriots.org.
The estimated total contract value is $213,840.00, with an annual cost of $21,384.00 per year. ChargePoint has extended a 50% commercial discount off list prices, resulting in an effective net cost of $81.00 per vehicle per month ($486.00 annually per bus). The sole source justification is based on hardware compatibility, as ChargePoint ViriCiti telematics software is the only solution engineered to communicate natively with the DataHub hardware already embedded in SAMTD's 22 electric buses. Procuring alternative software would require substantial capital costs for removing and replacing physical onboard gateway hardware across all vehicles. While SAMTD Procurement Policy #413.03(G) establishes a standard 7-year contract limit, the policy permits exceptions for longer terms when supported by state and federal guidelines. The 10-year agreement aligns with federal transit administration requirements under FTA Circular 4220.1G and Oregon Revised Statutes ORS 279B.075, locks in the 50% commercial discount rate, and prevents annual price escalations.

2. Description of Goods & Services SAMTD requires cloud-based telematics software licenses from ChargePoint, Inc. for its fleet of 22
Gillig battery electric buses equipped with pre-installed ChargePoint DataHub telematics hardware.
The software subscription package includes:
• Base Telematics Software Licensing (CPCLD-FLT-TELEMAT-DH-BASE-EV): Provides real-time vehicle tracking, route monitoring, charging status tracking, and operational alerts across the 22 electric revenue vehicles.
• Vehicle Insights Add-On Licensing (CPCLD-FLT-TELEMAT-DH-VEHICLE-INSIGHTS):
Provides advanced battery health analytics, predictive maintenance alerts, energy consumption modeling, and charging efficiency reporting.
• Fleet Co-Terming & License Synchronization: Harmonizes and co-terms active vehicle licenses to establish a unified billing and renewal end date, eliminating administrative overlap and coverage gaps.
3. Sole Source Justification & Findings A. Compatibility with Existing Onboard Fleet Hardware (ORS 279B.075(2)(a))
SAMTD's 22 Gillig battery electric buses were manufactured and delivered with proprietary
ChargePoint DataHub telematics hardware embedded in the vehicle electrical architecture.
ChargePoint ViriCiti telematics software is the only software solution engineered to communicate natively with the DataHub hardware. Efficient utilization of SAMTD's existing transit fleet assets requires acquiring compatible software licenses.
B. Substantial Cost Duplication (ORS 279B.075(2)(d))
Procuring telematics software from an alternative vendor would necessitate removing, re-engineering, and replacing the physical onboard gateway hardware across all 22 electric buses.
This would cause substantial duplication of capital equipment, installation labor, and vehicle downtime costs that cannot be recovered through competitive solicitation.
C. Commercial Pricing Reasonableness & Discount Verification
ChargePoint has extended a 50% commercial discount off list prices for base licenses
($390.00/vehicle vs. $780.00 list) and Vehicle Insights add-ons ($96.00/vehicle vs. $192.00 list), resulting in an effective net cost of $81.00 per vehicle per month ($486.00/year/bus).
D. SAMTD Policy #413.03(G) Contract Term Exception
While SAMTD Procurement Policy #413.03(G) sets a standard 7-year contract limit, Policy
#413.03(G) explicitly allows exceptions when supported by state and federal guidelines. Aligning the 10-year software licensing agreement with the active service lifecycle of SAMTD's 22 electric buses locks in the 50% commercial discount rate, prevents annual price escalations, and ensures uninterrupted battery health monitoring.
4. Public Response & Protest Procedures Any prospective contractor or interested party who believes they can provide an equivalent telematics software solution that integrates natively with SAMTD's installed ChargePoint DataHub hardware without requiring hardware replacement or substantial cost duplication may submit written comments or a formal protest.
Submission Requirements & Contact Information:
• Filing Method: Submit comments or protests electronically via email to procurement@cherriots.org.
• Deadline: All submissions must be received no later than October 27, 2026, at 5:00 PM Pacific
Time (7 calendar days from posting). Late submissions will not be considered.
• Address for Delivery:

Salem Area Mass Transit District
555 Court St NE, Suite 5230, Salem, OR 97301

If no valid protests or competitive responses demonstrating equivalent capability without cost duplication are received by the deadline, SAMTD will proceed with contract execution with
ChargePoint, Inc.
