Non-Disclosure and Confidentiality Agreement Summary

This is a Non-Disclosure and Confidentiality Agreement template (LAK-ICP-A02 V6.0) established by the City of Lakeland, Florida on behalf of Lakeland Electric, its municipal utility. The agreement governs the disclosure of confidential and proprietary information related to projects involving operational technology, compliance programs, and electric system security. The Recipient agrees to maintain strict confidentiality of all disclosed information, including available data, materials, technology, computer programs, specifications, software, business plans, financial information, and client-supplied deliverables. Confidential information marked as such or identified orally within five business days receives protection under the agreement. The Recipient may only use this information for purposes specifically related to the identified project and may disclose it only to its officers, directors, employees, and legal counsel with a demonstrated need to know. The agreement's term begins on a date to be specified and continues for a period to be determined, either for a specified number of years or until the Discloser's final disclosure of confidential information, whichever occurs first.

The agreement incorporates Florida's Public Records Law (Florida Statute Chapter 119) and permits disclosure when required by law, court order, subpoena, or legal process, provided the disclosing party notifies the other party immediately to allow protective action. Recipients must not duplicate tangible confidential information except as necessary for the project and must return or destroy such materials within ten days of request, with written confirmation of destruction provided. The agreement is governed by Florida law with jurisdiction and venue in Polk County, Florida or the United States District Court for the Middle District of Florida, Tampa Division. The Recipient assumes liability for all breaches, must indemnify and hold the Discloser harmless from any violation of the agreement's covenants, and shall reimburse the Discloser for all costs and expenses, including attorney fees, incurred in enforcing the agreement. The agreement is not assignable without the Discloser's express written consent and contains standard legal provisions regarding severability, no implied waiver, and modification requirements.
