NOTICE OF AVAILABILITY (NOA)

SEEKING INTEREST IN USE OF

REAL PROPERTY ASSETS AT

NASA MICHOUD ASSEMBLY FACILITY

PURPOSE OF THIS NOTICE

The National Aeronautics and Space Administration (NASA) is seeking to facilitate the use of certain under-utilized property at NASA’s Michoud Assembly Facility (MAF), which is located at 13800 Old Gentilly Road, New Orleans, LA, 70129. This notice is issued by NASA’s Marshall Space Center in Huntsville, Alabama, which has responsibility for the management of these facilities.

NASA seeks, through this notice, to (1) provide industry and other non-federal public or private entities with broad awareness and visibility of opportunities to partner with NASA in use of certain NASA underutilized real property; and (2) obtain responses, in the form of partnership plans, from industry and other entities who have a specific interest in establishing an agreement with NASA for the use of the Real Property, as defined herein. Partners would be responsible for all financing associated with proposed plans. NASA will not provide any financing in any potential partnership plans.

NASA will consider each plan and make such property available only if deemed in the Government’s best interests. Responses to this NOA place NASA under no obligation to proceed with any partnering arrangements.

NASA may, at its discretion, seek additional information, clarification, or revisions regarding any of the plans submitted, and may:

a. Discontinue consideration of any plan that is determined to be nonviable. (A plan is “nonviable” if that plan would not be in the Government’s interest, is clearly inferior to one or more other plans, or lacks sufficient information to judge its viability.)

b. Proceed to negotiations toward a formal agreement with the submitter of a viable plan, if only one such plan is submitted, or with more than one submitter of such plans if multiple plans might be accommodated on the site.

c. Conduct further competition, which may be restricted to the parties who have submitted viable plans pursuant to this NOA.

It is NASA’s intent to ensure fairness to all parties and to ensure the best value to the Government in granting use of NASA real property in a manner that optimizes it support for the Agency’s missions and objectives, and the U.S. National Policy. NASA is under no obligation to engage in any discussions, or permit revisions, of a plan that is submitted, and may discontinue consideration of a plan at any time.

NASA-MAF-2022-0001 2

NASA may discontinue consideration of all plans submitted under this NOA at any point. NASA is not precluded from entering into agreements with other Federal entities, or from deciding to use the property for other purposes, regardless of expressions of interest and proposed uses NASA may receive from industry or other entities pursuant to this notice.

AVAILABLE FACILITIES

This section of the announcement describes the object areas of greenspace and other property located within the secured perimeter at the Michoud Assembly Facility.

Former Bldg. 350 Land Tract:

This object tract of land is nearly 50 acres and located along the norther boundary of the facility and is bounded by Old Gentilly (publicly accessible roadway) as well as Mercury, Uranus and Venus Drives which are interior to the security fencing. Much of the acreage is currently classified as underutilized greenspace and has existing potable water, sewer and power utility terminations all within its perimeter. These utilities are connected to their respective MAF site-wide utility systems and could be utilized by a potential partner subject to NASA terms of use.

Additionally, the area contains Building 351 which is an approximately 32,000 sf structure currently used as a cafeteria and formal event space. Adjacent to Building 351 are large, improved parking areas which previously supported Building 350. Building 350 was an approximately 500,000 sf office building prior to being demolished after sustaining tornadic damage in 2017.

The area location would currently require partners to pass through MAF’s security perimeter and thus comply with all NASA security and badging protocols.

Provide the name, address, e-mail address, and telephone number for the primary point of contact for the partnering entity. See additional information under “Instructions for Responses” listed below.

NASA and the respondent may further develop the partnership plan through discussions.

However, respondents are cautioned that NASA has no obligation to enter into any discussions with respect to a partnership plan.

NASA will not consider responses that:

Are deemed incompatible with the MSFC/MAF Master Plan, land use policies, environmental conditions, or pose a negative impact on NASA’s mission

Propose transfer of title to land

Are otherwise considered, in NASA’s sole discretion, not to be in the best interest of the government

Do not meet the above minimum requirements for partnership plans

The initial deadline for submissions of partnership plans is October 31, 2022. No partnership plans submitted after that date shall be considered for purposes of this NOA, although NASA may, at its discretion, permit revisions to plans that have been submitted on time.

GOVERNMENT'S RIGHT TO APPLY CRITERIA:

NASA reserves the right to apply criteria for assessing the "best fit" for alternative uses and users which may be considered for the available parcels of property identified in this announcement. Such criteria may include, but not be limited to:

Compatibility with other ongoing and planned operations and activities at MAF.

Returns to MAF, NASA and other U.S. Government interests

Extent of alignment with the advancement of the Government’s space and aeronautical objectives, including encouragement of commercially provided space services and hardware and the fullest commercial use of space.

NASA-MAF-2022-0001 5

Risks to MAF, NASA and other U.S. Government interests, including (but not limited to) an assessment of costs risks and the environmental, safety and security impacts of the proposed user or proposed use.

An assessment of the financial capability, responsibility, and past performance of the proposed user, and the likelihood that the project will come to fruition and endure for a long term.

FORMAL AGREEMENTS:

A formal agreement will have to be negotiated as the process moves forward. NASA has the legal authority to enter into various types of agreements and will utilize the type of agreement deemed most appropriate for the particular circumstance. Respondents can expect that NASA will be seeking to enter into an enhanced use lease in this setting. An enhanced use lease will provide fair market value cash consideration to NASA in the form of regular lease payments throughout the term of the lease.

Prior to the execution of a formal lease agreement, the respondent may need NASA to undertake certain activities or support certain activities of the respondent, such as site investigations or environmental assessments, with respect to the available facilities or other aspects of the partnership plan. Generally, NASA will expect the respondent in those circumstances to enter into a reimbursable agreement with NASA under which the respondent will reimburse NASA for the full cost of the support required from NASA.

ADDITIONAL INFORMATION

Proposed uses of land and facilities at MAF under a partnership plan may require environmental analysis in accordance with the National Environmental Policy Act (42 U.S.C.

§4321 et seq.).

No additional solicitation exists; therefore, do not request a copy of a solicitation. Additional information, if forthcoming, will be released at https:// sam.gov. It is the responsibility of potential users to monitor the website for the release of any additional information.

This NOA is not to be construed as a commitment by the Government to enter into any contract or agreement, or into the negotiation of any contract or agreement.

NASA will not pay for any information provided. NASA will not be obligated to respond or provide the results of any evaluations.

The terms “partner” and “partnership” as used herein are used in the informal, generic sense, and are not intended to denote any kind of general partnership, limited partnership, joint venture, or any kind of formal business organization.
