Summary

This is a Justification for Other Than Full and Open Competition (JOFOC) prepared by NASA's Information Technology Procurement Office for a sole-source modification to extend the Solutions for Enterprise-Wide Procurement (SEWP) V Indefinite-Delivery-Indefinite-Quantity (IDIQ) contracts. NASA seeks to extend SEWP V by one year consisting of a five-month base extension period (May 1, 2026 – September 30, 2026), one four-month optional period (October 1, 2026 – January 31, 2027), and one three-month optional period (February 1, 2027 – April 30, 2027). The total IDIQ maximum ceiling value will remain unchanged. SEWP V is a multiple-award, FAR Part 12 Governmentwide Acquisition Contract (GWAC) designated as Best-in-Class (BIC) that provides federal agencies with commercial IT solutions including desktops, servers, network equipment, storage systems, cybersecurity tools, software products, cloud-based services, and video conferencing systems. The contract includes over 140 pre-competed contract holders, of which over 100 are small businesses representing approximately 80% of awarded dollars. NASA anticipates approximately $12 billion in SEWP V orders during the extension period.

The justification cites unusual and compelling urgency under 10 U.S.C. 3204(a)(2) as the statutory authority, based on the unprecedented volume of proposals received for the follow-on SEWP VI solicitation (over 7,000 RFP questions and 14 amendments), which requires additional time for evaluation, small business coordination, and database population. Additional delays resulted from Executive Order 14240 redesignating GSA as Executive Agent for all GWACs and the October 2025 Government shutdown. Failure to extend SEWP V would result in loss of this critical BIC contract vehicle, financial injury to NASA and all federal agencies (which collectively process approximately 50,000 SEWP V orders annually), negative impact on over 100 small businesses that depend on SEWP V revenue, and disruption to the 120-person NASA SEWP Program Management Office that operates on a self-contained, fee-based budget model.

NATIONAL AERONAUTICS AND SPACE ADMINISTRATION

Information Technology Procurement Office

JUSTIFICATION FOR OTHER THAN FULL AND OPEN COMPETITION

(JOFOC)

For Solutions for Enterprise-Wide Procurement (SEWP) V

1. Federal Acquisition Regulation (FAR) 6.104-1(a)(1) – Identification of the Agency and the Contracting Activity, and Specific Identification of the Document as a “Justification For Other Than Full And Open Competition.”

This document is a justification for other than full and open competition prepared by National Aeronautics and Space Administration (NASA), Information Technology Procurement Office (ITPO).

The procuring agency is the NASA, and the contracting activity is ITPO.

2. FAR 6.104-1(a)(2) – The Nature and/or Description of the Action Being Approved:

This justification provides the rationale for contracting by other than full and open competition to award a sole source modification to extend the Solutions for Enterprise- Wide Procurement (SEWP) V contracts identified in Attachment 1. NASA intends to issue an additional one (1) year period of performance extension to the SEWP V Indefinite- Delivery-Indefinite-Quantity (IDIQ) contracts identified in Attachment 1.

This one-year extension will consist of the following:

1. A base extension period of five (5) months (Base Extension Period: May 1, 2026 – September 30, 2026);

2. One (1) optional extension period of four (4) months (Option Period 4: October 1, 2026 – January 31, 2027); and

3. One (1) optional extension period of three (3) months (Option Period 5: February 1, 2027 – April 30, 2027).

The total IDIQ maximum ceiling value will not be increased.

Contract Background SEWP V is a multiple-award IDIQ contract that was originally awarded with a ten-year period of performance, consisting of a five-year base ordering period (Base Ordering Period: May 1, 2015 – April 30, 2020); and one (1) five-year optional ordering period (Option Period I: May 1, 2020 – April 30, 2025). In March 2025, SEWP V was extended by one (1) additional year, consisting of a six-month base extension period (Base Extension: May 1, 2025 – October 31, 2025); and two (2) three-month optional extension periods (Option Period II: November 1, 2025 – January 31, 2026; and Option Period III:

February 1, 2026 – April 30, 2026).

Rev.:10/2025

This extension was executed to support the solicitation and award of the follow-on vehicle, SEWP VI (Solicitation No. 80TECH24R0001). As noted in Section 5 below, due to the unprecedented volume of proposals received (among other items), NASA seeks an additional SEWP V performance period extension to support finalizing the follow-on SEWP VI award.

SEWP V’s current period of performance is set to expire on April 30, 2026. The current value of the SEWP V contracts is each (i.e., no change since originally awarded).

3. FAR 6.104-1(a)(3) – A Description of the Supplies or Services Required, to Meet the

Agency’s Needs (Including the Estimated Value):

SEWP V is a multiple-award, FAR Part 12 IDIQ Governmentwide Acquisition Contract (GWAC) that allows for Firm-Fixed-Price (FFP) delivery orders to be issued. The SEWP V GWAC provides NASA and all federal agencies with a full suite of commercial Information Technology (IT) solutions for communication and audio-visual solutions, inclusive of products and services, that simplify governmental access and industry offerings across the entire IT solutions and services landscape.

The current SEWP V ordering period expires on April 30, 2026. This action requests a one-year extension to the SEWP V contracts at no additional cost. During this extension period, NASA anticipates approximately $12 billion in SEWP V orders to be issued; however, the total SEWP V IDIQ ceiling value of (per contract) will remain unchanged as a result of this contract action.

4. FAR 6.104-1(a)(4) – An Identification of the Statutory Authority Permitting Other Than Full and Open Competition:

The statutory authority permitting other than full and open competition is 10 U.S.C.

3204(a)(2), as implemented by FAR 6.103-2, Unusual and Compelling Urgency.

5. FAR 6.104-1(a)(5) – A Demonstration That the Proposed Contractor’s Unique

Qualifications or The Nature of the Acquisition Requires Use of the Authority Cited:

The rationale supporting the use of 10 U.S.C. 3204(a)(2) is described below.

I. Failure to Extend SEWP V Would Result in a Loss of the Best-In-Class Contract:

NASA SEWP, now in its fifth iteration, has been utilized by NASA and other federal agencies for over 30 years. This acquisition has been competed five (5) times before and has spanned over three (3) decades. The NASA SEWP contracts were initially awarded as an agency-wide source for high-end computing systems suitable for engineers and scientists working on NASA’s core mission responsibilities for Earth and Space Sciences and Space Flight. In the early 1990s, NASA was asked by the General Services Administration (GSA) to be the pilot program for the then-new concept of IT GWACs.

The first SEWP contracts quickly became a model contract vehicle for large-scale

Indefinite Delivery Indefinite Quantity (IDIQ) IT fixed-price product contracts.

The current SEWP contracts are open to NASA civil employees, NASA contractors, federal agencies, and federal agency contractors. With over 140+ pre-competed Contract Holders, SEWP V offers a wide range of advanced technology including desktops and servers;

network equipment; storage systems; cybersecurity tools; software products; cloud-based services; and video conferencing systems. Product-based services such as installation, training, maintenance, and warranty are also available through SEWP.

Best-in-Class (BIC) is a contracting and acquisition designation used to denote contracts that meet rigorous category management performance criteria as defined by the Office of Management and Budget (OMB). The NASA SEWP V contracts are designated as BIC for both products and services and represent a preferred government-wide solution that provides unique opportunities to leverage the government's buying power. Three Agencies have been designated as Executive Agents by OMB for IT Products and Services and therefore may issue GWACs: NASA, GSA, and the National Institutes of Health (NIH).

The BIC designation allows acquisition experts to take advantage of NASA SEWP as a fully vetted, government-wide contracts/solutions. SEWP V supports a government-wide migration to solutions that are mature and market-proven; assists in the optimization of spending within the government-wide category management framework; and increases the transactional data available for agency level and government-wide analysis of buying behavior. As an OMB authorized GWAC, the SEWP contracts are utilized by all federal agencies. If SEWP V lapses before SEWP VI can be awarded, NASA and the rest of the federal government will lose access to this BIC solution.

II. Failure to Extend SEWP V Will Result in Financial and Other Injury for NASA and

Other Federal Agencies:

NASA processes approximately 50,000 SEWP V orders annually, totaling roughly $10B - $12B in obligations per year. Allowing the SEWP V GWAC to lapse would affect the entire Federal Government’s ability to timely and cost-effectively procure IT services and supplies. As an OMB-authorized GWAC, the SEWP contracts are utilized by all federal agencies and are available to federal agency contractors. Agencies turn to SEWP V for a wide range of IT products and services such as Information Technology & Networking (computer hardware, tablets, storage, etc.); Software and Cloud (Cloud computing, XaaS, etc.); Mobility and Communications, Supporting Technology (scanners, printers, etc.);

AV/Conferencing (equipment, monitors, etc.), and Services. SEWP V is a streamlined acquisition approach that expedites IT requirements for various agencies. Additionally, the pricing of SEWP V’s products and services have been determined to be reasonable in accordance with FAR 15.403-1(c)(1)(i)(B). Each contractor proposed a discount on their product(s) which remains for the life of the contract, even when new technology is added, or when list prices change due to market fluctuations. Consequently, failure to extend this BIC contract vehicle would result in financial and mission injury for all agencies that rely on the cost-effective solutions offered by SEWP V (including sensitive or classified Department of War [DOW] and Department of Homeland Security [DHS] programs).

III. Failure to Extend SEWP V Will Negatively Impact Small Businesses and Federal Agencies’ Abilities to Meet Small Business Goals:

Among the 140+ contract holders, over 100 are small businesses. Approximately 80% of awarded dollars go to small businesses. A failure to extend SEWP V will impact the small businesses that regularly sell products and services to the Government. The impact could be devastating to the small businesses that have relied on SEWP V to generate revenue for their companies.

Additionally, agencies rely on SEWP V to meet their small business goals. The SEWP Program provides access to over 100 qualified small businesses that provide a multitude of goods and services. The ITPO has historically has aggressive SB goals, and the SEWP V contract is a great vehicle to help our office achieve that goal. If SEWP V is not extended, the ITPO’s ability to procure from qualified small businesses is greatly impacted.

IV. Failure to Extend SEWP V Will Be Detrimental to the NASA SEWP Program

Management Office (PMO):

The NASA SEWP Program currently employs approximately 120 individuals (both contractor and civil servant). The NASA SEWP PMO operates on a non-profit, self-contained Full Cost Accounting Budget by collecting a fee from the ordering agencies for every order placed. The fees are set solely to fund the services and staff provided by the NASA SEWP Program Management Office (PMO). If SEWP V is not extended, the SEWP Program will be negatively affected because it will not be able to bring in the revenue that it collects from the fees that it uses to run the program office. This includes funding the salaries of those who support the program. Additionally, these current employees will be needed to administer the SEWP VI follow-on contract, and losing them at the end of the SEWP V would have a negative impact on the Government.

V. Demonstrate the Urgency Was Not Created as a Result of Delay in Processing the

Acquisition:

The SEWP VI follow-on acquisition was initiated 24-months prior to SEWP V’s original contract expiration date (April 30, 2025). This entailed conducting extensive market research, including discussions on lessons learned with key source selection evaluation board members from previous SEWP iterations; meetings with current SEWP V contract holders on ways to improve the vehicle; outreach to other GWAC contracting and technical teams to obtained lessons learned on their GWAC re-compete efforts; and numerous, formal market research endeavors such as Requests for Information (RFIs), Sources Sought Notices, Industry Days, and Draft Requests for Proposal (RFPs). The SEWP VI follow-on solicitation (80TECH24R0001) was ultimately released on May 24, 2024, and this milestone was met with an unprecedented level of industry interest, including over 7,000 RFP questions received and answered, and fourteen (14) RFP amendments issued.

The SEWP VI follow-on solicitation (80TECH24R0001) officially closed on February 24, 2025, and NASA received a substantial number of proposals far exceeding Government projections. NASA has since been diligently evaluating proposals in accordance with the solicitation; however, given the unprecedented volume of proposals received, additional time is required to finalize evaluations, coordinate responsibility matters and small business considerations with the Small Business Administration (SBA), and distribute awards to successful Offerors. Additional time is also required to facilitate an orderly transition programmatically from SEWP V to SEWP VI, including populating the SEWP Program’s database/website storefronts with an unprecedented volume of Offeror entity and proposal data far exceeding initial projections.

Notably, after the SEWP VI solicitation closed in late February 2025, there were several significant events outside of the procurement process that also impacted NASA’s execution timeline. One item was the release of Executive Order 14240 - Eliminating Waste and Saving Taxpayer Dollars by Consolidating Procurement which redesignated the General Service Administration (GSA) as the Executive Agent for all GWACS (including SEWP).

This E.O. brought about a substantial change in Federal procurement posture, and it required significant resources within NASA to be diverted to produce large volumes of SEWP documentation, conduct numerous executive briefings with OMB and GSA, and more to support the potential transition of SEWP to GSA. A second item was the October 2025 Government shutdown, whereby significant aspects of the SEWP VI source selection process were delayed due to the lapse in appropriation across the Federal Government.

Combined, these circumstances demonstrate that the urgency to extend SEWP V is not the result of any delay in processing the follow-on SEWP VI acquisition; rather, it is the result of a highly successful market research and solicitation process, where SEWP VI has garnered significant and unexpected industry interest in the form of an unprecedented volume of proposals. In addition, this urgency is due to significant and unforeseen circumstances outside of NASA’s control, namely the E.O. on GWAC governance, and delays due to the October 2025 Government shutdown as described above.

6. FAR 6.104-1(a)(6) – A Description of the Efforts Made to Ensure That Offers are

Solicited From as Many Potential Sources as Practicable, Including Whether a Notice Was or Will Be Publicized as Required By Part 5 and, if Not, Which Exception Under Part 5 Applies:

The Contracting Officer has determined in accordance with FAR Part 5 that this action is exempt from the notice required in FAR 5.202(a)(2), because unusual and compelling urgency precludes competition to the maximum extent practicable, and the Government would be seriously financially injured if the Agency complies with the publicizing and response time periods specified in FAR 5.203. All eligible SEWP V contract holders will be given the opportunity to extend their current contracts.

7. FAR 6.104-1(a)(7) – A Determination By the Contracting Officer that the Anticipated Cost to the Government will be Fair and Reasonable:

The Contracting Officer’s signature on this document indicates that they have determined that the anticipated cost to the Government will be fair and reasonable. The contractor must be required to submit a proposal to be evaluated and negotiated by the Government.

Prior to execution of the contract modification, a proposal analysis will be performed.

The proposal analysis will ensure that the final agreed-to price for the contract action is fair and reasonable. SEWP V allows for competition among contract holders and provides discounts off the contract holder’s commercial list price. Additionally, a price analysis will be conducted in accordance with FAR 15.305(a)(1) if Offerors update any of their pricing.

8. FAR 6.104-1(a)(8) – Description of the Market Research Conducted, and the Results, or a Statement of the Reason Market Research Was Not Conducted (e.g., Urgent, And Compelling Requirement):

The follow-on SEWP VI Solicitation No. 80TECH24R0001 was released via SAM.gov on May 24, 2024 and closed on February 24, 2025. The Government has received proposals from a large volume of small and large businesses, and evaluations are still underway. Since NASA is in an active source selection, and in light of the urgent and compelling rationale described above, additional market research was not conducted for this action.
