National Aeronautics and Space Administration Armstrong Flight Research Center

P. O. Box 273 Edwards, California 93523-0273

Justification for Other than Full and Open Competition 10 U.S.C. 2304(c)(1) FAR 6.302-1

1. The nature and/or description of the action being approved:

This justification provides the rationale for contracting by other than full and open competition for a six (6) month extension of Contract No. NND13AD53C with the incumbent contractor HMS, JV who performs Facilities Operations and Maintenance (O&M) at NASA AFRC. NASA AFRC must ensure continuity of these services to avoid significant adverse impact to AFRC and the overall NASA mission. An extension to the period of performance is necessary to allow the Government time to finalize the requirement for the follow-on procurement.

The period of performance for the present contract commenced on April 1, 2014 and expires on May 31, 2019. This justification is for a six (6) month extension from June 1, 2019 to November 30, 2019.

2. Description of the supplies or services required, including an estimated value:

The contractor shall perform all facility operations, maintenance, repair, janitorial services, groundskeeping services, and other directly related services for all facilities (buildings, utilities, structures and related systems) and assets (equipment and utility infrastructure) at NASA AFRC located in Edwards, CA and Palmdale, CA.

The estimated value of this action is $2.9M.

3. Statutory authority permitting other than full and open competition:

The applicable statutory authority permitting other than full and open competition is 10 U.S.C.

2304(c)(1), as cited in FAR 6.302-1, Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements.

4. A demonstration that the proposed contractor’s unique qualifications or the nature of the acquisition requires use of the authority cited:

A sole source action to HMS, JV is necessary due to the nature of the work performed under this contract that must be continued while the follow-on competitive procurement is ongoing.

HMS, JV has the combined training, experience, and expertise necessary to provide uninterrupted continuation of facilities O&M support. Continuity of these services from HMS, JV is necessary to support daily operations, maintenance, and repairs that are core to maintaining AFRC’s facilities and accomplish NASA’s overall mission. HMS, JV is considered the only responsible contractor that can meet AFRC’s needs given the short term of the extension. In addition to a transition period for a new contractor to perform the six month

JOFOC No. FY19-08 Purchase Request No. 4200695758 extension, badging and clearance requirements prohibit the new contractor from effectively performing the requirement for the entire six month duration. The transition cost and time, in terms of phase-in and mission impact, is highly unlikely to be recovered through competition.

5. Description of the efforts made to ensure that offers are solicited from as many potential sources as practicable, including whether a notice was or will be publicized as required by Federal Acquisition Regulation (FAR) 5.202:

No other offers will be solicited, as AFRC is currently in the pre-award stages of the follow-on procurement. It would be impracticable and not in the Government’s best interest to solicit sources for this extension. A synopsis will be posted on the Federal Business Opportunities website to notify the public of NASA’s intent to extend the subject contract.

6. Description of the market research conducted, and the results, or a statement of the reasons market research was not conducted:

Market research was not conducted; it will be performed for the follow-on contract.

7. Other facts supporting the use of other than full and open competition.

The contract was awarded with 52.217-8 Option to Extend Services clause; however, the price for this option period was not evaluated as part of the initial competition.

8. A determination by the contracting officer that the anticipated cost to the Government will be fair and reasonable.

The overall firm fixed price was determined to be fair and reasonable. The price will be determined fair and reasonable by utilizing the techniques in FAR 15.404-1(b)(2)(i)

9. Sources, if any, that expressed an interest, in writing, in the acquisition:

There are no sources that have expressed an interest.

10. The actions that the agency may take to remove or overcome any barriers to competition before any subsequent acquisition for the supplies or services required:

The proposed extension is required due to continued critical support at AFRC during the evaluation and award of the follow-on contract. Therefore, there are no additional actions the Agency can take to remove or overcome any barriers to competition.
