Detailed Information:
A. Nature and/or description of the action being approved. (FAR 6.303-2(b)(2)J
NASA Ames Research Center (ARC) proposes to negotiate a sole source contract modification with KBRwyle, located at 1290 Hercules Ave Ste 120, Houston, TX 77058, to extend the current period of performance for contract number NNA l 4AB82C, Fully Integrated Lifecycle Mission Support Services, commonly referred to as (FILMSS), for up to eighteen months. The period of performance (POP) of the CPFF Core and ordering period of the CPFF IDIQ is to be extended. The CPFF Core is to be increased by ~ . The purpose of the extension is to provide on-going program, science, engineering, operations and project management support for mission critical requirements at NASA ARC pending completion of a competitive follow-on procurement, FILMSS II. The extended period of performance would consist of a one eight (8) month base period of performance and five (5) two-month option periods and would extend the period of performance from August I, 2019 to January 31, 2021, if all options are exercised.
This JOFOC documents the basis and authorities for entering into the requested eighteen month extension period. There were a number of circumstances that prompted the need for the potential eighteen month extension. There were delays in finalizing the statement of work and the contract data requirement list to be in compliance with the cost-plus-fixed-fee completion contract type (FAR 16.306( d)( l ). Further delay resulted from having to cancel the Industry Day due to the Government shutdown and then subsequently reschedule once the Government resumed with allowance to permit interested businesses to make travel arrangements. FILMSS 2 has released the final RFP and is currently awaiting proposals.
Procurement efforts for a follow-on to the FILMSS contract began in June 2017. This JOFOC documents the basis and authorities to increase the contract value and enter into an extension period for a maximum of eighteen months. This eighteen month extension will allow sufficient time for responding to any potential questions on the solicitation, preparing any needed amendments, completing proposal evaluation, presenting initial findings to the Source Selection Authority (SSA), establishing a competitive range, holding discussions, evaluating Final Proposal Revisions, presenting final findings to the SSA, awarding the contract, holding debriefings, 60-day phase-in of the new contract and any protest, if applicable. Additionally, the requested period of performance for the extension will enable the continuity of support being provided by the FILMSS to on-going requirements and mission-critical projects (e.g., ISS Rodent Research, GeneLab, Space Biology Program, NASA Solar System Exploration and Research Virtual Institute (SERVI), Cell Science Program).
ARC has prepared a Request for Deviation that is being routed to NASA Headquarters requesting approval from the Associate Administrator for Procurement to extend the FILMSS contract beyond its original five-year period of performance.
B. Description of the supplies or services required to meet the Agency's needs, including an estimated value. (FAR 6.J03-2(b)(2)1

JOFOC Number JA-FYl 9-106
The purpose of this JOFOC is to increase the contract value and extend the period of performance of the current FILMSS contract for a maximum period of eighteen months, pending completion of competitive procurement for the FILMSS II contract.
The FILMSS contract provides program, science, engineering, operations and project management support for such efforts as biosciences flight development projects ( e.g., mission implementation, instrument development, and technology advancement efforts), collaborative science programs (e.g., astrobiology and virtual institutes), aeronautics research projects, and mission support functions for ARC. For flight and mission projects the FILMSS contract provides science support for all phases of engineering and project management in a project life cycle.
The FILMSS contract provides important program support to ARC in the following areas:
• Program and Projects Support (e.g. Aeronautics Projects Office Support))
• Spaceflight Project Support
• Virtual Communications and Collaboration Support (e.g. collaborative team support, NASA Solar System Exploration and Research Virtual Institute, program support, annual reports, virtual workshops)
• Science/Research Support (e.g. Design of laboratory experiments, data analysis and archiving for Space Biosciences)
• Hardware and Technology Development Support (e.g. for Cell Science )
• Innovative Partnerships Support (e.g. help identify potential partners, SBIRs, space act agreements, intellectual property, and technology transfer)
• Strategic Planning and Analysis Support
• Proposal Development
• Solicitation Support
• Public Affairs, Outreach, and Education Support (the Office of Public Affairs)
• Workshops, Meetings and Conferences Support
• Data, Document Management, and Archival Support
• Laboratory and Office Safety and Facility Support
• Subject Matter Expertise
The current contract is a hybrid Cost-Plus-Fixed-Fee contract consisting of both Core and IDIQ requirements, with a maximum value of . To date, the current value of the Core including Core Management and Core Technical is and IDIQ task orders awarded to date total . The estimated value of the services for the potential eighteen-month extension is approximately for the Core and for IDIQ based on the Independent Government Cost Estimate (IGCE). This JOFOC requests approval for the increase in value of the Core, the estimated increase in the value of task orders under the IDIQ is still within the established maximum value for the IDIQ component of the hybrid contract. The IGCE was based on a review of the current requirements, historical direct labor costs, subcontracts, and other direct costs required to continue performance of the FILMSS contract. The Core and each task order issued/awarded during the base and/or

JOFOC Number JA-FYl 9-J06 the FILMSS II contract. A gap in performance of these requirements would cause harmful consequences for ARC due to the impact not only on the work highlighted herein, but the day-to-day operations of the Center. The current FfLMSS contractor, KBRwyle, has the base of knowledge and experience with the systems of each ARC customer organization that are necessary to successfully perform the on-going FILMMS requirements. KBRwyle has obtained management and corporate knowledge to provide FILMMS support to the various organizations. A separate competition and award, potentially to a different contractor, for an eighteen-month period, would neither be feasible nor reasonable given the current and on going competitive FILMMS II procurement.
A maximum eighteen-month extension of the current FILMSS contract to permit completion of the FILMMS II competition, rather than a new procurement for the same period, is in the best interest of NASA, such that it may continue to obtain the NASA ARC mission essential services provided by FILMMS without incurring a substantial duplication of costs. This makes the incumbent the only responsible source that can reasonably satisfy the subject requirements pending completion of the competitive FILM MS II procurement.
The Government has determined that KBRwyle is highly qualified to continue performance of this contract with ARC. KBRwyle has supported many projects and technical organizations on the subject contract during the period of performance. KBRwyle has repeatedly and consistently provided the required critical skill sets for the projects and technical organizations and meets deliverables in a timely manner.
The System for Award Management (SAM) Exclusion Summary contains no active exclusion records for KBRwyle. Their latest Contractor Performance Assessment Report (CPAR) ratings were mostly Exceptional with two ratings of Very Good and one rating of Satisfactory.
E. Description of the efforts made to ensure that offers are solicited from as many potential sources as practicable, including whether a notice was or will be publicized as required by Federal Acquisition Regulation (FAR) 5.2 and, if not, which exception under 5.202 applies. (FAR 6.J0J-2(b)(6)1
On April 02, 2019, a synopsis was posted to the Federal Business Opportunities (FBO) website (fbo.gov) to inform the public of NASA's intent to extend the period of performance of Contract No. NNAl 4AB82C, in order to continue performance. The synopsis provided instructions for interested organizations to submit capabilities and qualifications to perform the effort to the Contracting Officer. The synopsis was posted for 22 days with a response date of April 9, 20 I 9. The Government received no written capability statement submissions in response to the proposed action.
F. A determination by the contracting officer that the anticipated cost to the Government will be fair and reasonable. (FAR 6.J0J-2(b)(7lJ

Other research included review of Government databases, to include the Dynamic Small Business Search (DSBS) and the NASA Vendor Database (NVD), revealed several firms that can provide various types of project and bioscience support. However, only KBRwyle would be able to perform the work without adversely impacting important schedules of work currently being performed on the contract.
Market research indicates that in accordance with FAR 6.302-1 (a)(2)(iii), KBRwyle is the only responsible source that can provide the highly specialized services without substantial duplication of cost to the Government and unacceptable days in meeting agency requirements. There has been no significant interest in this proposed contract extension but there is an expectation that responses to the competitive solicitation for FILMMS II would result in offers from at least two or more responsive and responsible firms.
H. Any other facts supporting the use of other than full and open completion. [FAR 6.303- 2(a)(9)]
Not Applicable.
I. A listing of sources, if any, that expressed an interest, in writing, in the acquisition. IFAR
6.303-2(b)(IO)I
None.
J. A statement of the actions, if any, the agency may take to remove or overcome any barriers to competition before any subsequent acquisition for the supplies or services required. (FAR6.JOJ-2(b)(ll)I
ARC is currently in the process of conducting a follow-on competitive procurement - FILMMS II - and the Final Request for Proposal (Rf P) is currently available at the Government Point of Entry (GPE) via the Federal Business Opportunities (FBO) website (www.fbo.gov). This sole source award of a potential eighteen-month extension to the FILMMS contract is necessary to provide additional time needed to complete the FILMSS II procurement and to provide continued support services. Since the number of qualified and interested contractors has been adequate for the competition of the FILMMS II requirements, there are no actions the agency needs to take to remove or overcome any barriers to competition before any subsequent acquisition for these services.
For the foregoing reasons, KBRwyle is the only responsible source that can reasonably satisfy the continuing FILMMS requirements pending award and phase-in of the FlLMSS II contract.
NASA ARC conducted a competitive procurement that resulted in the award of the original FILMSS contract on July 28, 2014 with a period of performance of August I, 2014 through July 31, 2019 (after exercising all of the options). The FILMSS performance period has not been extended previously; this is the first request for an extension.
