4. Provide the following responses to the questions asked by potential offerors:
QUESTION #1: Do subcontracts on these solicitations have to submit sealed bids or is it fine to include them within the Prime proposal? I didn't see anything in the RFP that stated sealed bids for subcontracts are required but I just wanted to confirm this.
RESPONSE #1: No subcontractors do not need to submit sealed bids. Please include the subcontractor's costs in with the Prime's proposaL.
QUESTION #2A: can you explain the criteria for the small business standard size $14M threshold referenced on pp. 24? Does this standard size refer to total revenues, anual revenue from federally sponsored projects, assets or some other measure?
NHLBI-CSB-(AR)-2012-018B-CRS / AMENDMENT #A002 / PAGE 2
RESPONSE #2A: For this paricular NAICS code the size standard is $14 milion. The $I4 milion is the average annual receipts for the past three years. A business wil not quality as a small business for this NAICS code if it is over $14 milion.
The definition of annual receipts is: Receipts means "total income" (or in the case of a sole proprietorship, "gross income") plus "cost of goods sold" as these terms are defined and reported on Internal Revenue Service tax retu forms. The term does not include net capital gains or losses; taxes collected for and remitted to a taxing authority if included in gross or total income, such as sales or other taxes collected from customers and excluding taxes levied on the concern or its employees; proceeds from transactions between a concern and its domestic or foreign affiliates; and amounts collected for another by a travel agent, real estate agent, advertising agent, conference management service provider, freight forwarder or customs broker. For size determination purposes, the only exclusions from receipts are those specifically provided for in this paragraph. All other items, such as subcontractor costs, reimbursements for purchases a contractor makes at a customer's request, and employee-based costs such as payroll taxes, may not be excluded from receipts. Receipts are averaged over a concern's latest three (3) completed fiscal years to determine its average annual receipts. If a concern has not been in business for three (3) years, the average weekly revenue for the number of weeks the concern has been in business is multiplied by 52 to determine its average anual receipts.

QUESTION #2B: Does an organization meet the criteria if the predominant source of revenue is from charitable contributions and is organized as a nonprofit SOL (c )(3)?
RESPONSE #2B: nonprofits are unable to be considered small business since they are not independently owned and operated.
QUESTION #3: Will there be a fee allowed in the proposed cost or any appropriate way for a commercial company to generate reasonable profit?
RESPONSE #3: A reasonable fee is allowable for commercial organizations.
QUESTION #4: Can we propose for only General Task i and Task 2, but not task 3 (i.e. we want to concentrate on generating iPS cell lines but not to propose on differentiation at this time)?
RESPONSE #4: No, you must propose on all three tasks.
QUESTION #5: In relation to Extent of Smaii Disadvantaged Business Participation, if we the applicant qualifies as small disadvantaged business, does it already fulfill the requirement under FAR Subpart 15.304(c)(4)?
RESPONSE #5: Yes, if the offeror qualifies as a Small Disadvantaged Business the requirement is fulfilled.
QUESTION #6: Can the same person be a principal investigator/project director on both these grants?
NHLBI-CSB-(AR)-2012-01SB-CRS / AMENDMENT #A002 / PAGE 3
RESPONSE #6: To clarify the type of contract, the awards wil be Indefinite-Delivery/Indefinite Quantity (IDIQ) contracts NOT a grant. The proposed principal investigator/project director can be the same.
All other terms and conditions of the solicitation remain unchanged.
