About this file
This is a Use and Non-Disclosure Agreement template prescribed by DFARS 227-7103-7(c) for recipients of restricted government technical data and computer software during the federal contracting process.
The agreement establishes obligations for companies receiving government-restricted data prior to contract award. Recipients must use data marked with government purpose rights or SBIR data rights only for government purposes and prohibit commercial use or unauthorized disclosure to third parties, except to subcontractors or suppliers who require the data to submit offers or perform work. Recipients must require subcontractors to sign consistent non-disclosure agreements. Data marked with limited rights legends may only be used as specified in an attachment and requires prompt notification to the government identifying the data, receipt date and location, and the providing government office. Computer software marked with restricted rights legends is limited to use in the specified solicitation and prohibits enhancement, decompilation, disassembly, reverse engineering, time sharing, or multi-computer use. Recipients must establish security procedures to protect data from inadvertent disclosure, accept data "as is" without warranty, and indemnify the government against claims arising from misuse or unauthorized modification, reproduction, release, performance, display, or disclosure. The agreement remains effective from execution through contract award and obligates recipients to destroy all data copies within 30 days after the contract award date and notify the contractor of destruction. The contractor is designated as a third-party beneficiary with direct action rights against the recipient for any breach.
