STATEMENT OF WORK

HELIUM LIQUEFACTION SYSTEM MAINTENANCE SERVICE AGREEMENT

I. BACKGROUND INFORMATION

The NIST-Boulder Helium Liquefaction Facility provides helium gas recovery and liquefaction for a large portion of the NIST-Boulder research community. We provide 15,000-20,000 liters of liquid helium per year.

This system consists of a 4000 cf helium gas recovery bag, a Bauer recovery compressor, a Linde model RS compressor, a Linde model 1410 liquefier, and a Linde model 500A purifier. The system was purchased as part of the construction of the Precision Measurement Laboratory (PML) in Boulder, CO. For both safety and operational reasons, the equipment that comprises this system requires routine preventive maintenance service at varying intervals. Also, should the system experience any problems, it is vital that it be repaired as quickly as possible since any "downtime" will significantly impact the work in several Boulder laboratories. Therefore, we require a standard Post Warranty Extended Service Contract on this tool, to cover both routine maintenance and emergency repair. Also, this service contract will cover additional parts to make repairs due to unforeseen breakdowns and upgrades to keep the system compliant with NIST standards and industry standards.

II. SCOPE OF WORK

A. SPECIFIC REQUIREMENTS

Post Warranty Full Service Contract for NIST-Boulder Helium Liquefaction System Maintenance shall include furnishing and installing all service packs, hotfixes, enhancements, new versions, etc.

B. SERVICE CALLS

Vendor s shall have sufficient management, certified and qualified technicians, and delivery personnel to service and support the requirements under this contract within the specified response times. A certified-qualified service technician shall be provided for the life of the contract.

The standard hours of operation for obtaining service is defined at the place of performance (see Section IV) as 8:00 a.m. to 5:00 p.m., local time, Monday through Friday, except Federal holidays.

The Vendor shall provide local or toll-free telephone numbers to request service, supplies, and training. These numbers shall be staffed (no answering machine) to accommodate business hours for all emergency service calls. The Vendor shall be available for telephone consultation 24 hours per day/7 days per week on operational issues with the Helium Liquefaction System including expert guidance on logical use of Helium Liquefaction System access control objects within the context of the end-users business logic at noted by the Contracting Officer Representative (COR) and/or Technical Point of Contact (TPOC).

During the standard hours of operation in the local time zone, the Vendor shall respond to and begin repairs within the contractual time agreed after initial notification to repair any repair(s) as identified by the customer.

C. SERVICE RESPONSE TIME (SRT)

To facilitate a standard response time for unscheduled service calls, NIST has developed the following category and maximum allowable times for responding to a service call under emergency and normal circumstances within generally populated areas with adequate highway infrastructure to reach the customer.

Severity Level Description Maximum Allowable Response Time

Helium Liquefaction System Maintenance Service Agreement

1 Emergency NTE 7 calendar days 2 Significant NTE 14 calendar days 3 Routine NTE 21 calendar days

D. SEVERITY LEVEL DEFINED:

1. Critical mission impact on the Customer's production use of equipment on a primary, major application or mission-critical system is stopped or so severely impacted that the customer cannot reasonably continue work.

2. Significant mission Business Impact: Important equipment features/functions are unavailable with an acceptable workaround. Customer's implementation or production use of equipment is on a mission-critical system and functioning with limited capabilities or are unstable with periodic interruptions.

3. Minimal mission impact: Equipment features are unavailable, but a workaround exists, and the majority of tool functions are still useable. Minor function/feature failure that the customer can easily circumvent or avoid. Customer's work has a minor loss of operational functionality.

E. PARTS AND SUPPLIES

The Vendor shall supply NIST the necessary parts and supplies as specified in the during preventive maintenance or service. Also, the Vendor shall provide at least 10 hours of remote (WebEx) support annually.

Vendor shall have parts and consumable supplies in quantities sufficient to service NIST that procured any downtime and have a delivery system capable of delivering the necessary parts and supplies. Vendors’ continuity of operations plans shall include contingencies in meeting this commitment under emergency conditions such as identified by the customer. Vendor loaner equipment may be used to ensure the NIST mission is not impacted by inoperable equipment.

Vendor s shall ensure that parts and supplies are available throughout the life of the contract in use by the NIST customer. A minimum of 15% discount on spare parts ordered for the term of the service contract and 10% discount on standard Field Service rates above 40 hours or if service is required on holidays, weekends, or over time with prior approval from the COR/TPOC or Contracting Officer. Parts necessary for repair and upgrade of the system shall not exceed (NTE) $ 40,000.00 per year.

F. LABOR-HOUR BASIS

Vendor shall provide labor, material, and equipment to perform repair/replacement services, including as-needed rental of temporary equipment, on-site electrical/mechanical systems at the NIST site located in Boulder CO, in accordance with the scope of this contract per the SOW. This line item is paid on a labor hour basis in accordance with the per-hour rates listed in Schedule by category identified with from the Vendor’s price proposal. All work must be authorized in advance by the COR or Contracting Officer prior to any work being performed or charged against this line item. The exception to this prior approval would be for a bonafide emergency when the Vendor is unable to contact the Contracting Officer or COR for prior approval; TPOC cannot authorize labor-hour repair services. In this instance, the Vendor may perform the services immediately for a cost not to exceed $1,000 and subject to the hourly rates listed in Schedule B.

III. PERIOD OF PERFORMANCE

Base award (1 year) and four, one-year options.
