CONTRACT LINE ITEMS (CLINs) CLIN 0001 Standard Per-Incident Repair Keysight Standard Repair (STREP) services are firm, fixed price services for the repair of an instrument model listed in the Keysight Equipment Pricing List (KEPL), but which is not covered by a Maintenance and Support Agreement (MSA). STREP services are not available for equipment damaged through abuse or neglect and are limited by the Keysight Statement of Service (KSS) associated with this contract. STREP services are procured and performed according to procedures and standards in this statement of work. STREP services always include a standard calibration of the instrument. Prior to return of the equipment, Keysight shall provide a report of what was repaired and the cause, if it can be ascertained.

CLIN 0002 Standard Per-Incident Calibration Keysight Standard Calibration (STCAL) services are firm, fixed price services for the calibration of an instrument model listed in the KEPL, but which is not covered by an MSA. STCAL services restore an out-of-tolerance (OOT) instrument to performance tolerances published in Keysight datasheets.

STCAL Services are only available for instruments that pass unit’s standard built-in test (BIT). When an instrument cannot be restored to published tolerances without repair, Keysight shall report such to the requesting Technical Point of Contact (TPOC) and the overall Contracting Officer’s Representative (COR). The government may elect to have the equipment returned or execute a bilateral task order modification for CLIN 0001 STREP services for the unit. In the case of a bilateral task order, Keysight shall invoice only for CLIN 0001. STCAL services are procured and performed according to procedures and standards outlined in this statement of work.

CLIN 0003 Non-Standard Repairs For instruments not listed in the KEPL or repairs outside of the KSS, non-standard repair services may be procured and are performed using procedures and standards outlined in this statement of work. Repairs shall be invoiced in accordance with Section 5.10. Non-standard repair services always include a standard calibration of the instrument.

CLIN 0004 Maintenance and Support Agreement Purchase Maintenance and Support Agreements (MSA) include the maintenance, repair, and calibration of a covered instrument, restoring it to full functionality and performance with tolerances published in Keysight datasheets for the instrument. Maintenance includes any hardware, firmware, or software updates and fixes that are published during the period of the MSA.

MSAs procured during the month of April will be considered “on-cycle” MSAs. Each on-cycle MSA shall cover repair and calibration services for a single unit for a period starting on May 1 of the procurement year and continuing for a period of twelve (12) calendar months, through April 30 of the subsequent year. On-cycle MSAs shall be priced according to the KEPL.

MSAs may be procured outside the month of April and will be considered “off-cycle” MSAs. Each off-cycle MSA shall cover repair and calibration services for a single instrument for a period starting at procurement award and continuing until the next thirtieth day of April. Off-cycle procurement prices shall be pro-rated, based on the on-cycle price, from the date of award to the next thirtieth day of April.

For equipment that has not been covered by a maintenance and support agreement within the previous six months, in order to be eligible for a support agreement, the unit must be demonstrated to be in good working order, as evidenced by the equipment passing all aspects of the unit’s built-in test (BIT) with no errors.

Procedures and standards for the repair and/or calibration of an instrument covered under an MSA are described hereafter in this statement of work.

Calibration Standards Calibration consists of comparing the performance of a system against standards of known accuracy. If needed, adjustments to bring the equipment within specification shall be attempted based on available procedures. Equipment that cannot be adjusted to meet specifications will require repair under repair procedures outlined in this SOW.

Keysight shall provide the following calibration type(s) as appropriate:

· Keysight Calibration

· ISO 17025 accredited calibration If an accredited calibration is not available, Keysight will provide OEM level calibration (Keysight calibration). Measurements are to be traceable to the International System of Units of Units through the National Institute of Standards and Technology (NIST). Statements of conformance are determined by applying the relevant decision rule.

Preventive maintenance shall be performed in conjunction with the calibration of equipment. Equipment, including any filter if so equipped, shall be cleaned externally. This maintenance will be performed according to procedures recommended by the manufacturer, as applicable, and/or according to accepted industry practice.

During calibration, Keysight shall ensure that the existing proprietary software version and coefficients for each instrument remain intact unless an updated version is authorized in writing by the responsible TPOC.

Upon completion of each equipment calibration, a calibration certificate (CDRL A002 – Calibration Certificate) will be generated and supplied to the TPOC electronically using Keysight’s Infoline system. Calibration certificates shall include the following information:

· Manufacturer model and serial number

· NAWCWD Calibration ID of the equipment

· Environmental conditions at the date and time of calibration

· Standards used during calibration and certification number

· Out of Tolerance (OOT) conditions existing at time of calibration

· Comments regarding how the OOT condition was resolved A calibration measurement report (CDRL A003 – Acceptance Test Report) will be provided with each calibration. This report shall include the following information:

· A pre-data and post-data measurement report stating measured equipment’s performance as received (before any adjustment) and if an adjustment is made, as shipped, will be provided as defined by calibration type

· Point-by-point measurement uncertainty or Test Uncertainty Ratio (TUR) is provided for calibration types that include uncertainties If an OOT condition is found, a report will be provided, stating the measured equipment’s performance as it is returned to the government. For OOT equipment not requiring repair, the calibration measurement report will reflect the measured equipment’s performance data after the adjustment has been made. If a repair need is identified and performed, the calibration measurement report will reflect the measured equipment’s performance data before and after the repair, as well as any subsequent adjustments that were made.

A calibration label indicating the calibration date, calibration due date, and calibration job reference will be affixed to each calibrated piece of equipment. Calibration documentation and labels will indicate calibration intervals specified by the TPOC. If no calibration interval is specified by the government, documentation and labels will indicate the OEM-recommended cycle, in months.

Tamper-resistant "Calibration Void" seals will be placed over cover screws to limit undetected access to internal adjustments.

Calibration certificates and data generated in accordance with selected calibration type shall be retained by Keysight per Keysight’s Data Retention Policy. The retention period begins upon the record creation date.

If a Keysight calibration standard is found to have an out of tolerance (OOT) condition with potential impact to government equipment, Keysight will notify the COR and all TPOCs of the equipment serial numbers and affected equipment parameters that were calibrated with that standard. However, if the calibration deliverable was for “OOT Data Only,” then no such notification will be issued.

Repair Standards and Processes Repair consists of diagnosis and correction of equipment malfunctions and failures, including re-calibration to ensure the equipment meets published specifications. Keysight will provide all labor, genuine factory replacement parts, and materials necessary to return equipment to good operating condition. Keysight is not required to accept government-supplied parts for use in repair, buy may agree to do so via bilateral Task Order Modification.

Use of refurbished replacement parts in a repair is not authorized, unless agreed via bilateral Task Order Modification.

Parts replaced during repairs or upgrades will be returned to the government. Engineering improvement modifications may be installed at the time of repair, if approved by the requesting TPOC. Procedures designed to minimize equipment failure and extend useful product life, such as cleaning, adjusting, lubricating, inspecting, and testing, may also be performed at the time of repair.

Ordering Procedures To initiate any repair or calibration, the government will request a Work Order for repair or calibration from Keysight via Email to usa_orders@keysight.com or via phone (1-800-829-4444). At the time of the request, the government provides the following details:
