SUMMARY OF CHANGES

SECTION A - SOLICITATION/CONTRACT FORM

The following have been added by full text:

VENDOR QUESTIONS

Question 1. Can the Government please clarify the actual due date of questionnaires to the Government?

Answer #1. The Past performance questionnaires are due by 08 December 2015.

Question 2. The only reference to said Attachment P3 is in the referenced paragraph 4.5 as same is not included in Section J. Attachment P3 was not included with the solicitation documents on FBO. However, the instructions within paragraph 4.1 and partially referenced herein, insinuates that the Offerors are to create a Workbook with multiple spreadsheets, using formulas and functions to the maximum extent possible, if linking to provide the references, and shall not be protected. Therefore, is it the Government's intent to provide Attachment P3 or for the Offeror to create a Workbook to reflect the cost/pricing requested per Section L? Please explain and provide the basis for the decision.

Answer #2. The reference to attachment P3 has been deleted from the RFP.

Question 3. Will the Government please provide the following Gerber Files for the Backplane, Power Supply, and Flex Cables/Boards?

• 1611AS12345G PWB GERBER REV 02-02-2000

• 1611AS12353G PWB GERBER REV 03-10-2000

• 1611AS13041G PWB GERBER REV 01-20-04

• 1611AS13043G PWB GERBER REV 01-20-04

• 1611AS13045G PWB GERBER REV 03-25-03

• 1611AS13047G PWB GERBER REV 03-25-03

• 1611AS14041G PWB GERBER REV –

Answer #3. The Government will not provide the Gerber files. The Government has provided sufficient information on the drawings that are attached to the RFP.

Question 4. Will the Government please provide the Acceptance Test Procedure, 1611AS12320 ATP, referenced within the Notes?

Answer #4. Yes, the Acceptance Test Procedures are attached with this amendment.

Question 5. Respectfully request a minimum of a two week extension from the current due date of 16 November 2015 or the date the information requested is provided, whichever is longer, based on the following:

1.) The turnaround time to review, source, and respond to all requirements, from RFP release, would not provide sufficient time to ensure the most competitive and compliant response (e.g. to adequately and reasonably solicit sources, receive quotes, review, determine competitive pricing, analyze and submit past performance questionnaire/s, as applicable and NAVAIR to receive responses from respondents for same, etc.). If additional time was provided, it is more likely Offerors would be able to provide a more competitive proposal and adequately meet the requirements.

2.) The questions asked and the responses needed will respectfully need additional time to review and propose to (e.g. the Gerber data is not provided so we are unable to provide sufficient data to potential vendors for PCB manufacturing, and not knowing if Offerors are to utilize Attachment P3 or create their own Workbook with spreadsheets mentioned in Question 2 herein.

Answer #5. The closing date has been extended to 23 December 2015.

Question 6. Based on the aforementioned, can the Government please provide a minimum of a two week extension from the current due date of 16 November 2015, or from the date the information requested by Offeror's is provided?

Answer #6. The closing date has been extended to 23 December 2015.

Question 7. Can the Government please clarify if a vendor being sourced to procure the items within the drawings for the production CLINs would be considered a principal subcontractor, team member, or critical team member based on the definition for each within said reference?

Answer #7. The Government will not define the Prime contractor’s relationship with its vendors. This is the responsibility of the offeror.

Question 8. Can the Government please confirm that the "***" is interpreted to mean that if the max quantity was distributed evenly over the five year period, each production year is not limited to same. If correct in said interpretation, Offeror recommends deleting same as the Government has the ability to order the max quantity as required by Customer demands over the five year period within the Order Limitations of FAR 52.216-19, stated in Section I.

Answer #8. For evaluation purposes the quantity is evenly spread over the five year ordering period. The Government may order less than or more than the amount being evaluated during the ordering period. The statement remains.

Question 9. Can the Government please add the following Progress Payment clauses to allow small business to submit for progress payments?

1.) DFARS 252.232-7004 DoD Progress Payment Rates (Oct 2014) "If the Contractor is a small business concern, the Progress Payments clause of this contract is modified to change each mention of the progress payment rate and liquidation rate (excepting paragraph (k), Limitations on Undefinitized Contract Actions) to 90 percent."

2.) FAR 52.232-16 Progress Payments (Apr 2012) "The Government will make progress payments to the Contractor when requested as work progresses, but not more frequently than monthly, in amounts of $2,500 or more approved by the Contracting Officer, under the following conditions:..."

Answer #9. DFARS 252.232-7004 and FAR 52.232-16 have been added to the RFP.

Question 10. Will the Government please provide a soft-copy Bill of Materials and/or please provide NSNs for the components, Lowest Repairable Units (LRUs) and/or other parts associated with TCM-Hydra? If no, please explain the reason for same.

Answer #10. No, the Government does not currently have a Bill of Materials available to provide. This information is available on the drawings.

Question 11. Several cable drawings, such as the 1611AS12362, call for black heat-shrink to be applied over the cable, then identification markings to be added via use of a white epoxy ink, applied to the surface of the heat-shrink. Will the Government consider allowing the use of computer printable marker sleeves that meet the performance requirement of M23052/5, Class 1 heat-shrink, and also the permanence requirements of MIL-STD-202F both before and after shrinking. If this is acceptable, will the Government also allow the contractor to change the color combinations to standard TMS marking colors, either yellow label with black letters, or a white label with black letters?

Answer #11. The Government will consider allowing Label/Sleeve to conform to MIL-M-87958 OR SAE AMS-DTL-23053/5. Marking shall conform to MIL-STD-130. Marking and label/Sleeve shall be of contrasting color (Preference Black/White). It is acceptable to change to a white label with black letters.

Question 12. Based on the information in the RFP Reference/Discussion Column, can the Government please remove the page limit for Volume I or increase same to 15 pages? If not, please provide the basis for same as items "i.", "ii.", "iv." (certain clauses are not within SAM) and "vii" may need more than two (2) or three (3) pages each to complete, exceeding the current page limit.

Answer #12. The page limit has been raised to 15 pages for volume 1.

Question 13. Based on the information required in Volume 4, can the Government please remove the page limit for Volume 4 or increase same to 35 pages? If not, please provide the basis for same as there are 18 CLINs that take one full page and one (1) CLIN taking a third of the page, exceeding the current page limit, without providing any other required information within said Volume.

Answer #13. The page limit for volume 4 has been changed to 35 pages.

Question 14. On Drawing 1611AS12330 the parts list calls out drawing 1611AS12324, item 25 yet this drawing is nowhere in the data package. There is another drawing, 1611AS13060 that has the same drawing name but does not show up on any parts list. Is this just a typo on the parts list and the actual drawing number should be 1611AS13060?

Answer #14. This is an error. A revised drawing has been attached to this amendment.

Please submit all questions by 27 November 2015.

The following have been modified:

VENDOR QUESTIONS

The Government anticipates releasing Amendment 0002 within two weeks from the date of issuance of this amendment to address vendor questions.

SECTION I - CONTRACT CLAUSES

The following have been added by reference:

252.232-7004
DOD Progress Payment Rates
OCT 2014

The following have been added by full text:

52.232-16PROGRESS PAYMENTS (APR 2012)
The Government will make progress payments to the Contractor when requested as work progresses, but not more frequently than monthly in amounts of $2,500 or more approved by the Contracting Officer, under the following conditions:
(a) Computation of amounts.
(1) Unless the Contractor requests a smaller amount, the Government will compute each progress payment as 80 percent of the Contractor's total costs incurred under this contract whether or not actually paid, plus financing payments to subcontractors (see paragraph (j) of this clause), less the sum of all previous progress payments made by the Government under this contract. The Contracting Officer will consider cost of money that would be allowable under FAR 31.205-10 as an incurred cost for progress payment purposes.
(2) The amount of financing and other payments for supplies and services purchased directly for the contract are limited to the amounts that have been paid by cash, check, or other forms of payment, or that are determined due will be paid to subcontractors--
(i) In accordance with the terms and conditions of a subcontract of invoice; and
(ii) Ordinarily within 30 days of the submission of the Contractor's payment request to the Government.
(3) The Government will exclude accrued costs of Contractor contributions under employee pension plans until actually paid unless--
(i) The Contractor's practice is to make contributions to the retirement fund quarterly or more frequently; and
(ii) The contribution does not remain unpaid 30 days after the end of the applicable quarter or shorter payment period (any contribution remaining unpaid shall be excluded from the Contractor's total costs for progress payments until paid).
(4) The Contractor shall not include the following in total costs for progress payment purposes in paragraph (a)(1) of this clause:
(i) Costs that are not reasonable, allocable to this contract, and consistent with sound and generally accepted accounting principles and practices.
(ii) Costs incurred by subcontractors or suppliers.
(iii) Costs ordinarily capitalized and subject to depreciation or amortization except for the properly depreciated or amortized portion of such costs.
(iv) Payments made or amounts payable to the subcontractors or suppliers, except for--
(A) completed work, including partial deliveries, to which the Contractor has acquired title; and
(B) Work under cost-reimbursement or time-and-material subcontracts to which the Contractor has acquired title.
(5) The amount of unliquidated progress payments may exceed neither (i) the progress payments made against incomplete work (including allowable unliquidated progress payments to subcontractors) nor (ii) the value, for progress payment purposes, of the incomplete work. Incomplete work shall be considered to be the supplies and services required by this contract, for which delivery and invoicing by the Contractor and acceptance by the Government are incomplete.
(6) The total amount of progress payments shall not exceed 80 percent of the total contract price.
(7) If a progress payment or the unliquidated progress payments exceed the amounts permitted by subparagraphs (a)(4) or (a)(5) above, the Contractor shall repay the amount of such excess to the Government on demand.
(8) Notwithstanding any other terms of the contract, the Contractor agrees not to request progress payments in dollar amounts of less than $2,500. The Contracting Officer may make exceptions.
(9) The costs applicable to items delivered, invoiced, and accepted shall not include costs in excess of the contract price of the items.
(b) Liquidation. Except as provided in the Termination for Convenience of the Government clause, all progress payments shall be liquidated by deducting from any payment under this contract, other than advance or progress payments, the unliquidated progress payments, or 80 percent of the amount invoiced, whichever is less. The Contractor shall repay to the Government any amounts required by a retroactive price reduction, after computing liquidation's and payments on past invoices at the reduced prices and adjusting the unliquidated progress payments accordingly. The Government reserves the right to unilaterally change from the ordinary liquidation rate to an alternate rate when deemed appropriate for proper contract financing.
(c) Reduction or suspension. The Contracting Officer may reduce or suspend progress payments, increase the rate of liquidation, or take a combination of these actions, after finding on substantial evidence any of the following conditions:
(1) The Contractor failed to comply with any material requirement of this contract (which includes paragraphs (f) and (g) below).
(2) Performance of this contract is endangered by the Contractor's --
(i) Failure to make progress; or
(ii) Unsatisfactory financial condition.
(3) Inventory allocated to this contract substantially exceeds reasonable requirements.
(4) The Contractor is delinquent in payment of the costs of performing this contract in the ordinary course of business.
(5) The fair value of the undelivered work is less than the amount of unliquidated progress payments for that work.
(6) The Contractor is realizing less profit than that reflected in the establishment of any alternate liquidation rate in paragraph (b) above, and that rate is less than the progress payment rate stated in subparagraph (a)(1) above.
(d) Title.
(1) Title to the property described in this paragraph (d) shall vest in the Government. Vestiture shall be immediately upon the date of this contract, for property acquired or produced before that date. Otherwise, vestiture shall occur when the property is or should have been allocable or properly chargeable to this contract.
(2) "Property," as used in this clause, includes all of the below-described items acquired or produced by the Contractor that are or should be allocable or properly chargeable to this contract under sound and generally accepted accounting principles and practices.
(i) Parts, materials, inventories, and work in process;
(ii) Special tooling and special test equipment to which the Government is to acquire title;
(iii) Nondurable (i.e., noncapital) tools, jigs, dies, fixtures, molds, patterns, taps, gauges, test equipment, and other similar manufacturing aids, title to which would not be obtained as special tooling under subparagraph (ii) above; and
(iv) Drawings and technical data, to the extent the Contractor or subcontractors are required to deliver them to the Government by other clauses of this contract.
(3) Although title to property is in the Government under this clause, other applicable clauses of this contract; e.g., the termination clauses, shall determine the handling and disposition of the property.
(4) The Contractor may sell any scrap resulting from production under this contract without requesting the Contracting Officer's approval, but the proceeds shall be credited against the costs of performance.
(5) To acquire for its own use or dispose of property to which title is vested in the Government under this clause, the Contractor must obtain the Contracting Officer's advance approval of the action and the terms. The Contractor shall
(i) exclude the allocable costs of the property from the costs of contract performance, and
(ii) repay to the Government any amount of unliquidated progress payments allocable to the property. Repayment may be by cash or credit memorandum.
(6) When the Contractor completes all of the obligations under this contract, including liquidation of all progress payments, title shall vest in the Contractor for all property (or the proceeds thereof) not --
(i) Delivered to, and accepted by, the Government under this contract; or
(ii) Incorporated in supplies delivered to, and accepted by, the Government under this contract and to which title is vested in the Government under this clause.
(7) The terms of this contract concerning liability for Government-furnished property shall not apply to property to which the Government acquired title solely under this clause.
(e) Risk of loss. Before delivery to and acceptance by the Government, the Contractor shall bear the risk of loss for property, the title to which vests in the Government under this clause, except to the extent the Government expressly assumes the risk. The Contractor shall repay the Government an amount equal to the unliquidated progress payments that are based on costs allocable to property that is lost. (see 45.101)
(f) Control of costs and property. The Contractor shall maintain an accounting system and controls adequate for the proper administration of this clause.
(g)Reports, forms, and access to records. (1) The Contractor shall promptly furnish reports, certificates, financial statements, and other pertinent information (including estimates to complete) reasonably requested by the Contracting Officer for the administration of this clause. Also, the Contractor shall give the Government reasonable opportunity to examine and verify the Contractor's books, records, and accounts.
(2) The Contractor shall furnish estimates to complete that have been developed or updated within six months of the date of the progress payment request. The estimates to complete shall represent the Contractor's best estimate of total costs to complete all remaining contract work required under the contract. The estimates shall include sufficient detail to permit Government verification.
(3) Each Contractor request for progress payment shall:
(i) Be submitted on Standard Form 1443, Contractor's Request for Progress Payment, or the electronic equivalent as required by agency regulations, in accordance with the form instructions and the contract terms; and
(ii) Include any additional supporting documentation requested by the Contracting Officer.
(h) Special terms regarding default. If this contract is terminated under the Default clause,
(i) the Contractor shall, on demand, repay to the Government the amount of unliquidated progress payments and
(ii) title shall vest in the Contractor, on full liquidation of progress payments, for all property for which the Government elects not to require delivery under the Default clause. The Government shall be liable for no payment except as provided by the Default clause.
(i) Reservations of rights.
(1) No payment or vesting of title under this clause shall --
(i) Excuse the Contractor from performance of obligations under this contract; or
(ii) Constitute a waiver of any of the rights or remedies of the parties under the contract.
(2) The Government's rights and remedies under this clause --
(i) Shall not be exclusive but rather shall be in addition to any other rights and remedies provided by law or this contract; and
(ii) Shall not be affected by delayed, partial, or omitted exercise of any right, remedy, power, or privilege, nor shall such exercise or any single exercise preclude or impair any further exercise under this clause or the exercise of any other right, power, or privilege of the Government.
(j) Financing payments to subcontractors. The financing payments to subcontractors mentioned in paragraphs (a)(1) and (a)(2) of this clause shall be all financing payments to subcontractors or divisions, if the following conditions are met:
(1) The amounts included are limited to --
(i) The unliquidated remainder of financing payments made; plus
(ii) Any unpaid subcontractor requests for financing payments.
(2) The subcontract or interdivisional order is expected to involve a minimum of approximately 6 months between the beginning of work and the first delivery, or, if the subcontractor is a small business concern, 4 months.
(3) If the financing payments are in the form or progress payments, the terms of the subcontract or interdivisional order concerning progress payments --
(i) Are substantially similar to the terms of the clause for any subcontractor that is a large business concern, or that clause with its Alternate I for any subcontractor that is a small business concern;
(ii) Are at least as favorable to the Government as the terms of this clause;
(iii) Are not more favorable to the subcontractor or division than the terms of this clause are to the Contractor;
(iv) Are in conformance with the requirements of FAR 32.504(e); and
(v) Subordinate all subcontractor rights concerning property to which the Government has title under the subcontract to the Government's right to require delivery of the property to the Government if --
(A) The Contractor defaults; or
(B) The subcontractor becomes bankrupt or insolvent.
(4) If the financing payments are in the form of performance-based payments, the terms of the subcontract or interdivisional order concerning payments--
(i) Are substantially similar to the Performance-Based Payments clause at FAR 52.232-32 and meet the criteria for, and definition of, performance-based payments in FAR Part 32;
(ii) Are in conformance with the requirements of FAR 32.504(f); and
(iii) Subordinate all subcontractor rights concerning property to which the Government has title under the subcontract to the Government's right to require delivery of the property to the Government if--
(A) The Contractor defaults; or
(B) The subcontractor becomes bankrupt or insolvent.
(5) If the financing payments are in the form of commercial item financing payments, the terms of the subcontract or interdivisional order concerning payments-
(i) Are constructed in accordance with FAR 32.206(c) and included in a subcontract for a commercial item purchase that meets the definition and standards for acquisition of commercial items in FAR Part 2 and 12;
(ii) Are in conformance with the requirements of FAR 32.504(g); and
(iii) Subordinate all subcontractor rights concerning property to which the Government has title under the subcontract to the Government's right to require delivery of the property to the Government if--
(A) The Contractor defaults; or
(B) The subcontractor becomes bankrupt or insolvent.
(6) If financing is in the form of progress payments, the progress payment rate in the subcontract is the customary rate used by the contracting agency, depending on whether the subcontractor is or is not a small business concern.
(7) Concerning any proceeds received by the Government for property to which title has vested in the Government under the subcontract terms, the parties agree that the proceeds shall be applied to reducing any unliquidated financing payments by the Government to the Contractor under this contract.
(8) If no unliquidated financing payments to the Contractor remain, but there are unliquidated financing payments that the Contractor has made to any subcontractor, the Contractor shall be subrogated to all the rights the Government obtained through the terms required by this clause to be in any subcontract, as if all such rights had been assigned and transferred to the Contractor.
(9) To facilitate small business participation in subcontracting under this contract, the Contractor shall provide financing payments to small business concerns, in conformity with the standards for customary contract financing payments stated in Subpart 32.113. The Contractor shall not consider the need for such financing payments as a handicap or adverse factor in the award of subcontracts.
(k) Limitations on undefinitized contract actions. Notwithstanding any other progress payment provisions in this contract, progress payments may not exceed 80 percent of costs incurred on work accomplished under undefinitized contract actions. A "contract action" is any action resulting in a contract, as defined in Subpart 2.1, including contract modifications for additional supplies or services, but not including contract modifications that are within the scope and under the terms of the contract, such as contract modifications issued pursuant to the Changes clause, or funding and other administrative changes. This limitation shall apply to the costs incurred, as computed in accordance with paragraph (a) of this clause, and shall remain in effect until the contract action is definitized. Costs incurred which are subject to this limitation shall be segregated on Contractor progress payment requests and invoices from those costs eligible for higher progress payment rates. For purposes of progress payment liquidation, as described in paragraph (b) of this clause, progress payments for undefinitized contract actions shall be liquidated at 80 percent of the amount invoiced for work performed under the undefinitized contract action as long as the contract action remains undefinitized. The amount of unliquidated progress payments for undefinitized contract actions shall not exceed 80 percent of the maximum liability of the Government under the undefinitized contract action or such lower limit specified elsewhere in the contract. Separate limits may be specified for separate actions.
(l) Due date. The designated payment office will make progress payments on the 30th day after the designated billing office receives a proper progress payment request. In the event that the Government requires an audit or other review of a specific progress payment request to ensure compliance with the terms and conditions of the contract, the designated payment office is not compelled to make a payment by the specified due date. Progress payments are considered contract financing and are not subject to the interest penalty provisions of the Prompt Payment Act.
(m) Progress payments under indefinite--delivery contracts. The Contractor shall account for and submit progress payment requests under individual orders as if the order constituted a separate contract, unless otherwise specified in this contract.
52.216-19ORDER LIMITATIONS (OCT 1995)
(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than One , the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.
(b) Maximum order. The Contractor is not obligated to honor--
(1) Any order for a single item in excess of 375;
(2) Any order for a combination of items in excess of 375; or
(3) A series of orders from the same ordering office within 30 days that together call for quantities exceeding the limitation in subparagraph (1) or (2) above.
(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) above.
(d) Notwithstanding paragraphs (b) and (c) above, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 30 days after issuance, with written notice stating the Contractor's intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

L – [1] CONTENT OF PROPOSALS (SUPPLIES)(JUN 2011) (Nov 2013)

PART A GENERAL INSTRUCTIONS

1.0 GENERAL

The Offeror is required to submit sufficient information concerning the following areas to enable Government personnel to fully ascertain capabilities of the Offeror to perform the requirements. The proposal must be sufficient in detail and scope to permit evaluation and provide the evaluators a clear understanding of the Offeror’s capability to meet the defined elements as required by the solicitation. All proposals must clearly and convincingly demonstrate that the Offeror has a thorough understanding of the requirements, associated risks and is able, willing and competent to devote the resources necessary to meet the requirements, and that the Offeror has valid and practical solutions for all requirements and potential risk areas. Offeror must respond to all requirements of the solicitation and not alter or rearrange the solicitation. The Offeror has the burden of proof to demonstrate compliance with all the evaluation factors identified in this solicitation. With the exception of the Price/Cost volume, no cost or pricing information should appear in any volume. Alternate proposals are not acceptable.

In presenting material in the proposal, the Offeror is advised that quality of information is more important than quantity. Clarity, brevity, and logical organization should be emphasized during proposal preparation. The Offeror is responsible to present enough information to allow the Government to evaluate the proposed work effort, support, and approach, as well as the price/cost proposal without opening discussions. Statements that the prospective Offeror understands, or can and/or will comply with, the specifications, and paraphrasing the requirements or parts thereof without supporting information are considered inadequate by the Government, and may render a rating of unacceptable. For the purpose of this solicitation, relevance is defined as something that has a logical connection with the matter under consideration. Such aspects of relevance include the type of effort (e.g., development, production, repair), the type of requirements (e.g., weapon systems, information systems, engineering services, scheduled depot maintenance), service similarity, service complexity, contract type, contract dollar value, the division of the company that will perform the work, and degree of participation by principal subcontractors, team members, or critical team members. Recency is defined as performance within 3 years of the date of this proposal submission.

The Offeror must include any data that illustrates the adequacy of the various assumptions, approaches, and solutions to problems. Failure to address a specific factor clearly may be considered technically unacceptable. There is no need to repeat information in more than one volume if an overlap exists; the detailed information must be included in the most logical place and summarized and referenced in other areas. Unnecessarily elaborate brochures or other presentation materials beyond what is sufficient to present a complete and effective proposal is neither necessary nor desired.

The Offeror is expected to comply with all requirements of the RFP. The Government advises the Offeror that taking exception or deviating from any term or condition of the RFP may make an offer unacceptable, and the proposal un-awardable, unless the RFP expressly authorizes such an exception or deviation with regard to that specific term or condition. The Government may consider any exception or deviation to any term or condition of the RFP that is not expressly authorized by the RFP to be technically unacceptable.

Throughout these instructions, a “principal subcontractor” is defined as a subcontractor who provides at least 10% of the proposed total price/cost (excluding the Offeror’s profit/fee), for the contract. “Team member” is defined as those entities that make up a joint venture or any other partnership or teaming arrangement formed for the purpose of responding to this solicitation. “Critical team member” is defined as those entities of the Offeror that perform a critical function in the performance of the resulting contract, whether it is technical or financial.

2.0 PROPOSAL FORMAT

Written proposals must be formatted using a Times New Roman 12 point normal font (no reduction permitted), single-spaced with 1-inch margins all around, and formatted for standard 8.5 x 11 inch paper. When foldout pages are used they must not exceed 11 x 17 inches and will be counted as 1 page. All pages should be numbered with section and page numbers. Drawings may be provided separately and may be any size but should be folded to approximately 8.5 x 11 inch standard size and will count as 1 page. Graphs shall be presented in no smaller than a 10 point font and should contain a grid, which allows values to be read directly from the graph to the same accuracy that a 10 x 10 to the ½ inch grid provides. Graphic resolution should be consistent with the purpose of the data presented.

The Offeror will provide one complete copy of the writtten proposal to the Procuring Contracting Officer (PCO) as electronic files on a CD-ROM fully compatible with Microsoft Office 2010 and for information not supported by MS Office products, use Adobe Acrobat reader. The Offeror will ensure that the Price/Cost Volume is provided on a separate CD-ROM with all data and cell formulas, in Microsoft Excel. Each CD-ROM is to be labeled with volume number, volume title, solicitation number, and the Offeror’s name.

The Offeror must present proposal information in a manner that facilitates a one-to-one comparison between the information presented and this Proposal Instruction. Proposal information must be structured such that its paragraph number/letter is identical to the Proposal Instructions paragraph number/letter to which it is responding, although the Offeror may add lower tier subparagraphs. 3.0 VOLUME 3: PAST PERFORMANCE

Note: This volume shall not contain any reference to cost or price aspects of the offer.

3.1 General

The Offeror shall identify any contracts performed within three years of this proposal submission date which contains efforts similar to those performed by Offeror, Offeror’s principal subcontractors, and critical team members in solicitation. e.g., tasks, complexity, contract type, contract dollar value, etc. Commercial contracts may be included. List the contracts from the most relevant to the least relevant. In general, recent performance will be considered more relevant than older performance. When possible, these contracts should include at least five of the most relevant contracts for the prime contractor, five of the most relevant contracts for each critical team member, and two of the most relevant contracts for each principal subcontractor (as defined in Paragraph I, General Instructions). If proposing as joint venture/single legal entity (JV/SLE), the Offeror should provide the five past performance references for the JV/SLE. If less than the five past performance references are available for the JV/SLE, each member of the JV/SLE should individually submit the five references in addition to their JV/SLE references.

For each contract identified, provide contract data, relevancy, past performance, and systemic improvement information as described below. Demonstrate the relevancy of the Offeror’s, and if applicable, the Offeror’s principal subcontractors’ or critical team members’ past performance and systemic improvements with respect to the solicitation requirements. For each past performance problem identified, describe the status of the systemic improvement efforts and, where applicable, demonstrate the impact that the systemic improvement effort had on resolving the problem such that it would not reoccur.

For contracts that have CPARS Reports that are more than six months old (e.g., the completion date is more than six months before the due date for this Past Performance Volume) the Offeror will forward a copy of the CPARS Update Questionnaire (Attachment 1) to that contract customer’s Program Manager. For all contracts identified which do not have CPARS reports, the Offeror will forward a copy of the Past Performance Questionnaire (Attachment 2) to that contract customer’s PCO, Administrative Contracting Officer, and Program Manager. All questionnaires shall be forwarded to respondants two weeks prior to the submission date/time specified in Block 9 of Standard Form 33 of the RFP. The Offeror shall include instructions for the customers to send completed questionnaires within two weeks of its receipt via e-mail to Carly Breitberg, Contract Specialist, at Email carly.breitberg@navy.mil, thereby allowing the customer approximately two weeks to complete their response. This submittal information is provided at the top of the questionnaires to facilitate the Offeror’s effort in meeting these instructions. The Offeror shall not conduct follow-up actions with regard to this questionnaire.

The Offeror shall provide written consent from their principal subcontractors and critical team members that will allow the Government to coordinate their Past Performance issue(s) with the Offeror. If the Offeror does not submit such written consent, then the Government will address any past performance issues directly with the principal subcontractor or critical team member and the Offeror will forfeit the opportunity to participate in any related discussions. Consequently, for any principal subcontractors and critical team members that do not provide such written consent, provide a point of contact (name, address, phone number, and email address) with which the Government may coordinate these issues and obtain any responses as needed.

The Government may use information other than that provided by the Offeror in their proposals to evaluate past performance. The Government may use Past Performance information obtained from sources other than those identified by the Offeror. The Past Performance Information Reporting System (PPIRS) will be the primary method used to evaluate Past Performance. It is incumbent upon the Offeror to explain the relevance of the data provided. The Government has no duty to search for data to cure the problems it finds in the information provided by the Offeror. The Offeror has the burden of providing thorough and complete past performance information.
