4. Statutorv Authority Permitting Other Than Full and Open Comoetition.
The statutory authority permitting other than full and open competition is 10 U.S.C 2304(c)(1), as implemented by the Federal Acquisition Regulation (FAR) 6.302.;1, •only one responsible source and no other supplies or services will satisfy agency requirements. •
5. Rationale JustifYing Use of Cited Statutorv Authority.
In accordance with 6.302-1(b)(1)0), only Wyle possesses the unique capability and expertise, detailed below, that can satisfy the minimum needs of the Government. Two previous contracts (N68936-99-D-0157 and N68936-05-D-0007) were issued as competitive procurements. The only proposal received for each of these actions was from Wyle Laboratories, Inc. Based on the lack of competitive offers on previous contracts and ongoing market research, the third contract, N68936.;10-D-0014, was issued sole source to Wy'te. The latest market research performed also shows Wyle as the only source to provide this effort.
Wyle's unique capabilities have enabled them to delivered common jammer management and nilsslon planning software algorithms for use across the NAE EW weapon systems. These algorithms were · developed during Wyle's Initial support of the .EA-68 .and are being provided, with some modifications by Wyle, to the NAE to enable inter-operability at a reduced cost because the jammer management and mission planning software algorithms developed for EA-68 are being reused forthe EA.;18G, E-2C and MH-60R and will also be reused on the P-8A and BAMS platforms.
As the sole designer and developer (under previous Govemmetit contracts) of the Navy's ALQ-99 Universal Exciter Upgrade (UEU) Jammer· Management Software Ubrary tocated within the NAWCWD, Point Mugu, laboratory, Wyle is the only source which possesses the requisite UEU knowledge and experience required to design, develop, integrate, and test the jammer management software associated with the UEU and mission planner. Note that the UEU is no longer in production and the original eq~ipment manufacturer was purchased by ITT and they no longer support the software. Wyle (Veridian at the time subsequenUy purchased by Wyle) went to the UEU vendor's facility in the'1991-1992 time frame to gain the required knowledge and experience to deve!Qp an on-site support capability at NAWCWD. Wyle was contracted to perform this work because they had the staff and experience to be able to understand the UEU system to continue development of the jammer management software and the Government did not.
Therefore, Wyle is·the only source with sufficient jammer management algorithm knowledge and · experience to modify and upgrade the UEU and associated mission planning software. That knowledge and experience was nolSDfki8IUitdocumented to support a competitive contract. Wyle is the only source that
. has requisite knowledge of the UEU, which includes the Programmed Data Processor (PDP)-11 legacy computer emulation used to compile and link the UEU OFP.software builds. Wyle's deliverables to the Government will include source code listings along with associated engineering design and operating documentation to complete the efforts detailed within this paragraph that will allow the Government to compete future action·s.
J&A_12_22712
A critical requirement under the proposed Statement of Work (SOW) is the completion of re-hosting of the EA-6B Jammer Management Software from CMS-2 to 'C' in support of block 6 requirements. Wyle is the
· only source that possesses the requisite software development knowledge and experience needed to convert (or re-host) the Jammer Management software components from the legacy programming language CMS-2 to 'C'. This effort is scheduled to conclude in the fourth quarter of FY-14 and will be delivered to the fleet as part of a ·final Block 6 upgrade to the EA-SB aircraft. ·
Another critical requirement under the proposed SOW is the completion of Overseas Contingency Operations modifications to the EA-6B USQ-:113 Communication Jammer in support of Block 6 requirements. Wyle iS the on!y known source that has the experience and knowledge required to perfonn this effort since the jammer management software was not sufficiently documented to support competition.
Wyle has developed and is currently upgrading the USQ-113 Operator Interface software on the Improved Operator Control Panel (IOCP) and the Tactical Display System (TDS); having already added ov~EoAcTEo Source Lines of Code (SLOC) to the source code of the TDS. This requirement for Block 6 upgrades to the EA-68 aircraft is scheduled to be completed in 4th quarter 2014 as the EA-6B Prowler enters into its five year sundown phase and removal from USMC inventory in 2019. Wyle's deliverables to the Government Will include source code listings along with associated engineering design and operating documentation to complete the efforts detailed within this paragraph that will allow the Government to compete future actions.
Wy'te is also the sole developer of an interface and Dynamic Link Library (DLL) used by the EA-SB and EA- 18G Unique Planning Component (UPC) Mission Preview of the Joint Mission Planning System (JMPS).
Upgrades to the DLL are required in support of EA-18G H10 and H12 block upgrades as well as EA-6B · Block 6 block upgrade requirements. This DLL is alsO being used bytEoAcTEdn the EA-18GTactical Operational Flight Trainer (TOFT), which requires jammer management emulator software updates to satisfy H10 and H12 block upgrades. Wyle's deliverables to the Government Will include source code listings along with associated engineering design and operating documentation to complete the efforts detailed within this paragraph that will allow the Government to compete future actions.
Wyle is the only known source that can perform these efforts without substantial duplication of cost or unacceptable delay to the Govemmenfs fielding of these weapon system upgrades. Awarding to another company will incur an unacceptable delay in fuffilling the Govemmenfs requirements presented in paragraph 3 abOve. Utilizing another source would require substantial training to acquire the knowledge and skits currently possessed by Wyle in the execution of NAVAIR requirements. The cost Impact to the Government is estimated· at three million dollars (based upon software size, complexity and standardized labor rates) to have another contractor go through the process of analyzing existing engineering software artifacts and algorithms to develop a detailed understanding of the software functions. This estimate is based upon a minimum of 18 to.24 months after award for the contractor to fully understand the detailed operations of the ALQ-99 UEU, USQ-113 and JMPS Jammer Management Software.
6. DescriPtion of Efforts Made to Solicit Offers from as Many Offerors as Practicable.

7. Determination of Fair and Reasonable Cost.
J&A_l2_22712
In accordance with FAR 15.402(a), the Contracting Officer must ensure that all supplies and support are procured at a fair and reasonable price. Analysis of the proposal will be performed by technical analysts and contract specialists, with the assiStance of DCMA analysis and DCAA auditors as needed. The Contracting Officer will analyze the various cost elements that are presented in the proposal, as well as review the actuals from previous procurements. The Procuring Contracting Officer (PCO) will use Government expertise, including DCMA, DCAA, the PMA, and other Govemment resources, to evaluate the proposed material, labor, and subcontract positions. There is not currenUy a rate agreement between Wyte and DCMA for the time period covered under this procurement. The PCO will work with DCMA and DCAA to establish a rate position for this contract. As discussed in this paragraph,. the PCO will use cost and price analysis as the basis for negotiating a fair and reasonable price for the supplies and services covered by this J&'A.
8. Actions to Remove Barriers to Future Comoetition.
Funding has been provided to procure Govemment owned data packages. Data packages for the requirements Identified in section 3 are being developed on current orders with Wyle. These orders include 0029 for the UEU Jammer Management Software Ubrary, 0026 for the US~113 Communication Jammer, and 0027 for Mission Planning DLLs. The data deliverables include software artifacts such as Sysl$rn/Segment Specifications and Software· Requirement Specifications. Preliminary deliverables are being provided by these orders and those deliverables will be 100 percent completed and delivered on this new contract with Government Purpose Rights. This will ensure that any follow-on requirements can either be performed in-house or openly competed. The Government is also actively working to increase irH1ouse capability to transition critical UPC knowledge Oammer management and. related software algorithms) Into · the Government. REDACTED
The project managers are confident that sufficient Government expertise will be in place over the next two years to support an organic capability and that the Government will have sufficient documentation to enable future requirements to be competitive.
