JUSTIFICATION AND APPROVAL

FOR USE OF OTHER THAN FULL AND OPEN COMPETITION

1. Contracting Activity

Naval Air Warfare Center Weapons Div1sion (NAWC-WD)- China Lake, CA

2. Description of the Action Being Approved

This Justification and Approval (J&A) authorizes and approves the award of a follow-on contract to Boemg Aerospace Operations. Inc in support of the AV-88, EA-18G. and F/A-18 series aircraft systems for the Naval Air System Command. Naval Air Technical Data and Engineering Services Center (NA TEC), San Diego, CA.

3. Description of Supplies/Services.

This contract provides Contractor Engineering Technical Services (GETS) Contractor Field Services (CFS) to various Fleet shore activities for the purpose of informmg. instructing. and trammg Navy and Marine Corps military and civ1han personnel in the installation. operation and maintenance to include technical guidance and advice to resolve unusually complex techmcal problems. CFS techntcal expertise is categorized by Aviation Core Disciplines. This acquisition is for Contractor Field Services-Prime (CFSP) type of Engineenng Techmcal Services (ETS) in support of the AV-88, EA-18G. and F/A-18 aircrafts Avionics. Airframe. and Electrical systems and associated support eqUipment. The above described CETS support is projected to be sustained at various locations throughout the continental United States (CONUS) and outside CONUS (OCONUS), with possible temporary support at various foreign locations.

This will be an Indefinite Delivery Indefinite Quantity contract with Cost Plus Fixed Fee and Cost Reimbursable contract line items with an ordering penod of five years starting approximately 1 September 2013 and ending 31 August 2018.

4 Statutory Authority Permitting Other Than Full and Open Competition.

5. Rationale Justify1ng Use of Cited Statutory Authority

The Boeing Company is the prime AV-88, EA-18G and F/A-18 aircraft manufacturer. The B~.ing Company is the only source capable of performing this effort to meet Fleet needs. As the Ongmal Equtpment Manufacturer (OEM), the Boetng Company delegated this work to Boeing Aerospace Operations Inc. (BAO) Oklahoma City. OK. BAO. operatmg as part of the OEM. is the only firm that possesses or can access the requisite knowledge of the aircraft and its unique airframe, avionic and electronic systems. As a result, only BAO has the engineering data, software, capability. resources and techmcal expertise to complete the various efforts to support the fielded AV-88, EA-18G and F/A-18 series aircraft systems These efforts cannot be performed by any other source than the OEM and BAO, and without these services NATEC's fleet customers would expenence mission failure. The Government did not procure a complete Level Ill Engineering Techmcal Data Package (TOP) on aforementioned aircraft systems, modifications. and upgrades. Based on the original acquisttion strategy. the OEM is not required to relinquish proprietary engmeering and technical data or their nghts The acquisttion of engineering and technical data is beyond the scope and miss1on of the NATEC Integrated Warfighter Support Services (IWSS) This requirement ts to provide GETS to the Fleet based on the state of the TOP and 1s intended to fill the gap between the technical capabilities of Government personnel and the propnetary engineering and technical data necessary to maintam the aircraft and weapon systems in a high Ready-for-Tasking (RFT) state In order for any other vendor to accomplish the contractor engineering technical serv1ces and contractor field services they would require access to the Boeing Company's technical data packages for the aircrafts. No other contractor posses the requ1site knowledge and expertise to satisfy this requirement.

6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable.

In accordance w1th FAR 5201(b)(1), th1s requtrement was synopsized via the Federal Business Opportunities webstte on November 7. 2012. No responses or inquiries have been received. Any future responses will be evaluated by the Contracting Officer.

7. Determmation of Fatr and Reasonable Cost

In accordance with FAR 15.402(a). the Contracting Officer must ensure that all supplies and services are procured at a fair and reasonable price Analysis of the proposal will be performed by technical analysts and contract specialists, with the assistance of DCMA analysts and DCAA auditors as needed. The Contracting Officer will analyze the various cost elements that are presented in the proposal, as well as review the actuals from previous procurements The Procuring Contracting Officer (PCO) will use Government expertise. including DCMA. DCAA. the technical customer. and other Government resources, to evaluate the proposal's material, labor, and subcontract positions. A detailed report developed as part of the Government evaluation will be ut1hzed to establish a NAVAIR position. As discussed tn this paragraph, the PCO will utilize cost and pnce analysts as the basis for negotiating a fair and reasonable price for the supplies/support covered by this J&A

8. Actions to Remove Barners to Future Compet1t1on.

None at this time Based on the rationale 1dentrt1ed in paragraph 5. the efforts under thts J&A are sole source to Boeing Aerospace Operations, Inc. (BAO).
