4. Statutory Authority Permitting Other Than Full and Open Competition.
10 U.S.C. 2304(c)(1), Only one responsible source and no other supplies or services will satisfy agency requirements.
5. Rationale Justifying Use of Cited Statutory Authonty.
McDonnell Douglas Corporation, now The Boeing Company (Boeing), was the prime contractor for production of the AV-8B aircraft As the sole developer and manufacturer of the production aircraft, Boeing has been integrally engaged with the JSSA for the engineering design and software development for the tactical software and integration of functional improvements and new weapons upgrades. The tactical software, system integration expertise, and aircraft performance knowledge available from Boeing was acquired over a period of approximately 32 years. The Integration of additional capabilities or corrections to existing capabilities into the AV-8B weapon system for the duration of the AV-8B service life requires the knowledge and expertise that Boeing developed over these past 32 years. The increased complexity of tactical software, system integration expertise. and aircraft performance knowledge requires Boeing's experienced resources espec1ally in the areas of flying qualities, aircraft modifications. and support publications updates. The Government does not have the necessary rights to the aircraft techmcal data package that would be reqwed to perform this effort. In order for any other vendor to accomplish updating the software it would require access to Boeing's technical data for the aircraft. Inquiry into purchasing the AV-8B data rights package (in either part or whole) from The Boeing Company to accomplish full and open competition was ultimately shown to be cost prohibitive. Furthermore, The Boeing Company has declined to relinquish data rights for the AV-8B platform.
6. Description of Efforts Made to Solicit Offers from as Manv Offerors as Practicable.
In accordance with FAR 5.201(b)(1), this reqwement was synopsized via the Federal Business Opportunities webs1te on 04/30/2013 No responses or inquiries were received. Any future responses will be evaluated by the Contracting Officer.
7. Determination of Fair and Reasonable Cost.
In accordance with FAR 15.402. the Contracting Officer shall ensure that all supplies and services ordered under this contract are procured at a fair and reasonable price The Contractor w111 submit a formal price proposal with certified cost or pricing data and sufficient information to support the accuracy and reliability of the estimate. The proposed cost Will be reviewed by experienced technical analysts and contract specialists with the atd of necessary field pncing support. Analysts will be based on historical cost and rate information provided by field pricing support agencies. The Contracting Officer will use the cost and price analys1s as the basis for negotiating a fair and reasonable price with the contractor.
8. Actions to Remove Barriers to Future Competition.
None at this time. Based on the rationale identified 1n paragraph 5, the efforts under this J&A are sole source to The Boeing Company.
