About this file

This document is a justification and approval for using other than full and open competition to award a sole source contract. The contract is for full food services at Naval Station Guantanamo Bay, Cuba to support four galley locations and special meal services. The services include providing all personnel, resources, travel, lodging and transportation needed from April 2020 through September 2020, with a base period of four months and two optional one-month extensions. The incumbent contractor Pentad Corporation has performed these services since 2014 and is considered the only responsible source able to provide the services during the required timeframe without disruption. A competitive solicitation would cause unacceptable delays and operational risks due to the extensive security, medical and transition requirements for contractors working at this overseas location. The Department of the Navy Naval Supply Systems Command intends to solicit the follow-on requirements competitively as a small business set-aside with an award by May 2020.

The Government intends to award the follow-on contract no later than the end of May 2020; a 01-August- 2020 start date will provide sufficient time to accomplish the aforementioned tasks. 4. Statutory Authority Permitting Other Than Full and Open Competition The statutory authority for this requirement is 10 U.S.C. 2304(c)(1), Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements.

5. Rationale Justifying Use of Cited Statutory Authority The rationale for FAR 6.302-1(a)(2) is that award to any other source would result in unacceptable delays (i.e. lapse in service) in fulfilling the agency’s requirement. The incumbent, Pentad Corporation, has been performing Full Food Service for Guantanamo Bay since October 2014. Naval Station Guantanamo Bay, with its four galley locations (to include detainee feeding) serve over 200,000 meals annually to personnel (Military, DoD Civilians, DoD Contractors, and Detainees). The required services are mission essential and any lapse in service would significantly impact Naval Station Guantanamo Bay. Based on past experiences, Pentad Corporation, has the necessary personnel, resources and security requirements to support this extension, while a new contract is awarded. Since Pentad Corporation is currently performing the same services under the current contract (N6883614C0034), they are considered the only responsible source capable of continuing the support of these efforts during the required timeframe.

Performance by another Contractor would be disruptive, cost prohibitive, with resultant increased operational risk and mission degradation. Time is required to process security requirements, Common Access Cards, clearances, immunizations, and a transition period.

In addition, NSGB is a unique location because it is in Cuba and all contractors must be transported to the base and are housed aboard the installation. There is no support for the base in Cuba. The time required to process the requirements is significantly longer than in a CONUS locations.

The original/current contract was solicited as Full and Open Competition that resulted in three (3) offerors who submitted proposals.

The estimate for the bridge requirement was based on using the last option period of the current contract and adding an escalation rate o which was based on Global insights. There is an expectation that cost would be duplicated if another offeror was awarded the requirement; duplications in set up cost, mobilization, immunizations, and security restrictions and clearances.. There is a reasonable expectation that similar prices would be received from a competitive solicitation. Any delays in awarding a follow-on bridge is unacceptable. Delaying to compete the requirement has further consequences as this OCONUS bridge contract must be in place prior to 01-April-2020. Based on necessary security and health requirements, the Contractor is required to submit the applicable documentation to the Contractor Officer a minimum of 45-days prior to the contractor/Employees arrival on the island. If a contract was awarded this week, 9-13 March 2020, the new Contractor could not report to the island until the last week of April-2020. There is additional time to get employees set up in housing and to allow for orientation thus creating up to 60 days lapse in service. The Naval Station Guantanamo Bay with its four (4) galley locations (to include Camp America detainee feedings) serve over 200,000 meals every year to personnel (and detainees) aboard Naval Station Guantanamo Bay. The required services are mission essential because the galley is the main source to feed personnel and any lapse in service will significantly affect the Naval Station Guantanamo Bay.

6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable For the follow-on contract to N6883614C0034, a Sources Sought Notice was uploaded to the Navy Electronic Commerce Online (NECO) portal on 29April 2019, to announce the anticipated requirement, and to seek interested and capable business sources interested in attending a site visit, scheduled for the week of 23 July 2019. The sources sought notices was used as a form of market research.

As a result of that notice, six (6) small business concerns, and one (1) large business responded.

A recent synopsis was uploaded to Beta.SAM on 05-March-2020. The synopsis included verbiage stating, “The proposed action is for services for which the Government intends to solicit and negotiate with only one source under FAR 6.302-1, Only one responsible source and no other supplies or services will satisfy the agency requirements.

The results from the synopsis produced one interested source, Pentad Corporation who is the incumbent on the current requirement. No additional market research was conducted because it is not practicable, for the reasons discussed in paragraph 5 above, for any company other than Pentad to provide the required supplies and/or services.

7. Determination of Fair and Reasonable Cost The Contracting Officer has determined the anticipated cost to the Government of the supplies/services covered by this J&A will be fair and reasonable.

8. Actions to Remove Barriers to Future Competition The follow-on requirement will be solicited as a Small Business Set-aside (Full and Open Competition after exclusions of sources) using tradeoff procedures. The Government intends to make a competitive award decision no later than May 2020, to the responsible offeror, whose conformance to the solicitation is most advantageous to the Government, with price and other factors considered.
