52.212-2 EVALUATION--COMMERCIAL ITEMS (JAN 1999)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

Technical acceptability will be based on the offeror’s communicated ability to meet the Technical requirements specified in the statement of work, as well as, demonstrating a satisfactory past performance. The government reserves the right to validate an offerer’s technical acceptability and past performance.

Technical and past performance, when combined, are more significant when compared to price.

The resulting contract shall be awarded on a lowest price technically acceptable basis. The government reserves the right to make award without discussions.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (SEP 2007) ALTERNATE I (APR 2002)

An offeror shall complete only paragraph (k) of this provision if the offeror has completed the annual representations and certifications electronically at http://orca.bpn.gov. If an offeror has not completed the annual representations and certifications electronically at the ORCA website, the offeror shall complete only paragraphs (b) through (i) of this provision.

(a) Definitions. As used in this provision:

"Emerging small business" means a small business concern whose size is no greater than 50 percent of the numerical size standard for the NAICS code designated.

"Forced or indentured child labor" means all work or service-

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

Service-disabled veteran-owned small business concern--

(1) Means a small business concern--

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).

"Small business concern" means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.

Veteran-owned small business concern means a small business concern--

(1) Not less than 51 percent of which is owned by one or more veterans (as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and

(2) The management and daily business operations of which are controlled by one or more veterans.

"Women-owned small business concern" means a small business concern--

(1) That is at least 51 percent owned by one or more women or, in the case of any publicly owned business, at least 51 percent of its stock is owned by one or more women; or

(2) Whose management and daily business operations are controlled by one or more women.

"Women-owned business concern" means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and whose management and daily business operations are controlled by one or more women.

(b) Taxpayer Identification Number (TIN) (26 U.S.C. 6109, 31 U.S.C. 7701). (Not applicable if the offeror is required to provide this information to a central contractor registration database to be eligible for award.)

(1) All offerors must submit the information required in paragraphs (b)(3) through (b)(5) of this provision to comply with debt collection requirements of 31 U.S.C. 7701(c) and 3325(d), reporting requirements of 26 U.S.C. 6041, 6041A, and 6050M, and implementing regulations issued by the Internal Revenue Service (IRS).

(2) The TIN may be used by the Government to collect and report on any delinquent amounts arising out of the offeror's relationship with the Government (31 U.S.C. 7701(c)(3)). If the resulting contract is subject to the payment reporting requirements described in FAR 4.904, the TIN provided hereunder may be matched with IRS records to verify the accuracy of the offeror's TIN.

(3) Taxpayer Identification Number (TIN).

52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor at least 10 days before the contract expires.

(a) The Government may extend the term of this contract by written notice to the Contractor within 10 days of contract expiration; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 10 days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

The contractor shall provide time cards for labor charges and Other Direct Charge Invoices for travel, material and rental of equipment to the government representative for inspection. Back up documentation (such as timesheets, etc.) can be included and attached to the invoice in WAWF. Attachments created in any Microsoft Office product are attachable to the invoice in WAWF. Total limit for the size of files per invoice is 5 megabytes. Invoices citing miscellaneous charges shall be delivered to ISSOP within 30 days of service. The government representative will conduct inspection and forward an inspection report to the contractor. The contractor shall attach the inspection reports (I.R.) and a summary report to WAWF database.

A copy of the Task Order (and all modifications that may be issued in the future) is available for download on EDA. The contractor shall submit invoices for payment per contract terms. The Government shall process invoices for payment per contract terms.

Contractors approved by DCAA for direct billing will not process vouchers through DCAA, but may submit directly to DFAS. Vendors MUST provide a copy of the invoice and any applicable receiving reports to Acceptor and Contracting Officer's Representative COR if applicable.

Contractor unit prices, when incorporated into a Government contract, will be released under the Freedom of Information Act (FOIA) without further notice to the contractor submitter. STATEMENT OF WORK

Statement of Work for Military Tactics Instruction Support Services, First Naval Construction Division, Norfolk VA 23521-2435

1.0

SCOPE

Contractor services are required for the purpose of providing instruction in basic military methods, tactics and heavy weapons employment for COMMANDER, FIRST NAVAL CONSTRUCTION DIVISION (1NCD) and its subordinate units. Training is provided for twenty one active and reserve Naval Mobile Construction Battalions (NMCB), seven Naval Construction Regiments (NCRs), two Construction Battalion Maintenance Units (CBMUs), two Underwater Construction Teams (UCTs), one Naval Construction Force Support Unit (NCFSU) and two Seabee Readiness Groups (SRGs). Students are enrolled in various military courses provided by the 20th Seabee Readiness Group (SRG) located on the Naval Construction Battalion Center, Gulfport MS and/or the 31st SRG located on Naval Base Ventura County, Port Hueneme, California. Field Training and Field Exercises (FEXs) are primarily conducted at Camp Shelby, MS and WoolMarket, MS for 20SRG and Fort Hunter Liggett, CA and Camp Roberts, CA for 31SRG.

Military Tactics Courses include: Basic Combat Skills Level 1 & 2, Squad Leaders Course, Convoy Security, MOUT, IED, Blue Force Tracker, Officer and Chief Course and various Weapons employment courses (Claymore Mine, M67 FRAG Grenade, Shotgun, M-16, M9, M-203, MK-19, M2, .50 Cal, M240B and AT-4). Contractor personnel shall provide classroom and field training instruction utilizing approved lesson plans in accordance with training course control documents. Field training instruction consists of practical application in a field environment and shall cover course(s) learning objectives, evaluation of students and performance of Range Coach functions during “Live Fire” training evolutions required for weapons employment Courses of Instruction (COI). Contractor should be prepared to administer and evaluate all subject tests and quizzes, ensuring they meet program guidelines and effectively measure the student progress on all mandated objectives. Additionally the contractor shall provide extra instruction daily to any students who may need individualized assistance, maintain and submit accurate reports on attendance, behavior, and academic progress, and work harmoniously with peers and other groups both internal and external to the program, using military knowledge and skills to enhance and accomplish the goals of the program.

The contractor shall provide support during units FEX’s. As part of the SRG training cadre conducting the exercises, the contactor’s role will be to perform the evaluator functions in a field environment. Training scenarios will be made available, upon request, to the successful contractor after contract award.

2.0

2.1 SPECIFIC TASKS:

a. TASK 1: PROJECT COORDINATION/ LEAD: The contractor shall designate one instructors to act as the contract (site) representative. The contractor shall plan, control, manage and be responsible for the successful completion of the project. The Lead shall be the contractor’s on-site representative and point of contact for Government. Responsibilities include providing overall management for contractor’s employees; planning and managing the project ensuring that work is properly scheduled to obtain maximum use of resources and ensuring that accurate and timely reports are provided. It is estimated that this Task will require 4,000 project management and coordination actions, (2,000 actions per site). Performance goals for Task 1 are:

(1) Management of Project without waste of resources.

(2) Timely delivery of all materials and/or services.

(3) Completion of one project management and coordination action per hour
