About this file

This justification and approval document authorizes the award of a sole source contract to BAE Systems Information and Electronic Systems Integration, Inc. for the procurement of 10 phase shifters, 2 power dividers, and 1 OE-120(B)/UPX technical refresh kit. The Naval Air Warfare Center Aircraft Division requires these components to support technical refreshes to the OE-120( )/UPX Antenna Group for identification friend or foe capabilities on Navy vessels. As the original equipment manufacturer of the antenna group, only BAE Systems can provide components that ensure compatibility with system specifications in accordance with military standards. Market research found no other qualified sources due to BAE Systems' ownership of technical data and responsibility for original design.

DEPARTMENT OF THE NAVY

NAVAL AIR WARFARE CENTER AIRCRAFT DIVISION LAKEHURST

ROUTE 547

JOINT BASE MDL NEW JERSEY 08733

J&A Number:

JUSTIFICATION AND APPROVAL

FOR USE OF OTHER THAN FULL AND OPEN COMPETITION

1. Contracting Activity.

Naval Air Warfare Center Aircraft Division (NAWCAD) Lakehurst, NJ

2. Description of the Action Being Approved.

This Justification and Approval (J&A) authorizes and approves, on a sole source basis, the issuance of a Firm-Fixed-Price delivery order against Basic Ordering Agreement N68335-18-G- 0038 with BAE Systems Information and Electronic Systems Integration, Inc. to procure 10 phase shifters, 2 power dividers, and 1 OE-120(B)/UPX technical refresh kit. The delivery schedule is anticipated to be 660 days after contract award.

3. Description of Supplies/Services.

The NAWCAD Webster Outlying Field Combat Integration & Identification Systems (CI&IDS) Division has been tasked by the Naval Air Traffic Management Systems Program Office (PMA-

213) to build, test, and deliver technical refreshes to the OE-120( )/UPX Antenna Group for the United States (U.S.) Navy fleet. The OE-120( )/UPX Antenna Group provides Identification Friend or Foe (IFF) capabilities through electronically-steered array antennas that operate independently of radar antennas. The OE-120( )/UPX Antenna Group is deployed to provide for immediate interrogations of pop-up targets and is MIL-DTL-29563A, Detail Specification:

Antenna System, AIMS Shipboard, Electronically Steered OE-120/UPX certified.

The NAWCAD CI&IDS Division has been identified as the Designated Overhaul Point and is responsible for maintaining approximately 150 OE-120( )/UPX Antenna Groups in the U.S.

Navy fleet as well as 12 Foreign Military Sales (FMS) commissioned ships. CI&IDS Division support for these antenna groups includes providing Installation and Check-Out (INCO) spares to shipyards, which are used to replace inoperative or defective parts. After a part is removed from an INCO kit, a replacement must be readily available to replenish the INCO kit. In support of the INCO tasking, it has been requested to procure 10 phase shifters, 2 power dividers, and 1 OE-120(B)/UPX technical refresh kit.

4. Statutory Authority Permitting Other Than Full and Open Competition.

10 U.S.C. 3204(a)(1), Only one responsible source and no other supplies or services will satisfy agency requirements.

5. Rationale Justifying Use of Cited Statutory Authority.

BAE Systems Information and Electronic Systems Integration, Inc. is the Original Equipment Manufacturer (OEM) of the OE-120( )/UPX Antenna Group and is the only known source that can provide the phase shifters, power dividers, and the OE-120(B)/UPX technical refresh kit.

BAE Systems Information and Electronic Systems Integration, Inc. is the designer, developer, and owner of the data rights for the OE-120( )/UPX Antenna Group. Only parts and components supplied by the OEM may be used to fulfill the system specifications as they ensure plug-in compatibility to prevent interchangeability issues. As such, the components shall be a form/fit/function equivalent to the existing OE-120( )/UPX, including all military specifications, military standards, and physical and performance requirements outlined in MIL-DTL-29563A, Detail Specification: Antenna System, AIMS Shipboard, Electronically Steered OE-120/UPX. In addition, the technical data packages, specifications, and engineering descriptions were developed by the OEM; therefore, technical data suitable for full and open competition is not available.

If the Government were to select a different vendor, it would result in a duplication of cost estimated at $XM, which would not otherwise be recoverable through competition. The cost would include an estimated $XK to procure replacement phase shifters, power dividers, and the OE-120(B)/UPX technical refresh kit; $XK to conduct environmental qualification testing as specified in MIL-DTL-29563A, Detail Specification: Antenna System, AIMS Shipboard, Electronically Steered OE-120/UPX; and $XK in non-recurring engineering to conduct market analysis, analysis of alternatives, routing of Engineering Change Proposals (ECPs), and updates to technical and logistical documentation.

Additionally, if different components were selected to meet this requirement, the Government would incur a minimum X year schedule delay related to production and fielding as the result of rework. The delay includes X months to analyze and select new components, revise the baseline design, reroute ECPs for approval, and perform updates to the technical and logistical documentation. Additionally, the different components would need to be environmentally tested as specified in MIL-DTL-29563A, Detail Specification: Antenna System, AIMS Shipboard, Electronically Steered OE-120/UPX, which would take an estimated X months. This schedule delay would result in missed equipment deliveries to FMS platforms, which would result in delays to technical refresh efforts.

If technical refresh efforts to the OE-120( )/UPX Antenna Group subcomponents were not conducted, the OE-120( )/UPX Antenna Group subcomponents would become inoperable and could not perform IFF validation of incoming aircraft, vehicles, or ships, making the U.S. Navy ship non-deployable.

The use of BAE Systems Information and Electronic Systems Integration, Inc. for the procurement of phase shifters, power dividers, and OE-120(B)/UPX technical refresh kit will ensure continued operation of the OE-120( )/UPX Antenna Group, which will maintain the warfighters’ ability to identify friendly aircraft and ships prior to weapons launch, decreasing the likelihood of fratricide.

6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable.

Online sources, such as the General Services Administration Advantage and National Aeronautics and Space Administration Solutions for Enterprise-Wide Procurement were searched by part numbers and nomenclature and yielded no results. A search of the National Stock Number (NSN) Inventory yielded NSN numbers 5985-01-158-6889 for part number 8509855-1 and 5985-01-158-5152 for part number 4080644-1; however, sufficient stock is not available. Internet searches using the Google search engine were conducted by part number and nomenclature and yielded no results or open market vendors. A Dynamic Small Business Search was completed by part number and yielded no results.

A search for additional vendors that could provide the required equipment included a review of Northrop Grumman Corporation and Lockheed Martin Corporation. Northrop Grumman Corporation is the OEM of the AN/UPX-24(V) Interrogator Set, which is the core processor of the AN/UPX-29(V) Interrogator System, of which the OE-120( )/UPX Antenna Group is a subcomponent. Despite being part of the same system, Northrop Grumman Corporation does not have the components of the OE-120( )/UPX Antenna Group needed to meet this requirement.

Lockheed Martin Corporation was a previous supplier of the required parts, but has since relinquished the rights and no longer manufactures them. Therefore, Lockheed Martin Corporation and Northrop Grumman Corporation are unable to meet this requirement.

A Request for Information was posted to the System for Award Management (SAM.gov) website on 13 March 2023. No responses were received. A pre-solicitation synopsis was posted to the SAM.gov website on 26 April 2023. No responses were received.

7. Determination of Fair and Reasonable Cost.

The Contracting Officer has determined the anticipated cost to the Government of the supplies/services covered by this J&A will be fair and reasonable.

8. Actions to Remove Barriers to Future Competition.

For the reasons set forth in Paragraph 5, the NAWCAD WOLF CI&IDS Division has no plans at this time to compete future contracts for the types of supplies/services covered by this document.

If another potential source emerges, the NAWCAD WOLF CI&IDS Division will assess whether competition for future requirements is feasible.
