DEPARTMENT OF THE NAVY

NAVAL AIR WARFARE CENTER AIRCRAFT DIVISION

IN REPLY REFER TO:

JUSTIFICATION AND APPROVAL

FOR USE OF OTHER THAN FULL AND OPEN COMPETITION

1. Contracting Activity.

Naval Air Warfare Center Aircraft Division (NAWCAD) Lakehurst, NJ.

2. Description of the Action Being Approved.

This Class Justification and Approval authorizes and approves on a sole source basis the issuance of a Basic Ordering Agreement (BOA) contract with BAE Systems Information and Electronic Systems Integration (IESI) Nashua, NH to procure OE-120( )/UPX Antenna Group components and its subassemblies to be used in shipyard Installation and Checkout (INCO) kits. These spares will be used to ensure shipyard INCO kits are replenished and spares are available to replace any inoperable or ineffective OE-120( )/UPX components or subassemblies found during shipbuilding activities. The OE-120( )/UPX is part of the AN/UPX-20(V) Interrogator Set which provides target identification for the Identification Friend or Foe (IFF) combat system.

3. Description of Supplies/Services.

The OE-120( )/UPX Antenna is currently in use by the U.S. Navy as a subcomponent to the AN/UPX-29(V) Interrogator System to provide IFF capabilities. NAWCAD Combat Integration & Identification Systems (CI&IDS) Division, 4.11.2 has been identified as the field activity for the AN/UPX-29(V) Interrogator System and as such is responsible for maintaining OE-120( )/UPX antennas in the U.S. Navy fleet as well as Foreign Military Sales (FMS) commissioned ships. As the field activity responsible for these antennas, NAWCAD 4.11.2 support for this antenna group includes providing INCO spares to shipyards which are used to replace inoperative or defective parts.. NAWCAD 4.11.2 requires OE-120( )/UPX antenna components and its subassemblies to replenish shipyard INCO kits that are form, fit, and function equivalent to currently fielded OE-120( )/UPX antennas. These components must also abide by the military specifications, military standards, and physical and performance requirements outlined in

4. Statutory Authority Permitting Other Than Full and Open Competition.

5. Rationale Justifying Use of Cited Statutory Authority.

Of the vendors found through market research, BAE Systems IESI Nashua emerged as the only source capable of meeting the requirements listed in paragraph 3. The OE-120( )/UPX was selected by the U.S.

Navy as the electronically steered antenna to be used with the AN/UPX-29(V) Interrogator System. The OE-120( )/UPX antenna meets all form, fit, and function requirements of the Interrogator System with no further alteration, re-design, or follow-on testing and is compliant with all specifications outlined in . As the Original Equipment Manufacturer (OEM) of the OE-120( )/UPX antenna group, BAE Systems IESI Nashua is the only source available to provide antenna components that are form, fit, and function replacements to current components as well as in compliance with. BAE Systems IESI Nashua declined the Government request and elected to retain the data as company proprietary. . Additionally, BAE Systems IESI Nashua is the only source with the existing facilities, including a test bed, and the technical expertise required to assemble and test the systems and components.

If the Government utilized another source it would result in duplication of costs and unacceptable delays to the program.

6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable.

Market research conducted via an internet search for OE-120( )/UPX returned only BAE Systems IESI Nashua as a viable source for these items.

A request for information was posted to FedBizOpps on 26 June 2018 and closed on 3 July 2018. A presolicitation synopsis was posted on 5 July 2018 and closed on 20 July 2018. No responses were received.

7. Determination of Fair and Reasonable Cost.

As part of this BOA, individual orders will be negotiated on a FFP and CPFF basis as applicable. In accordance with FAR 15.4, the Contracting Officer shall ensure that the price negotiated for each individual order is fair and reasonable. An Independent Government Estimate (IGE) has been provided for the overall ceiling value of this five-year BOA. An IGE shall also be provided for each individual order. The contractor will submit a formal price proposal with sufficient information to support the accuracy and reliability of the estimates for each individual order. The proposal will be reviewed by experienced technical personnel at AD-4.11.2, cost analysts, and the Contract Specialist for this effort. The Contracting Officer will utilize cost and price analysis in accordance with FAR 15.404-1, including a review of historical data, as the basis for negotiating a fair and reasonable price.

8. Actions to Remove Barriers to Future Competition.

For reasons stated in paragraph 5, only BAE Systems IESI Nashua can provide the parts. NAWCAD 4.11.2 will continue to monitor the market for alternative vendors and products that satisfy the form, fit, function, and security requirements of the OE-120( )/UPX Antenna. If another potential source emerges, NAWCAD will assess whether competition for future requirements is feasible.
