52.212-1 ADDENDUM
Instructions to Offerors
Award will be made to the Offeror whose quotation provides the best value to the Government based upon evaluation of all submitted quotations using the criteria below and a tradeoff process. By submitting a quote, an Offeror agrees to perform all of the PWS requirements, and the quotation shall reflect its ability to do so.
“Best value” means the expected outcome of the acquisition that, in the Government’s estimation, provides the greatest overall benefit in response to the requirement (FAR 2.101).
“Tradeoff” means that the Government may accept other than the lowest priced quotation, where the decision is consistent with the evaluation criteria and the Government reasonably determines that the perceived benefits of a higher priced quotation warrant the additional price.
For any sections of a Quote with a defined page limit, pages exceeding the specified limit will be removed and not forwarded for evaluation. Documents submitted with the Quote as deliverables will not count against the page limit.
1. Request for Quote:
This solicitation is a Request for Quote (RFQ). Any reference to “offer(s)” or “proposal(s)” shall mean “quotation(s)”, and any reference to “offeror(s)” shall mean “quoter(s)”.
2. Responses to this RFQ SHALL include the following:
Offerors must furnish sufficient details in their quotations to allow the Government to assess the quotations against the evaluation criteria listed below. Offerors should not simply restate or rephrase the Government’s requirements as stated in the PWS. Rather, the Offeror shall demonstrate in its own words a thoughtful and convincing approach to address how the Offeror intends to perform the specific requirement stated in this Request for Quotation. The Government will evaluate the following factors:
• Technical Approach Sub-factor 2: Language Expertise Sub-factor 3: Prior Experience
• Past Performance (Gated Criteria)
• Price
a. Offeror shall submit technical capabilities for each cultural relations specialist (CRS).
ii. Certifications or other documentation demonstrating language proficiency for each CRS.
iii. Relevant past experience to include two (2) references (limit, one (1) page per CRS).
b. Offeror shall submit Capabilities/Execution Plan that demonstrates how they will perform the items listed in section 2 of the Performance Work Statement inclusive of a post award kickoff meeting
c. Offeror shall submit relevant past performance within three (3) years of the date of the RFQ. Relevant past performance is performance similar in scope to the requirement of this RFQ.
d. The offeror shall provide three (3) past performance references. The Government reserves the right to contact the references provided.

52.212-2 ADDENDUM
(a) The Government will award a firm-fixed priced contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
Factor 1 – Technical approach. The experience and language expertise of contracted personnel will be evaluated to determine the degree to which they possess the qualifications to perform their proposed duties under the contract.
Sub-factor 2: Language expertise requirement. The CRS must be able to communicate clearly and effectively on a University degree level (or higher) in written and spoken French and Somali with a minimum of a working proficiency in English. The ability to also speak and understand Djibouti's local languages, including Afar, and Arabic, is preferred. The CRS will be required to translate documents and conversations in the course of performing his/her duties. The contractor shall provide at a minimum any language proficiency certifications.
Sub-factor 3: Prior experience requirement. Approximately five (5) years or more of work experience in international business, government, public relations, public policy, non-governmental organizations (NGOs) or a related professional field is preferred. The CRS must be able to develop a working knowledge and relationship with key personnel from the U.S. Embassy and various Djiboutian government ministries and heads of government. Preferred experience includes having a familiarity with the foreign claims process and legal terminology. Prior experience working with international media is preferred, as the CRS will be required to interact with Djiboutian and international media outlets. The contractor shall provide no more than one (1) page summary citing work experience in international business, government, public relations, public policy and non-government organizations.
The quote will be evaluated on how the offeror intends to organize, staff, and manage the contract and the means that will be used to accomplish the contract requirements in accordance with the Capabilities/Execution plan. The degree to which the quote demonstrates an understanding of the requirements will be evaluated, as well as the offeror's planned management of consultants and subcontractors, if applicable. The offeror’s quote shall be evaluated using a combined technical/risk rating mailto:tedra.n.thompson.civ@us.navy.mil mailto:richard.a.skinner8.civ@us.navy.mil adjectival rating method. The combined technical/risk rating includes consideration of risk in conjunction with the significant strengths, weaknesses, significant weaknesses, uncertainties, and deficiencies in determining technical ratings.
Factor 2 – Past performance. The offeror's background, experience, and qualifications will be assessed to determine the likelihood that that offeror can successfully perform the contract requirements and the degree of the risk of non-performance. The offeror's past performance on related contracts will be evaluated to determine, as appropriate, successful performance of contract requirements, quality and timeliness of delivery of goods and services, effective management of subcontractors, cost management, level of communication between the contracting parties, proactive management and customer satisfaction.
Factor 2 and the sub-factors within shall be prescribed as a “Pass/Fail” gate that the offeror’s quote must meet before advancing further in the offer evaluation process. Receiving a “Fail” in any one of past performance submissions shall result in an overall rating of “Fail” for Factor 2 and the offeror’s quote shall not be evaluated further. If an offeror does not have a history of relevant contract experience, or if past performance information is not available, the offeror will receive a neutral past performance rating.
The Government reserves the right to assess the past performance of proposed subcontractors. The Government may consider information obtained through other sources including, but not limited to, the Contractor Performance Assessment Reporting System (CPARS). The Government will perform past performance evaluation of the Offeror’s CPARS data for recency, relevancy, and performance problems.
Factor 3 – Price. Price analysis will be conducted. The Government will use price analysis to evaluate for fairness and reasonableness. The Offeror shall propose a firm-fixed price for the requirement. The price quote shall identify all labor categories, the number of hours for each labor category, and labor rates.
The Government reserves the right to determine which offers show the capability to meet the requirements of this RFQ.
Options. The Government will evaluate proposed prices for award purposes by adding the total price for all options to the total price of the basic requirement. The six months extension, under FAR Clause 52.217-8, will be included in the total evaluated price with the same unit prices offered for the last option period. The Government may determine that a quotation is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
The Government will award a single Firm Fixed Price (FFP) contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered.

52.203-3 GRATUITIES (APR 1984)
(a) The right of the Contractor to proceed may be terminated by written notice if, after notice and hearing, the agency head or a designee determines that the Contractor, its agent, or another representative--

and
(2) Intended, by the gratuity, to obtain a contract or favorable treatment under a contract.
(b) The facts supporting this determination may be reviewed by any court having lawful jurisdiction.
(c) If this contract is terminated under paragraph (a) of this clause, the Government is entitled--
(1) To pursue the same remedies as in a breach of the contract; and
(2) In addition to any other damages provided by law, to exemplary damages of not less than 3 nor more than 10 times the cost incurred by the Contractor in giving gratuities to the person concerned, as determined by the agency head or a designee. (This subparagraph (c)(2) is applicable only if this contract uses money appropriated to the Department of Defense.)
(d) The rights and remedies of the Government provided in this clause shall not be exclusive and are in addition to any other rights and remedies provided by law or under this contract.
(End of clause)
52.203-6 RESTRICTIONS ON SUBCONTRACTOR SALES TO THE GOVERNMENT (JUN 2020)
(a) Except as provided in (b) of this clause, the Contractor shall not enter into any agreement with an actual or prospective subcontractor, nor otherwise act in any manner, which has or may have the effect of restricting sales by such subcontractors directly to the Government of any item or process (including computer software) made or furnished by the subcontractor under this contract or under any follow-on production contract.
(b) The prohibition in (a) of this clause does not preclude the Contractor from asserting rights that are otherwise authorized by law or regulation.
(c) The Contractor agrees to incorporate the substance of this clause, including this paragraph (c), in all subcontracts under this contract which exceed the simplified acquisition threshold, as defined in Federal Acquisition Regulation
2.101 on the date of subcontract award.
(End of Clause)
52.203-12 LIMITATION ON PAYMENTS TO INFLUENCE CERTAIN FEDERAL TRANSACTIONS (JUN
2020)
(a) Definitions. As used in this clause--
Agency means executive agency as defined in Federal Acquisition Regulation (FAR) 2.101.

(1) Awarding any Federal contract.
(2) Making any Federal grant.
(3) Making any Federal loan.
(4) Entering into any cooperative agreement.
(5) Extending, continuing, renewing, amending, or modifying any Federal contract, grant, loan, or cooperative agreement.

(1) The term appropriated funds does not include profit or fee from a covered Federal action.
(2) To the extent the Contractor can demonstrate that the Contractor has sufficient monies, other than Federal appropriated funds, the Government will assume that these other monies were spent for any influencing activities that would be unallowable if paid for with Federal appropriated funds.
(c) Exceptions. The prohibition in paragraph (b) of this clause does not apply under the following conditions:
(1) Agency and legislative liaison by Contractor employees.
(i) Payment of reasonable compensation made to an officer or employee of the Contractor if the payment is for agency and legislative liaison activities not directly related to this contract. For purposes of this paragraph, providing any information specifically requested by an agency or Congress is permitted at any time.
(ii) Participating with an agency in discussions that are not related to a specific solicitation for any covered Federal action, but that concern--
(A) The qualities and characteristics (including individual demonstrations) of the person's products or services, conditions or terms of sale, and service capabilities; or

(iii) Providing prior to formal solicitation of any covered Federal action any information not specifically requested but necessary for an agency to make an informed decision about initiation of a covered Federal action;
(iv) Participating in technical discussions regarding the preparation of an unsolicited proposal prior to its official submission; and
(v) Making capability presentations prior to formal solicitation of any covered Federal action by persons seeking awards from an agency pursuant to the provisions of the Small Business Act, as amended by Pub.L. 95-507, and subsequent amendments.
(2) Professional and technical services. (i) A payment of reasonable compensation made to an officer or employee of a person requesting or receiving a covered Federal action or an extension, continuation, renewal, amendment, or modification of a covered Federal action, if payment is for professional or technical services rendered directly in the preparation, submission, or negotiation of any bid, proposal, or application for that Federal action or for meeting requirements imposed by or pursuant to law as a condition for receiving that Federal action.
(ii) Any reasonable payment to a person, other than an officer or employee of a person requesting or receiving a covered Federal action or an extension, continuation, renewal, amendment, or modification of a covered Federal action if the payment is for professional or technical services rendered directly in the preparation, submission, or negotiation of any bid, proposal, or application for that Federal action or for meeting requirements imposed by or pursuant to law as a condition for receiving that Federal action. Persons other than officers or employees of a person requesting or receiving a covered Federal action include consultants and trade associations.
(iii) As used in paragraph (c)(2) of this clause, ``professional and technical services'' are limited to advice and analysis directly applying any professional or technical discipline (for examples, see FAR 3.803(a)(2)(iii)).
(iv) Requirements imposed by or pursuant to law as a condition for receiving a covered Federal award include those required by law or regulation and any other requirements in the actual award documents.
(3) Only those communications and services expressly authorized by paragraphs (c)(1) and (2) of this clause are permitted.
(d) Disclosure. (1) If the Contractor did not submit OMB Standard Form LLL, Disclosure of Lobbying Activities, with its offer, but registrants under the Lobbying Disclosure Act of 1995 have subsequently made a lobbying contact on behalf of the Contractor with respect to this contract, the Contractor shall complete and submit OMB Standard Form LLL to provide the name of the lobbying registrants, including the individuals performing the services.
(2) If the Contractor did submit OMB Standard Form LLL disclosure pursuant to paragraph (d) of the provision at FAR 52.203-11, Certification and Disclosure Regarding Payments to Influence Certain Federal Transactions, and a change occurs that affects Block 10 of the OMB Standard Form LLL (name and address of lobbying registrant or individuals performing services), the Contractor shall, at the end of the calendar quarter in which the change occurs, submit to the Contracting Officer within 30 days an updated disclosure using OMB Standard Form LLL.
(e) Penalties. (1) Any person who makes an expenditure prohibited under paragraph (b) of this clause or who fails to file or amend the disclosure to be filed or amended by paragraph (d) of this clause shall be subject to civil penalties as provided for by 31 U.S.C.1352. An imposition of a civil penalty does not prevent the Government from seeking any other remedy that may be applicable.
(2) Contractors may rely without liability on the representation made by their subcontractors in the certification and disclosure form.
(f) Cost allowability. Nothing in this clause makes allowable or reasonable any costs which would otherwise be unallowable or unreasonable. Conversely, costs made specifically unallowable by the requirements in this clause will not be made allowable under any other provision.
(g) Subcontracts.
(1) The Contractor shall obtain a declaration, including the certification and disclosure in paragraphs (c) and (d) of the provision at FAR 52.203-11, Certification and Disclosure Regarding Payments to Influence Certain Federal Transactions, from each person requesting or receiving a subcontract under this contract that exceeds the threshold specified in FAR 3.808 on the date of subcontract award. The Contractor or subcontractor that awards the subcontract shall retain the declaration.
(2) A copy of each subcontractor disclosure form (but not certifications) shall be forwarded from tier to tier until received by the prime Contractor. The prime Contractor shall, at the end of the calendar quarter in which the disclosure form is submitted by the subcontractor, submit to the Contracting Officer within 30 days a copy of all disclosures. Each subcontractor certification shall be retained in the subcontract file of the awarding Contractor.
(3) The Contractor shall include the substance of this clause, including this paragraph (g), in any subcontract that exceeds the threshold specified in FAR 3.808 on the date of subcontract award.
52.204-22 ALTERNATIVE LINE ITEM PROPOSAL (JAN 2017)
(a) The Government recognizes that the line items established in this solicitation may not conform to the Offeror's practices. Failure to correct these issues can result in difficulties in acceptance of deliverables and processing payments. Therefore, the Offeror is invited to propose alternative line items for which bids, proposals, or quotes are requested in this solicitation to ensure that the resulting contract is economically and administratively advantageous to the Government and the Offeror.
(b) The Offeror may submit one or more additional proposals with alternative line items, provided that alternative line items are consistent with subpart 4.10 of the Federal Acquisition Regulation. However, acceptance of an alternative proposal is a unilateral decision made solely at the discretion of the Government. Offers that do not comply with the line items specified in this solicitation may be determined to be nonresponsive or unacceptable.
