The following have been modified:

GENERAL INFORMATION

Amendment 0001 – The purpose of this amendment is to answer questions received in response to this soliciation, as detailed below:

#1: Section L.2.5 (File Naming Convention) indicates that the 3 components of Volume I (Administrative), i.e.

(Cover Letter, Fill-In Information for Provisions/Clauses, and Subcontracting Plan), should be submitted as separate files.

Section L.3.0 (Proposal Organization and Content), specifically the table at the bottom of Page 76 and top of Page 77, indicates that the same components should be in the same Volume (hence same file).

Question: Please clarify if the components of Volume I (Cover Letter, Fill-In Information for Provisions/Clauses, and Subcontracting Plan) should be submitted as separate files or all in one file.

Answer: Per Section L 2.5 File Naming Convention is instructions for naming files and provides examples of how to name files. Section 2.5 does not indicate if components of a Volume should be submitted separately, it strictly provides instructions for file naming. Section L 3.0 provides instructions on Proposal Organization and Content. Per Section L 3.0 “Offeror shall organize its proposal into separate volumes and adhere to page limitation. Per the table under Section L 3.0 Volume I Administration content consists of the Cover Letter, Fill-In Information for Provisions/Clauses, and Small Business Subcontracting Plan.

#2: Question: Please confirm if ALL volumes/files should be marked with CUI, or just volumes/files that actually contain CUI (such as Vol. III Technical Capability). Reference: Section 1.2 (page 74).

Answer: Per Section L 1.2 (c) Proposals shall be marked with “CUI Source Selection Information – See FAR 2.101 and 3.104” at the top and bottom of each page submitted.

#3: Question: Please clarify the small business participation/subcontracting goal.

Page 72 has a SB subcontracting plan with a goal of 5% Page 78 has a SB participation minimum requirement of 10%

Answer: Per Section L NAVSEA text L-219-H001 SUBMISSION OF SMALL BUSINESS SUBCONTRACTING PLAN (NAVSEA) (JAN 2021) the 5% is the goal for small disadvantaged business that the Subcontracting Plan shall include as part of the subcontracting plan. Per Section L 2.2 Small Business Participation the “Offeror shall demonstrate how it will provide at least 10% of the proposed total estimated amount of the contract to small business concerns.” Per Section L 3.0 page 77 paragraph (c) Note: The Small Business Subcontracting Plan is separate from the Small Business Participation Pass/Fail. All Offerors, including small businesses, must address the Small Business Participation Pass/Fail.

#4: Question: Does the repeal of Executive Order 14091 impact the small business subtracting/participation requirement(s) of this solicitation?

Answer: No, this does not impact the small business subcontracting plan or the small business participation for this requirement.

#5: Question: Is the STR’s resume excluded from the 3-page limit of Vol. 3, Factor 1, Subfactor C?

Answer: Section L 3.0 table within the solicitation will be updated to include a page limitation for management approach paragraph (b) of four (4) pages. Senior Technical Representative (STR) Description and Resume page limitation remains as three (3) pages. The total page limitation for Subfactor C will be seven (7) pages.

All other soliciation terms and conditions remain unchanged.

NOTE: Applicable documents referenced in the Statement of Work in Section C of this Request for Proposal will be available electronically. The deadline to request Applicable Documents is fifteen (15) calendar days following issuance of the solicitation. Requests received after this date will be honored but may not be received by the offeror prior to receipt of proposals. Failure to request these documents by the stated date will not be justification for extension of the proposal receipt date.

1.0 INSTRUCTIONS FOR SUBMISSION OF PROPOSALS

General Notes:

Note 1: For pricing purposes, the anticipated ordering period start date of this contract is 06/27/2025.

Note 2: The Newport Division, Naval Undersea Warfare Center, Newport, RI intends to award indefinite-delivery indefinite quantity Multiple Award Contract (s) (MACs) to provide services as described in Section 4.0 of the Statement of Work. The resultant contract(s) will also contain provisions for task orders to be awarded on a cost-plus-fixed-fee basis as determined by the Government. The MACs shall have an ordering period from date of contract award through sixty

(60) months after date of award.

Note 3: The Product Service Cost (PSC) for this requirement is R706. NAICS 541990 - Professional, Scientific, and Technical Services. The small business size standard is $19 million.

Note 4: This requirement is a complete follow-on to multi-award contract N6660420DM001/2/3 awarded to Metson Marine Services Inc., Seaward Services Inc., and Oceanetics, Inc.

Note 5: There are various places within this solicitation that require the offeror to fill in information.

Note 6: The contract ceiling is $26,055,782, exclusive of CLIN 0001.

1.2 Submission Requirements

(a) Each offeror shall submit its entire proposal electronically. Offeror shall provide information and documentation in detail to clearly identify its overall qualifications.

Offerors shall comply with the detailed instructions for the format and content of the proposals;

proposals that do not comply may be considered unacceptable and may render the offeror ineligible for award.

(b) Proposals shall be submitted electronically via email to the contact information listed above.

2.0 Proposal Format

In order to maximize efficiency and minimize the time for proposal evaluation, all Offerors shall submit their proposals in accordance with the format and content specified below. The requirements below apply equally to subcontractors. Proposals that do not meet the below requirements may be deemed unresponsive and may not be eligible for award. The electronic proposal shall be prepared so that if printed, the proposal meets the following format requirements:

8.5 x 11 inch paper Single-spaced typed lines 1 inch margins Font text shall be 12-point Times New Roman, except for:

o Graphs, graphics, tables, or charts used to supplement the proposal text shall use Times New Roman that is no smaller than 9-point font size.

o Microsoft Office Excel spreadsheets shall use Times New Roman that is no smaller than 9-point font size. These Excel spreadsheets shall be formatted for printing in landscape orientation such that all row and column headings appear on each printed page. All spreadsheets shall include calculations in the cells showing all formulas. Do not enter hard data where formulas were used to calculate the entered value.

No hyperlinks Proposals shall be in English and in U.S. dollars.

Proposals shall be Microsoft Office (Word, Excel, PowerPoint) 2010 and newer versions or Adobe Acrobat (PDF) compatible. PDF files shall be searchable when reviewed electronically.

2.1 Cover Page and Table of Contents

Offeror and subcontractors shall provide a cover letter with the following information:

Solicitation number;

Company name, CAGE code, Unique Entity Identifier (UEI), address, e-mail address, and telephone number;

A statement specifying unconditional acceptance of all terms, conditions, and provisions included in the solicitation;

A statement that the proposal is valid through 240 calendar days from the date specified for receipt of proposals;

Names, titles, telephone numbers, and valid e-mail addresses of persons authorized to negotiate on the Offeror's behalf with the Government in connection with this solicitation;

DCAA and DCMA office POC, including branch location, DODAAC, contact name, telephone number and e-mail address;

Name, title, and signature of a person authorized to sign the proposal. The Offeror’s signature on their proposal indicates the company will meet all requirements of the SOW, without exception; and

Identify all enclosures being transmitted as part of the Offeror's proposal.

If an Offeror believes no organizational conflict(s) of interest exists, an affirmative statement that no such conflict exists shall be included in the cover letter.

2.2 Glossary of Abbreviations and Acronyms

Offeror shall include a glossary of abbreviations and acronyms for each proposal volume that provides corresponding definitions. Glossaries will not count against page limitations.

2.3 Page Numbering System

Offeror shall use a standard page numbering system to facilitate proposal references. All pages shall be numbered consecutively for each section within a volume. Charts, graphs, and other inserted materials shall be included in the page numbering system.

2.4 Restriction on Disclosure and Use of Data

Offerors that include in their proposals data that they do not want disclosed to the public for any purpose, or used by the Government except for evaluation purposes, shall mark the title page with the following legend:

"This proposal includes data that shall not be disclosed outside the Government and shall not be duplicated, used, or disclosed in whole or in part for any purpose other than to evaluate this proposal. If, however, a contract is awarded to this Offeror as a result of, or in connection with, the submission of this data, the Government shall have the right to duplicate, use, or disclose the data to the extent provided in the resulting contract. This restriction does not limit the Government’s right to use information contained in this data if it is obtained from another source without restriction. The data subject to this restriction are contained in sheets [insert numbers or other identification of sheets]";

Offerors shall also mark each sheet of data it wishes to restrict with the following legend:

"Use or disclosure of data contained on this sheet is subject to the restriction on the title page of this proposal."

2.5 File Naming Convention

All proposal files shall include the Offeror's company name, volume #, document name, and other useful identifying information. For example:

3.0 PROPOSAL ORGANIZATION AND CONTENT

Offeror shall organize its proposal and include all proposal content exactly as described herein.

Offeror shall organize its proposal into separate volumes and adhere to page limitations as delineated in the Proposal Organization Table below. Page limitations will be treated as maximums. If exceeded, excess pages may not be read or considered in proposal evaluation.

When both sides of a sheet display printed material, it shall be counted as two pages.

A Cover or Title Page, Table of Contents, and Glossary of abbreviations and acronyms are allowed for each volume and will not count against the page limitation for each respective volume.

Important: Offerors shall not include classified material in the volumes.

(b) Offerors shall complete all solicitation fill-ins using the latest amended solicitation version and provide a copy within Volume I.

(c) Small Business Subcontracting Plan. The Offeror’s attention is directed to Section L text L- 219-H001 ‘Submission of Small Business Subcontracting Plan.’ As prescribed in FAR 19.7, the Offeror shall submit a subcontracting plan, and an acceptable plan will be incorporated into and made a material part of the contract. The Small Business Subcontracting Plan does not apply to small business concerns.

Note: The Small Business Subcontracting Plan is separate from the Small Business Participation Pass/Fail. All Offerors, including small businesses, must address the Small Business Participation Pass/Fail.

2.0 PASS/FAIL REQUIREMENTS

The offeror shall submit the following information with its proposal which will be evaluated as a pass or fail in relation to the solicitation requirements:

2.1 Organizational Conflict of Interest Mitigation Plan

Offeror’s OCI Mitigation Plan shall be provided in Volume II. In accordance with H-209-H003 ‘Required Disclosure of Organizational Conflict of Interest,” H-209-H004 “Restrictions

Resulting From Potential Organizational Conflict Of Interest,” and provision L-209-H009 ‘Notification of Potential Organizational or Personal Conflict(s) of Interest’, Offeror shall identify any and all conflicts of interest or potential conflicts of interest related to this solicitation. Offerors shall follow the below described two-step process for identifying known or potential OCI issues to the Government for this solicitation.

Step 1: If it is believed that conflicts of interest are real, possible, or perceived, the contractor shall submit a letter within fourteen (14) days of the release of the solicitation identifying those OCI issues and the strategy that the Offeror intends to use for mitigation. This letter will be for notification purposes only, for the Government to conduct any research, and no determination will be made by the Government at that time. If no OCI issues are present or anticipated, no action is required of the Offeror within this window.

Step 2: Offerors shall submit a statement in affirmation or negation whether they have an OCI conflict regarding this solicitation. If OCI issues are present or anticipated, Offerors shall provide details and submit an OCI mitigation plan and its corporate policy for resolving as part of their proposal submission. If it is believed that no conflicts of interest exist, then the Offeror shall clearly state this, in addition to providing their corporate policy for resolving OCIs.

Organizational charts and/or corporate policy are authorized to be submitted in addition to the OCI Mitigation Plan and do not count toward any page limitation.

Award will only be made to an Offeror, including all subcontractors, that has no organizational conflict of interest as defined in FAR 9.5 or that the Government determines has provided a satisfactory mitigation plan in accordance with L-209-H009 herein. Failure by an Offeror to disclose a potential OCI or to submit an OCI mitigation plan with its proposal may render itself no longer being considered for award.

2.2 Small Business Participation

The North American Industry Classification (NAICS) code applicable to this solicitation is 541990. Therefore, companies proposing as a subcontractor under this solicitation as a small business concern must have had an average annual receipt over its five previous fiscal years that was less than $19,000,000. Companies proposed as a small business concern shall meet this size standard as of the date of the proposal submission under this solicitation.

Offeror shall demonstrate how it will provide at least ten percent (10%) of the proposed total estimated amount of the contract to small business concerns. Offeror shall provide sufficient information to demonstrate that the tasks assigned to the selected small business subcontractors are meaningful in the overall success of the program. The approach shall address use of Small Business Concerns, Small Disadvantaged Business Concerns, Women-Owned Small Business Concerns, Hub Zone Small Business Concerns, Veteran-Owned Small Business Concerns, and Service-Disabled Veteran-Owned Small Business Concerns.

3.0 NON-COST/PRICE FACTORS

Offerors shall provide information by addressing each factor and subfactor in the format and sequence identified in the solicitation. The Offeror must provide information in sufficient detail to allow the Government to evaluate the Offeror’s understanding of and ability to perform the work described in the solicitation. The proposal shall be detailed and clearly stated to allow the Government to evaluate without the need for additional clarifications. All information and data provided shall be specific to this solicitation except for the area of Past Performance. Proposals that do not contain the information required in the solicitation risk being determined unacceptable by the Government.

In response to the solicitation, the offeror must address the below factors and subfactors.

3.1 Technical Capability – Factor 1

3.1.1 Technical Approach Subfactor A

The submission of an offer constitutes unconditional acceptance to perform all of the tasks described in the SOW. Offerors shall describe its specific understanding, capability, experience, and technical approach with regards to the following requirements: SOW tasks 4.1 – 4.4.

Offerors should organize its technical approach by grouping together capability, understanding and approach by specific SOW requirements. Offerors shall clearly demonstrate its ability of the requirements. Offerors shall provide explanatory details assuming that the Government has no prior knowledge of its facilities, capabilities, or experience. Offerors shall identify technical uncertainties and assumptions within the requirements and provide specific courses of action for their resolution. Offerors are encouraged to address any innovative approaches to meeting the requirements. Offerors shall not simply rephrase or restate the Government’s requirements in the proposal. Proposals that merely reiterate the Government’s own requirements shall be deemed unacceptable and thus ineligible for award. Offerors are cautioned that failure to provide the necessary information may result in its adjectival ratings being downgraded accordingly.

3.1.2. Hypothetical Problems - Subfactor B

Offerors shall provide a detailed approach to handle each Hypothetical Problem below which addresses its understanding of the issue(s) and requirement(s), includes the types of personnel required (i.e. labor categories), and includes the number of hours per labor category for each Hypothetical Problem. The responses to each Hypothetical Problem shall be included in the technical proposal narrative page count limit identified in paragraph 1.3(c). Offerors shall identify Applicable Documents and GFI necessary to accomplish each Hypothetical Problem, and the Offeror’s plan to effectively incorporate the Applicable Documents and GFI into the performance of each Hypothetical Problem. In addition, Offerors shall demonstrate an understanding and identification of all potential risks as well as appropriate mitigation plans for each Hypothetical Problem.

Assume that project-specific equipment (communications, torpedo recovery equipment, etc.) will be provided by the Government. The responses to each area shall be included in the technical proposal narrative page count limit identified in 1.3(c).

Offerors shall describe its approach, names of potential vendors and assets (examples of such assets include fixed and rotary wing aircraft, ocean-going vessels, commercial diving support, vessel mobilization support, and use of various pieces of oceanographic equipment), and how it would perform the hypothetical problems. This approach shall contain a detailed schedule of actions and milestones to meet the hypothetical requirements. Identify all proposed assets, their unique capabilities for the task, and their proximity to the test sites identified in the hypothetical problems below. Discuss why these particular assets were proposed including their applicability and suitability to the test requirements. Discuss any safety issues and risk mitigation and management for those issues. Provide and discuss the proposed labor mix (categories and hours) and why these categories are appropriate for this type of effort.

Hypothetical Problem 1:

NUWCDVINPT will be holding a test event in the Operational Area (OPAREA) located approximately ten (10) to twenty (20) miles west/southwest of the Hawaiian Island of Molokai.

The test event will last for five days, inclusive of mobilization and demobilization. It is estimated that approximately twenty-six (26) flight hours may be required, inclusive of a two (2) hour orientation flight. The test event will require operation and logistic services in the form of a fixed-wing aircraft for aerial observation of marine mammals and expended underwater vehicles.

In accordance with the requirements below, describe the aircraft that would best support this test event:

Aircraft with the ability to perform marine mammals traffic monitoring and locating expended test vehicles.

Aircraft must have a Global Positioning System (GPS) and a Very High Frequency (VHF) marine band radio installed with an antenna external to the aircraft (not a handheld marine band radio).

Aircraft must provide required survival equipment for overwater flight operations.

Aircraft’s maximum passenger capacity must accommodate three Government representatives.

Aircraft must have communications for a front-seat passenger and up to two rear-seat passenger (e.g. four-place intercom).

The Pilot must hold commercial and instrument ratings. The offeror shall acquire all permits, passes, flight plans, and documentation for airport usage in the area. The offeror’s response should also describe weather contingency plans.

Hypothetical Problem 2:

NUWC Division Newport and Keyport are supporting a Lightweight Torpedo Service Weapons Test (SWT) off Southern California (SOCAL). The test event will last for a ten (10) day period, inclusive of three (3) days of mobilization, a four day test event period during daylight hours, and three (3) days of de-mobilization. The contractor shall provide a vessel to deploy and retrieve a system into the water at a predetermined location in the Operational Area (OPAREA).

The contractor shall provide a vessel to command and control system operations, deployment, and retrieval.

In accordance with the requirements below, describe the vessel and port services that would best support this test event:

Vessel shall be capable of mobilization at the ports of Hueneme, Los Angeles, Long Beach, San Diego, or other SOCAL area ports.

The vessel shall provide berthing for a maximum of fourteen (14) Government riders (no females planned).

Vessel shall have a crane or A Frame/H Frame that will have a minimum safe working load of 10,000 lbs, at a minimum outboard reach of sixteen (16) feet, and capable of deploying and retrieving a twenty (20) foot diameter system.

Vessel crane or A Frame/H Frame must have a safety latch on the hook.

Vessel shall have a minimum clear deck space of 1,200 square feet for test team equipment and system.

Vessel shall provide a deck mounting system (Baxter bolts, NATO grid, Pad-Eyes, etc.)

or a means to secure operational equipment to the deck, rails or bulkhead. If pad eyes can be welded to the deck, the contractor shall supply certified welders to install pad eyes during mobilization.

Vessel shall provide operational lab space (internal or ISO Container) for up to six (6) personnel. Lab space shall have heat/air conditioning of temperatures between 60 and 75 degrees Fahrenheit.

Vessel shall be capable of speeds of at least ten (10) knots and provide a platform to stage underwater vehicle localization equipment; and to collect subsurface environmental data.

3.1.3. Personnel and Management - Subfactor C

(a) Identify the Senior Technical Representative (STR) designated to manage the overall effort as a Key Person and serve as the primary point of contact with the Contracting Officer’s Representative (COR). Include a resume for the STR (if the STR's resume is included elsewhere in the proposal, identify its location and do not resubmit). Address the STR's authority, ability to independently commit company resources to performance under the contract, and the STR's line of communication to senior company management. Describe the STR's previous experience managing similar efforts. The STR must be designated as a Key person directly charged under the contract and have an associated labor category. The STR shall be proposed as part of the level of effort, and the proposal shall demonstrate that the STR can effectively and efficiently manage day-to-day tasks from a remote location.

(b) Describe overall management approach including details about processes, tools, and other unique characteristics that demonstrate the ability to successfully manage this effort. Describe the approach to communicate with Government and other stakeholders including details on status reports, meetings, and other forms of communications. Describe the quality control process including a discussion on how performance and deliverables will meet the Government’s quality standards in accordance with PRST Attachment #1. Describe the approach for monitoring and controlling costs during performance. Describe the approach for risk management including identification of risks and mitigation strategy. Describe the offerors approach to managing its subcontractors at the task order level. Describe the specific requirements anticipated to be subcontracted, the rationale for why these subcontractors were selected to perform this work, and the overall approach to subcontractor management. Explain how the Offeror will identify and correct any deficiencies in performance associated with the actions or inactions of the Contractor’s and subcontractor’s personnel.

3.2 Past Performance – Factor 2

(a) The offeror shall provide three (3) past performance references, if available, that reflect recent relevant experience performed within the last three (3) years of the closing date of the solicitation. The past performance references shall demonstrate the Offeror’s ability to manage and execute the scope and breadth of the tasking in the SOW.

For each reference, the offeror shall include contract/task order number, contract/task order type, program name, total contract/task order cost, and names and valid email addresses and telephone numbers for the Procuring Contract Officer (PCO), Contracting Officer’s Representative (COR), and Government Program Manager (PM), or industry equivalent.

For each reference, the offeror shall identify its role as either a prime contractor or a subcontractor on the referenced contract.

If the offeror was a subcontractor on the reference, then the Offeror shall provide an explanation of its role in contract performance as well as the dollar value of its subcontract.

For each reference, the Offeror shall provide a written explanation describing the work that was performed and how the work was or is relevant to the work being proposed in this solicitation.

The Offeror may provide information on problems encountered on the identified contracts and the offeror's corrective actions.

Each past performance reference shall not exceed two (2) pages per reference, for a total of six

(6) pages. If none or fewer than (3) recent, relevant references are available, the Offeror shall submit a statement indicating as such.

(b) Subcontractors proposed to perform more than twenty-five percent (25%) of the total proposed value of the contract shall also submit three (3) past performance references, if available, that reflect recent relevant experience performed within the last three (3) years of the closing date of the solicitation and demonstrate the ability to handle work performed under this contract. Subcontractor past performance references shall contain the same information as that of the prime as listed in paragraph (a), above.

Each subcontractor past performance reference shall not exceed two (2) pages per reference, for a total of six (6) pages per subcontractor. Past performance references submitted for subcontractors that are not proposed to perform more than twenty-five percent (25%) of the total contract value will not be considered.

(c) If submitting subcontractor experience for subcontractors proposed to perform more than twenty-five percent (25%) of the total contract value, the offeror shall include a commitment signed by the offeror and subcontractor certifying that if a contract is awarded resulting from the proposal, the parties commit to joint performance as proposed.

(c)(1) If affiliate companies, sister companies, teaming arrangements, joint venture agreement, etc., proposed to perform more than twenty-five percent (25%) of the total contract value, the offeror shall submit documentation that the affiliate will perform significant and critical aspects of the contract if awarded. Documentation must include a copy of the signed arrangement (ex.

documented affiliation, a copy of the teaming agreement, a copy of the joint venture agreement).

4.0 COST/PRICE – Factor 3

For this factor, the information will be filled into the solicitation and provided in Volume V.

Compliance with these instructions is mandatory and failure to comply may result in the rejection of your proposal. Offerors shall not submit data beyond that required by these instructions.

The Offeror shall complete the fill-in information in section (a) below. Offerors shall not propose fixed fee in excess of 8%.

(a) Maximum Fee Rate – Applicable to all Task Orders (excluding the Post Award Conference)

Contractor compliance with the maximum fee rate is applicable at the time of order award and is based on the ratio of fixed fee to the estimated cost, excluding facilities capital cost of money.

Fee becomes a fixed dollar amount at the time of order award.

The Contractor agrees that the maximum Fixed Fee rate that shall be charged against all Task Order (excluding the Post Award Conference) Task Orders under this contract shall not exceed

(OFFEROR FILL IN) %.

At the task order level prime contractors may propose a fee rate less than the maximum fee rate identified above. In addition, subcontractors may not propose a fee rate that exceeds the prime’s fee rate.

NOTE: A complete Cost/Price Analysis will be completed at the task order level. Offerors may be required to provide the Government with Certified Cost or Pricing Data or Other Than Certified Cost and Pricing Data.
