CLAUSES INCORPORATED BY FULL TEXT
PAYMENT OF FIXED FEE (COMPLETION TYPE) (JAN 1989)
FIXED FEE: ___*___. The Government shall make payment to the Contractor when requested as work progresses, but no more frequently than biweekly, on account of the fixed fee, equal to ___*___ percent of the amounts invoiced by the Contractor under the “Allowable Cost and Payment” clause hereof for the related period, subject to the withholding provisions of paragraph (b) of the “Fixed Fee” clause. In the event of discontinuance of the work in accordance with clause of this contract entitled “Limitation of Funds” the fixed fee shall be redetermined by mutual agreement equitably to reflect the diminution of the work performed; the amount by which such fixed fee is less than, or exceeds payments previously made on account of fee, shall be paid, or repaid by, the Contractor, as the case may be.
*To be determined at the Task Order level. The Government will derive the offeror’s proposed fixed fee rate by taking the total proposed fixed fee amount over the total direct labor costs. The resultant fixed fee rate shall be the maximum allowable fixed fee for all task orders issued under the resultant contract for all Cost Plus Fixed Fee CLINs.
(End of clause)
PAYMENT OF FIXED FEE BASED ON STAFF-HOURS (TERM TYPE) (NOV 2003)
The fixed fee for work performed under this contract is $ TBD, provided that not less than TBD staff-hours of direct labor are so employed on such work by the Contractor. If substantially less than TBD staff-hours of direct labor are so employed for such work, the fixed fee shall be equitably reduced to reflect the reduction of work. The Government shall make payments to the Contractor when requested as work progresses, but not more frequently than biweekly, on account of the fixed fee, equal to TBD percent of the amounts invoiced by the Contractor under the “Allowable Cost and Payment” clause hereof for the related period, subject to the withholding provisions of paragraph (b) of the “Fixed Fee” clause provided that the total of all such payments shall not exceed eighty-five percent (85%) of the fixed fee. Any balance of fixed fee due the contractor shall be paid to the Contractor, and any overpayment of fixed fee shall be repaid to the Government by the Contractor, or otherwise credited to the Government, at the time of final payment.
LEVEL OF EFFORT--FEE ADJUSTMENT FORMULA (MAR 1994)
(a) Subject to the provisions of the “Limitation of Cost” or “Limitation of Funds” clause (whichever is applicable to this contract), it is hereby understood and agreed that the fixed fee is based upon the Contractor providing the below listed number of staff-hours of direct labor, hereinafter referred to as X, at the estimated cost and during the term of this contract specified elsewhere herein:
[Contracting officer insert number of estimated direct labor staff hours]
CLIN Total Staff-hours of Direct Labor (X)
The Contractor agrees to provide the total level of effort specified above in performance of work described in Sections “B” and “C” of this contract. The total staff-hours of direct labor shall include subcontractor direct labor hours for those subcontractors identified in the Contractor’s proposal as having hours included in the proposed level of effort.
(b) Of the total staff-hours of direct labor set forth above, it is estimated that [Contracting officer insert number of estimated direct staff hours identified as competitive (uncompensated overtime) hours] staff-hours are competitive time (uncompensated overtime). Competitive time (uncompensated overtime) is defined as hours provided by personnel in excess of 40 hours per week without additional compensation for such excess work. All other effort is defined as compensated effort. If no amount is indicated in the first sentence of this paragraph, competitive time (uncompensated overtime) effort performed by the contractor shall not be counted in fulfillment of the level of effort obligations under this contract.
(c) Effort performed in fulfilling the total level of effort obligations specified above shall only include effort performed in direct support of this contract and shall not include time and effort expended on such things as local travel from an employee’s residence to their usual work location, uncompensated effort while on travel status, truncated lunch periods, or other time and effort which does not have a specific and direct contribution to the tasks described in Section B.
(d) It is understood and agreed that various conditions may exist prior to or upon expiration of the term of the contract, with regard to the expenditure of labor staff-hours and/or costs thereunder which may require adjustment to the aggregate fixed fee. The following actions shall be dictated by the existence of said conditions:
(1) If the Contractor has provided not more than [Contracting officer insert percentage (usually 105%)] % of X or not less than [Contracting officer insert percentage (usually 95%)] % of X, within the estimated cost, and at the term of the contract, then the fee shall remain as set forth in Section B.
(2) If the Contractor has provided X-staff-hours, within the term, and has not exceeded the estimated cost then the Contracting Officer may require the Contractor to continue performance until the expiration of the term, or until the expenditure of the estimated cost of the contract except that, in the case of any items or tasks funded with O&MN funds, performance shall not extend beyond 30 September. In no event shall the Contractor be required to provide more than [Contracting officer insert percentage (same as first percentage in subparagraph (d)(1)] % of X within the term and estimated cost of this contract. The fee shall remain as set forth in Section B.
(3) If the Contractor expends the estimated cost of the contract, during the term of the contract and has provided less than X staff-hours, the Government may require the Contractor to continue performance, by providing cost growth funding, without adjusting the fixed fee, until such time as the Contractor has provided X staff-hours.
(4) If the Contracting Officer does not elect to exercise the Government’s rights as set forth in paragraph (d)(2) and (d)(3) above, and the Contractor has not expended more than [Contracting officer insert percentage (same as second percentage in subparagraph (d)(1)] % of X staff-hours, the fixed fee shall be equitably adjusted downward to reflect the diminution of work.
(5) Nothing herein contained shall, in any way, abrogate the Contractor’s responsibilities, and/or the Government’s rights within the terms of the contract provision entitled “Limitation of Cost” or “Limitation of Funds” as they shall apply throughout the term of the contract, based upon the total amount of funding allotted to the contract during its specified term.
(e) Within 45 days after completion of the work under each separately identified period of performance hereunder, the Contractor shall submit the following information in writing to the Contracting Officer with copies to the cognizant Contract Administration Office and DCAA office to which vouchers are submitted:
(1) The total number of staff-hours of direct labor expended during the applicable period.
(2) A breakdown of this total showing the number of staff-hours expended in each direct labor classification and associated direct and indirect costs.
(3) A breakdown of other costs incurred.
(4) The Contractor’s estimate of the total allowable cost incurred under the contract for the period.
In the case of a cost under-run, the Contractor shall submit the following information in addition to that required above:
(5) The amount by which the estimated cost of this contract may be reduced to recover excess funds and the total amount of staff-hours not expended, if any.
(6) A calculation of the appropriate fee reduction in accordance with this clause.
All submissions required by this paragraph shall include subcontractor information, if any.
(f) SPECIAL INSTRUCTION TO THE PAYING OFFICE REGARDING WITHHELD FEE
Fees withheld pursuant to the provisions of this contract, such as the withholding provided by the “Allowable Cost and Payment” and “Fixed Fee” clauses, shall not be paid until the contract has been modified to reduce the fixed fee in accordance with paragraph (d) above, except that no such action is required if the total level of effort provided falls within the limits established in paragraph (d) above.
MINIMUM AND MAXIMUM QUANTITIES (JUL 1989)
As referred to in paragraph (b) of the “Indefinite Quantity” clause of this contract, the contract minimum quantity is a total of $ 100,000 worth of orders at the contract unit price(s). The maximum quantity is the total estimated amount of the contract. The maximum quantity is not to be exceeded without prior approval of the Procuring Contracting Officer.
ALLOTMENT OF FUNDS (JAN 1989)
(a) This contract is incrementally funded with respect to both cost and fee.
(b) The amounts presently available and allotted to this contract for payment of fee, as provided in the Section I clause of this contract entitled “Fixed Fee”, are as follows:
[Contracting officer under “Items” insert the item numbers for which incremental funding is provided and under “Allotted to Fixed Fee” insert the amount of incremental funding allocated to fixed fee]
ITEM(S) ALLOTTED TO FIXED FEE
(c) The amounts presently available and allotted to this contract for payment of cost, subject to the Section I “Limitation of Funds” clause, the items covered thereby and the period of performance which it is estimated the allotted amount will cover are as follows:
[Contracting officer under “Items” insert the item numbers for which incremental funding is provided, under “Allotment of Cost” insert the amount of incremental funding allocated to total estimated cost, and under “Period of Performance” insert date by which funding expended]
ITEM(S) ALLOTTED TO COST PERIOD OF PERFORMANCE
(d) The parties contemplate that the Government will allot additional amounts to this contract from time to time by unilateral contract modification, and any such modification shall state separately the amounts allotted for cost and for fee, the items covered thereby, and the period of performance the amounts are expected to cover.
LIMITATION OF LIABILITY--INCREMENTAL FUNDING (JAN 1992)
This when specified in the task order is incrementally funded and the amount currently available for payment hereunder is limited to $ TBD at Task Order inclusive of fee. It is estimated that these funds will cover the cost of performance through TBD at Task Order. Subject to the provisions of the FAR 52.232-22 “Limitation of Funds” clause of this contract, no legal liability on the part of the Government for payment in excess of $ TBD at Task Order shall arise unless additional funds are made available and are incorporated as modifications to this contract.

Anti-Terrorism/Force Protection (AT/FP) Electronic Surveillance Systems (ESS)
1. SCOPE
1.1. The Space and Naval Warfare Systems Center Pacific (SSC PAC) Security Systems
Branch, Code 4118, has a requirement to provide life cycle sustainment, installation, integration, testing and procurement/acquisition support for Anti-Terrorism/Force Protection (AT/FP) Electronic Surveillance Systems (ESS) during their life cycle and to provide technical expertise to Naval Facilities Engineering Command (NAVFAC), Commander Naval Installation Command (CNIC), Navy Munitions Command (NMC), Naval Mine and Anti-Submarine Warfare Command (NMAWC), Strategic Weapons Facility Pacific (SWFPAC), United States Marine Corps, the Program Executive Offices (PEO), other Department of Defense (DOD) agencies, Department of Homeland Security (DHS), United States Coast Guard (USCG), Customs and Border Protection (CBP), and other Government activities as required. Specifically, Code 4118 performs the procurement, installation, integration, testing and life cycle sustainment of Naval AT/FP ESS at shore installations throughout the world. Systems/equipment and services are defined as equipment and/or systems that facilitate the detection, delay, deterrence, assessment, and response to terrorist events. Sustainment services include: preventive and corrective maintenance, interoperability, maintenance planning, supply/logistics support, testing and evaluation, reliability and maintainability, and configuration management.
1.2. AT/FP ESS systems provide the capability to receive/transmit orders, receive and process information into situational awareness displays, support command decision processes and communicate electronic data to multi-service, multi-agency nodes across the entire all-hazards/all-threats spectrum of Ashore and Afloat operations. These systems also provide all-hazard warnings to all personnel on board the installation, and others as appropriate. AT/FP ESS systems include the following:
The Regional Operations Center (ROC) and Emergency Operations Center (EOC) serves as the C4I point for information gathering, gain situational awareness, and exercise control over forces from early warning and detection of suspicious events through response and recovery.
The Regional Dispatch Center (RDC) command facility is the hub for all emergency communications between Navy citizens and the First Responders in a Navy Region.
The term RDC is intended to address the overarching RDC capability and all related subsystems within the RDC Family of Systems (FoS), to include, but not limited to, the Navy Emergency Response Management System (NERMS) and Enterprise NERMS (e-NERMS): Computer Aided Dispatch (CAD), Alarm Monitoring Automation System (AMAS), Records Management System (RMS), Mobile Data
Computers (MDC), Navy 911, E-911, and ALI, Navy Emergency Management Addressing Project (NEMAP), Geographic Information System (GIS), and the Emergency Call Management System (ECMS).
Wide-Area Alert and Notification (WAAN) systems are utilized to update and disseminate information concerning a terrorist threat or danger, or if an incident has occurred. This includes procedures and techniques necessary to counter the threat and may include civil distribution systems, audio, signage or warning signals and e-mail via Navy Marine Corps Intranet (NMCI) or NGEN wide area network of computers.
Giant Voice (GV) is part of the Wide Area Alert and Notification (WAAN) suite of systems. GV is comprised of an Outdoor Voice/Alert function and a System Control function. The outdoor alert function is intended to provide initial alert and follow-on directions to personnel not located in a building. The System Control function allows authorized personnel to operate the system manually or autonomously. The outdoor component consists of the outside speaker(s) positioned on pole(s) and buildings across the installation. The Giant Voice system is installed as a base-wide system to provide a siren signal and pre-recorded and live voice messages. In order to create the right level of sound output, multiple poles and speakers will be positioned across the installation.
Indoor Voice (IV) is part of the individual building Mass Notification Systems (MNS) and is comprised of Indoor Voice, Interior Notification, and System Control functions. The Indoor Voice (IV) function is intended to provide real-time alert and follow-on directions to personnel inside and around buildings who may or may not have direct access to a telephone or computer. The System Control function allows authorized personnel to operate the system manually or autonomously. The Interior Notification function is intended to be provided by loud speakers, warning lights, and illuminated signs or displays. Speakers are provided at all locations in and around the building at entrances/exits and other outdoor areas (such as courtyards) commonly used by the building occupants.
Automated Telephone Notification System (ATNS) provides military installations with the ability to rapidly and effectively disseminate emergency alerting and notifications throughout the telephone and data network environments, including signals or messaging appropriate to force protection conditions (FPCONs), weather conditions, watches, warnings, evacuation routes, and other alerting information to meet Department of Defense (DoD) and federal warning requirements.
Computer Desktop Notification System (CDNS) provides Navy installations with the ability to rapidly and effectively disseminate emergency alerting and notification information throughout the data networks environment, including signals or messaging appropriate to FPCONs, information operations conditions (INFOCONs), watches, warnings, evacuation routes, and other alerting information to meet DoD and federal warning requirements.
Sensor Infrastructure, Integration, and Alarm Notification. Equipment Sensors and Alarm interfaces are part of the Navy Emergency Response Management System (NERMS) Alarm Monitoring and Automation System (AMAS) located at a Regional Dispatch Center (RDC). The RDC AMAS receives signals from and continuously polls all interfaced physical security and fire alarm system equipment sensors which result in the return of alarm signals. AMAS is divided into two systems, one local and one regional (LAMAS and RAMAS). Sensors and sensor interfaces/infrastructure are installed to provide alarm notification and alarm management to all command dispatch centers. This infrastructure integrates/interfaces all existing Fire Alarm, Access Control Systems (ACS), Intrusion Detection Systems (IDS), and Central Alarm Station Receiving/Monitoring Systems with LAMAS and/or RAMAS and then interfaces LAMAS with RAMAS.
o Access Control Systems (ACS) include screening, controlling, validating, and detecting authorized and unauthorized access at entry control points to installations, piers, harbors, ships, and incident sites from land. This includes physical restraints to prevent unauthorized access through perimeter security to installations, buildings, restricted areas, piers, harbors, family housing and incident sites from land.
