1.1 BACKGROUND

The Machinery Research and Silencing Division (Code 32) of the Naval Surface Warfare Center, Philadelphia Division (NSWCPD), provides research and development services to high energy power distribution systems for shipboard use. Future naval capabilities will require a 1,000-volt direct current (VDC) electrical system in order to meet the needs of future materiel. Designing a high power, 1,000-VDC battery to serve in this system will add energy storage capacity needed for future weapons and shipboard systems. The 1,000-VDC battery will combine a newly developed and patented battery cooling technology developed by Auburn University (AU) and IntraMicron Inc. (IM) (of Auburn, Alabama) along with an established Li-ion battery producer that is owned and operated within the United States (K2 Energy of Henderson, Nevada). The Auburn University-IntraMicron-K2 team has developed bench-level battery pack prototypes under past Navy support that can be safely operated at discharge rates nearly four times greater than those currently available to the Navy.

IntraMicron Inc. (IM) and Auburn University (AU), under Contract N00014-14-C-0360, have developed and patented a battery cooling technology (i.e. MFM-PCM, microfibrous media with phase change materials) for battery packs of mid-form power Li-ion cells to be operated for extremely high pulse power applications. K2 Energy, a US Li-ion battery producer, has been developing mid-form power cells under Contract N68355-17-C-0051.

1.2 SCOPE OF WORK

The Contractor shall provide engineering and technical services required for the design, development, fabrication, test, and repair of a 1,000-VDC prototype battery system to meet the US Navy’s pulse power needs. The battery packs and the first battery system will be sent to Naval Surface Warfare Center, Crane Division (NSWC Crane) for initial test and evaluation. The Contractor shall integrate a thermal management system into a lithium ion battery in order to meet the 1,000-VDC voltage requirements.

3.0 REQUIREMENTS

3.1 Battery manufacturing and assembly.

3.1.1 The Contractor shall scale up for the microfibrous media with phase change materials (MFM-PCM) production. The Contractor will build a pilot production facility for MFM-PCM battery packs. The production facility will include the following items: (1) a fibrous stock preparation system, (2) a sintering furnace, (3) a wax infusion unit, and (4) a CNC machine. The new stock system will enable the use of coarse fibers to reduce the pack’s cost. The mold former will dramatically simplify the manufacturing procedure for the current generation of MFM-PCM cooling blocks, compared with the current production process based on MFM sheet formers. The sintering furnace will enable the continuous sintering of blocks of significant heights. The wax infusion unit will intensify the process of PCM infusion for production at a pilot level. The CNC machine will enable fast and precise machining of battery packs. The Contractor will design and build Items 1 and 3 and will specify and procure Items 2 and 4. This small pilot production facility will have the capacity to produce up to 800-1,000 battery packs annually if put into a 24-7 production scenario.

3.1.2 The Contractor shall design the 1,000-VDC battery system. The Contractor shall optimize a battery system consisting of 20-22 battery packs manufactured in via section 3.1.1. The prototype battery cabinet will be compact and consist of a Battery Management System (BMS), an electrical interface, a cooling water interface, a venting channel, safety sensors, safety controls, etc., to meet the Navy’s requirements. The Contractor will produce drawings and other engineering artifacts to support design and integration and provide them as directed under section 4.0 of this statement of work. The Contractor shall explore catalytic combustor and flame arrestor structures to render a safe venting battery as a part of this task.

3.1.3 The Contractor shall assemble a 1,000-VDC battery system in their facility. The Contractor shall ship the first battery system (1,000-VDC) for test and evaluation to NSWC Crane. 11.0 ECRAFT

NSWCPD ELECTRONIC COST REPORTING AND FINANCIAL TRACKING (ECRAFT) SYSTEM

(a) The Contractor agrees to upload the Contractor's Funds and Man-hour Expenditure Reports in the Electronic Cost Reporting and Financial Tracking (craft) System. The eCRAFT Reports must use the standardized labor categories identified in Section C - Statement of Work. Compliance with this requirement is a material requirement of this contract. Failure to comply with this requirement may result in contract termination.

(b)The Contractor's Funds and Man-hour Expenditure Report reports contractor expenditures for labor, materials, travel, subcontractor usage, and other contract charges.

(c) The contractor agrees to provide supporting accounting system reports, at the Contracting Officer’s request, based on the review of the invoice documentation submitted to eCRAFT. This documentation will include reports such as the Job Summary Report (or equivalent), Labor Distribution Report (or equivalent), and General Ledger Detail Report (or equivalent). Supporting labor data provided must include unburdened direct labor rates for each employee and labor category. Cost breakdowns for ODCs, Materials, travel and other non-labor costs must be at the transactional level in sufficient detail so the Government can review allocability to the contract/Task Order. Indirect costs allocated to direct costs must be shown at the lowest level of detail sufficient to reconcile each indirect rate to the appropriate allocation base.

On invoices containing subcontractor costs, the prime contractor agrees, at the Contracting Officer’s request, to attach as supporting documentation all invoices received from subcontractors, unless the subcontractor submits invoices directly to the CO and COR. This requirement applies to all subcontract types (Cost, FFP, etc.).

(d) The contractor shall submit its reports on the same day it submits an invoice in iRAPT. The costs reflected in eCRAFT shall be the same as those in iRAPT. eCRAFT acceptance/rejection will be indicated by e-mail notification from eCRAFT.

(e) The eCRAFT Periodic Report Utility (ePRU) is an Excel tool used to facilitate generating reports of expenditures-against-cost contracts. The generated XML files will then be submitted by the ePRU tool via https://www.pdrep.csd.disa.mil/pdrep_files/other/ecraft.htm for submission into the eCRAFT Database Management System.

The ePRU spreadsheet and user manual can be obtained from the NUWC Division Newport Contracts Home Page under eCRAFT information at:

HQ C-2-0002 ACCESS TO PROPRIETARY DATA OR COMPUTER SOFTWARE

(NAVSEA) (JUN 1994)

(a) Performance under this contract may require that the Contractor have access to technical data, computer software, or other sensitive data of another party who asserts that such data or software is proprietary. If access to such data or software is required or to be provided, the Contractor shall enter into a written agreement with such party prior to gaining access to such data or software. The agreement shall address, at a minimum, (1) access to, and use of, the proprietary data or software exclusively for the purposes of performance of the work required by this contract, and (2) safeguards to protect such data or software from unauthorized use or disclosure for so long as the data or software remains proprietary. In addition, the agreement shall not impose any limitation upon the Government or its employees with respect to such data or software. A copy of the executed agreement shall be provided to the Contracting Officer. The Government may unilaterally modify the contract to list those third parties with which the Contractor has agreement(s).

(b) The Contractor agrees to: (1) indoctrinate its personnel who will have access to the data or software as to the restrictions under which access is granted; (2) not disclose the data or software to another party or other Contractor personnel except as authorized by the Contracting Officer; (3) not engage in any other action, venture, or employment wherein this information will be used, other than under this contract, in any manner inconsistent with the spirit and intent of this requirement; (4) not disclose the data or software to any other party, including, but not limited to, joint venturer, affiliate, successor, or assign of the Contractor; and (5) reproduce the restrictive stamp, marking, or legend on each use of the data or software whether in whole or in part.

(c) The restrictions on use and disclosure of the data and software described above also apply to such information received from the Government through any means to which the Contractor has access in the performance of this contract that contains proprietary or other restrictive markings.

(d) The Contractor agrees that it will promptly notify the Contracting Officer of any attempt by an individual, company, or Government representative not directly involved in the effort to be performed under this contract to gain access to such proprietary information. Such notification shall include the name and organization of the individual, company, or Government representative seeking access to such information.

(e) The Contractor shall include this requirement in subcontracts of any tier which involve access to information covered by paragraph (a), substituting "subcontractor" for "Contractor" where appropriate.

(f) Compliance with this requirement is a material requirement of this contract.

HQ C-2-0011 COMPUTER SOFTWARE AND/OR COMPUTER DATABASE(S) DELIVERED TO AND/OR

RECEIVED FROM THE GOVERNMENT (NAVSEA) (APR 2004)

(a) The Contractor agrees to test for viruses all computer software and/or computer databases, as defined in the clause entitled "RIGHTS IN NONCOMMERCIAL COMPUTER SOFTWARE AND NONCOMMERCIAL COMPUTER SOFTWARE DOCUMENTATION" (DFARS 252.227-7014), before delivery of that computer software or computer database in whatever media and on whatever system the software is delivered. The Contractor warrants that any such computer software and/or computer database will be free of viruses when delivered.

(b) The Contractor agrees to test any computer software and/or computer database(s) received from the Government for viruses prior to use under this contract.

(c) Unless otherwise agreed in writing, any license agreement governing the use of any computer software to be delivered as a result of this contract must be paid-up and perpetual, or so nearly perpetual as to allow the use of the computer software or computer data base with the equipment for which it is obtained, or any replacement equipment, for so long as such equipment is used. Otherwise the computer software or computer database does not meet the minimum functional requirements of this contract. In the event that there is any routine to disable the computer software or computer database after the software is developed for or delivered to the Government, that routine shall not disable the computer software or computer database until at least twenty-five calendar years after the delivery date of the affected computer software or computer database to the Government.

(d) No copy protection devices or systems shall be used in any computer software or computer database delivered under this contract to restrict or limit the Government from making copies. This does not prohibit license agreements from specifying the maximum amount of copies that can be made.

(e) Delivery by the Contractor to the Government of certain technical data and other data is now frequently required in digital form rather than as hard copy. Such delivery may cause confusion between data rights and computer software rights. It is agreed that, to the extent that any such data is computer software by virtue of its delivery in digital form, the Government will be licensed to use that digital-form data with exactly the same rights and limitations as if the data had been delivered as hard copy.

(f) Any limited rights legends or other allowed legends placed by a Contractor on technical data or other data delivered in digital form shall be digitally included on the same media as the digital-form data and must be associated with the corresponding digital-form technical data to which the legends apply to the extent possible. Such legends shall also be placed in human-readable form on a visible surface of the media carrying the digital-form data as delivered, to the extent possible.

"Person" as used herein includes Corporations, Partnerships, Joint Ventures, and other business enterprises.

(b) The Contractor warrants that to the best of its knowledge and belief, and except as otherwise set forth in the contract, the Contractor does not have any organizational conflict of interest(s) as defined in paragraph (a).

(c) It is recognized that the effort to be performed by the Contractor under this contract may create a potential organizational conflict of interest on the instant contract or on a future acquisition.
