52.209-11 REPRESENTATION BY CORPORATIONS REGARDING DELINQUENT TAX LIABILITY OR A

FELONY CONVICTION UNDER ANY FEDERAL LAW (FEB 2016)

(a) As required by sections 744 and 745 of Division E of the Consolidated and Further Continuing Appropriations Act, 2015 (Pub. L. 113-235), and similar provisions, if contained in subsequent appropriations acts, the Government will not enter into a contract with any corporation that--

(1) Has any unpaid Federal tax liability that has been assessed, for which all judicial and administrative remedies have been exhausted or have lapsed, and that is not being paid in a timely manner pursuant to an agreement with the authority responsible for collecting the tax liability, where the awarding agency is aware of the unpaid tax liability, unless an agency has considered suspension or debarment of the corporation and made a determination that suspension or debarment is not necessary to protect the interests of the Government; or

(2) Was convicted of a felony criminal violation under any Federal law within the preceding 24 months, where the awarding agency is aware of the conviction, unless an agency has considered suspension or debarment of the corporation and made a determination that this action is not necessary to protect the interests of the Government.

(2) It is [ ] is not [ ] a corporation that was convicted of a felony criminal violation under a Federal law within the preceding 24 months.

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

1. Conformance to Essential Characteristics

2. Design Quality and Capabilities

3. Past Performance

4. Cybersecurity

5. Small Business Subcontracting Plan

6. Price

(b) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

(c) The Government will award one contract resulting from this solicitation to the responsible quoter whose quote, conforming to the solicitation, will be the best value offered to the Government, price and other factors considered. This solicitation will use price trade-off source selection procedures to make a best value award decision considering the following factors: Design Quality and Capabilities; Past Performance; and Price. The Government reserves the right to pay a premium for Design Quality and Capabilities and/or Past Performance benefiting the Government. The Essential Characteristics response shall provide sufficient detail for the Government to determine whether the quote satisfactorily meets all requirements outlined in the “Essential Characteristics” section of the solicitation. Statements that the quoter understands, can or will comply with all specifications, or statements paraphrasing the specifications of parts thereof, or phrases such as “standard procedures will be used” or “wellknown techniques will be used,” will be considered insufficient. In order for a quote to be considered for award, it shall receive a “pass” rating for the Conformance to Essential Characteristics evaluation factor, see Essential Characteristics. In addition, quoters that cannot provide all of the required items by the required delivery date will not be considered for award. The factors identified below will be used to evaluate quotes with a technical/risk rating and a performance recency/relevancy and confidence assessment, respectively, assigned as noted below. The Administrative/Business volume will be reviewed to ensure consistency with the solicitation and will not receive an evaluation rating.

1. FACTOR 1: CONFORMANCE TO ESSENTIAL CHARACTERISTICS: Quoters that do not meet all requirements outlined in the “Essential Characteristics” section of the solicitation will not be further considered for award unless there are no other technically acceptable quoters. This will be rated either Pass or Fail.

2. FACTOR 2: DESIGN QUALITY AND CAPABILITIES: The following technical/risk ratings will be used in evaluating the quoter’s Design Quality and Capabilities response:

COMBINED TECHNICAL/RISK RATINGS

ADJECTIVAL
DEFINITION
OUTSTANDING
Quote indicates an exceptional approach and understanding of the requirements and contains multiple strengths, and risk of unsuccessful performance is low.
GOOD
Quote indicates a thorough approach and understanding of the requirements and contains at least one strength, and risk of unsuccessful performance is low to moderate.
ACCEPTABLE
Quote meets requirements and indicates an adequate approach and understanding of the requirements, and risk of unsuccessful performance is no worse than moderate.
MARGINAL
Quote has not demonstrated an adequate approach and understanding of the requirements, and/or risk of unsuccessful performance is high.
UNACCEPTABLE
Quote does not meet requirements of the solicitation, and thus, contains one or more deficiencies, and/or risk of unsuccessful performance is unacceptable. Quote is unawardable.

Strength is an aspect of a quote that has merit or exceeds specified performance or capability requirements in a way that will be advantageous to the Government during contract performance.

Weakness means a flaw in the quote that increases the risk of unsuccessful contract performance.

Deficiency is a material failure of a quote to meet a Government requirement or a combination of significant weaknesses in a quote that increases the risk of unsuccessful contract performance to an unacceptable level.

Risk, as it pertains to source selection, is the potential for unsuccessful contract performance. The consideration of risk assesses the degree to which a quoter’s proposed approach to achieving the technical factor or subfactor may involve risk of disruption of schedule, degradation of performance, the need for increased Government oversight, and the likelihood of unsuccessful contract performance.

3. FACTOR 3: PAST/PRESENT PERFORMANCE: Evaluation of past performance will be subjective and will take into consideration recency and relevancy of the past performance information provided by the quoter, as well as: (1) the functional performance of the proposed or similar units that the quoter has delivered to previous customers, and (2) the quality and timeliness of the technical assistance and hardware that the quoter has supplied to its customers following the initial fielding of those systems. In evaluating past performance, the Government may consider and use any information from its own files, databases, references provided by the quoter, or from any source, as it deems appropriate. Providing incorrect references may affect the overall rating. If a quoter does not have a past performance history relating to the solicitation, the quoter will not be evaluated favorably or unfavorably, and a neutral rating will be assigned for this factor. A quoter’s past performance record will also be used for the responsibility determination to be made by the Contracting Officer.

3.1. Evaluation of past performance will be a two-step process. First, the quoter’s past performance will be evaluated to determine how recent and relevant an effort accomplished by the quoter is to the effort to be acquired through this solicitation. To be recent, quoters shall provide past performance for up to three contracts for the last three (3) years, up to three (3) PPISs, or three (3) PPISs for delivery starting with the most recent contracts for which delivery occurred at least three (3) months prior to the closing date of this solicitation. The following definitions will be used to determine relevancy for purposes of this solicitation:

PAST/PRESENT PERFORMANCE RELEVANCY RATINGS

RATING
DESCRIPTION
RELEVANT
Present/past performance effort involved similar scope (sterilization equipment) and magnitude of effort and complexities this solicitation requires (the provision and installation of steam sterilizers and/or washer/decontamination units).
NOT RELEVANT
Present/past performance effort involved little or none of the scope (sterilization equipment) and magnitude of effort and complexities this solicitation requires (the provision and installation of steam sterilizers and/or washer/decontamination units).

3.2. The second step will be to assign a performance confidence assessment based on how well the quoter performed on previous requirements. The following confidence ratings will be used:

PERFORMANCE CONFIDENCE ASSESSMENTS

RATING
DESCRIPTION
SUBSTANTIAL CONFIDENCE
Based on the quoter’s relevant performance record, the Government has a high expectation that the quoter will successfully perform the required effort.
SATISFACTORY CONFIDENCE
Based on the quoter’s relevant performance record, the Government has a reasonable expectation that the quoter will successfully perform the required effort.
LIMITED CONFIDENCE
Based on the quoter’s relevant performance record, the Government has a low expectation that the quoter will successfully perform the required effort.
NO CONFIDENCE
Based on the quoter’s relevant performance record, the Government has no expectation that the quoter will be able to successfully perform the required effort.
UNKNOWN CONFIDENCE (NEUTRAL)
No relevant performance record is available or the quoter’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned.

4. FACTOR 4: CYBERSECURITY: This will be rated either Pass or Fail. The Government will evaluate the capability of the proposed system to meet Navy cybersecurity requirements. This evaluation will be based on the information provided in the completed Blue Section of the MDRA Questionnaire. Not submitting a completed MDRA Questionnaire will result in a Fail rating.

5. FACTOR 5: SMALL BUSINESS SUBCONTRACTING PLAN: This will be rated either Pass or Fail. The Government will evaluate whether the proposed small business subcontracting plan meets all FAR and DFARS requirements. As noted in the Addendum to FAR 52.212-1, if no services/supplies are subcontracted, quoters shall submit a statement on company letterhead indicating such and explaining why subcontracting is not possible. Not submitting a plan or a statement on company letterhead, as noted above, will result in a Fail rating.

6. FACTOR 6: PRICE: This factor will not receive an evaluation rating. The Pricing volume will be examined to determine the degree to which the grand total proposed price for all items compares to the price a reasonable prudent person would expect to incur for the same or similar items. The grand total proposed price will be the sum of the unit prices for each CLIN. FAR 52.219-4 Notice of Price Evaluation Preference for HUBZone Small Business Concerns will also be applied.

7. The Government intends to evaluate quotes and award a contract without discussions with quoters. Therefore, the quoter's initial quote should contain the quoter's best terms. The Government reserves the right to conduct discussions if the Contracting Officer later determines them to be necessary. Further, if the Contracting Officer determines that discussions are necessary and if the Contracting Officer determines that the number of quotes that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the Contracting Officer may limit the number of quotes in the competitive range to the greatest number that will permit an efficient competition among the most highly rated quotes.

(End of Provision)

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (DEC 2019) ALTERNATE I (OCT 2014)
