About this file

This is a Sole Source Justification Memorandum issued by the Naval Surface Warfare Center Panama City Division (NSWC-PCD), Code 024, for a firm fixed price contract with Waterloo Optics Company. The contracting activity is located at 110 Vernon Ave., Panama City, FL 32407. The acquisition will be conducted using simplified acquisition procedures with a total estimated value greater than $25,000 and will be synopsized on sam.gov.

The government requires four line items: five Motor for Optical Scanner units (SP0005-3) with enhanced aluminum mirrors featuring a 14-week lead time per RSP005 document specifications; two Phase Lock Controller units (OD0002-1) with a 14-week lead time per ROD0002 document specifications; one Non-Recurring Engineering fee for development of the motor and controllers (required for the first order only); and after-sale support/consulting services anticipated at 16 hours per quarter, with the first quarter quoted in this justification. Waterloo Optics Company is the sole source capable of meeting requirements because it acquired Mirada, Incorporated, the original manufacturer of the motor-driven polygon optical scanners used in the ALIS system prototype equipment. Only Waterloo Optics possesses the exclusive knowledge, drawings, and data rights necessary to build custom motor scanners meeting the government's specifications for scanner speed, velocity stability, encoder resolution, position output, coating requirements, reflectivity, stream capability, and scanner motor controller synchronization integration. The Contracting Officer determined that sole source award represents the best value and lowest overall cost alternative to meet the government's needs, with no expectation of significant savings through competition.

MEMORANDUM

Subj: SOLE SOURCE JUSTIFICATION MEMORANDUM FOR WATERLOO OPTICS

ITEMS

1. Identification of the agency and the contracting activity, and specific identification of the document as a “Sole Source Justification.”

This is a sole source justification. Contracting activity is NSWC-PCD, Code 024, 110 Vernon Ave., Panama City, FL, 32407.

2. Nature and/or description of the action being approved.

This action will award a firm fixed price contract to Waterloo Optics Company for the items listed in Paragraph 3 of this document.

3. A description of the supplies or services required to meet the agency’s needs (including the estimated value).

Line Item Description Qty.

1 SP0005-3 Motor for Optical Scanner, per RSP005 document. Lead time 14 weeks. Enhanced Aluminum mirror

2 OD0002-1 Phase Lock Controller, per ROD0002 document. Lead time 14 weeks.

3 NRE Non Recurring Engineering fee for development of Motor for Optical Scanner and controllers noted above.

Required for orders of above items (first order only)

4 After Sale Support After sale support / consulting. Anticipated to be 16 hrs / quarter. First quarter quoted here

This acquisition will be conducted using simplified acquisition procedures with a total estimated value greater than $25,000. The Government's minimum needs have been verified by the certifying technical and requirements personnel. This memo does not authorize acquisition for other requirements.

4. Identification of the justification rationale and, if applicable, a demonstration of the proposed contractor’s unique qualifications to provide the required supply or service. 10 U.S.C. 2304(c) - Only one responsible source and no other supplies or services will satisfy agency requirements, FAR 6.302-1.

The Naval Surface Warfare Center Panama City Division (NSWC PCD) currently has a requirement for an improved optical motor driven polygon optical scanner that the ALIS system utilizes. The improvement of stability and tracking will increase resolution and improve image quality. This will greatly increase EO ATR capability on board and mission modularity. These custom scanners fit to the specific size in the existing system and follow required scanner speed and velocity stability, encoder resolution and position output, coating environment requirement and coating reflectivity, stream capability, and scanner motor controller sync capability integration.

The Waterloo Optics Company purchased Mirada, Incorporated who initially built the motor driven polygon optical scanners that the project utilizes in their prototype equipment. Choosing a different brand would require a redesign of system and compromising in motor specification tolerance. Only Waterloo Optics Company has the knowledge, drawings, and data rights to the previously supplied items and as a result are the only source who can build the custom motor scanners that the Government is needing.

As such, the government does not expect significant savings through competition and it is more advantageous to the Government to award on a sole source basis to the Waterloo Optics Company for the item(s) listed in Paragraph 3 of this document.

5. A determination by the ordering activity contracting officer that the order represents the best value consistent with FAR 13.106-1(b).

The Contracting Officer has determined that the order represents the best value and results in the lowest overall cost alternative (considering price, special features, administrative costs, etc.) to meet the Government’s needs.

6. A description of the market research conducted among schedule holders and the results or a statement of the reason market research was not conducted.

For the reasons specified in paragraph 4 above, Waterloo Optics Company is the only source that can meet the Government’s needs. This requirement will be synopsized in the government point of entry sam.gov because it is estimated greater than $25,000.00.

7. Any other facts supporting the justification.

None.

8. A statement of the actions, if any, the agency may take to remove or overcome any barriers that led to the restricted consideration before any subsequent acquisition for the supplies or services is made.

As stated in paragraph 4 above, Waterloo Optics Company is the only source that can meet this requirement.
