About this file
This document is a Justification and Approval (J&A) for a sole source contract. The Naval Surface Warfare Center, Panama City Division (NSWC PCD) intends to award an Indefinite Delivery-Indefinite Quantity (IDIQ) contract to Ocean Aero, Inc. for two TRITON Unmanned Autonomous Underwater and Surface Vehicle (AUSV) systems, with an option for up to three additional systems. The procurement includes government acceptance testing, technical support, configuration maintenance, spare components, and life-cycle repair services for U.S. Navy-owned units.
The sole source justification is based on Ocean Aero being the original equipment manufacturer (OEM) and sole developer of the TRITON AUSV system, possessing proprietary data and specialized knowledge. Market research included a sources sought notice and synopsis on sam.gov, which revealed no other technically capable providers. The estimated total contract cost is redacted, and the procurement will be funded through Research, Development, Test and Evaluation (RDT&E) funds. The contract is being awarded under 10 U.S.C. 3204(a)(1), which allows procurement from only one responsible source when no other supplies or services will satisfy agency requirements.

ANNEX 1 - JUSTIFICATION AND APPROVAL
6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable
A sources sought notice (N61331-24SN-Q08) was published on the Government point of entry sam.gov website from 22 December 2023 to 10 January 2024, per DFARS PGI 206.302-1. Apart from Ocean Aero, Inc. the Government received a response from Janus Marine and Defense LLC. The Government thoroughly reviewed the response from Janus Marine and Defense LLC and found this company was not technically capable because only provides integrated logistics support services; as well as for the reasons stated above in paragraph five. In addition, a synopsis was published in Sam.gov from 20 March 2024 to 19 April 2024, expressing the Government’s intent to award on a sole source basis to Ocean Aero, Inc. No other companies expressed an interest or responded to the synopsis. No additional market research was conducted because it is not practicable, for the reasons discussed in paragraph five above, for any company other than Ocean Aero, Inc. to provide the TRITON system and auxiliary services.
7. Determination of Fair and Reasonable Cost
The Contracting Officer has determined that the anticipated prices to the Government for the supplies/services covered by the J&A will be fair and reasonable.
8. Actions to Remove Barriers to Future Competition
For the reasons set forth in Paragraph 5, NSWC PCD has no plans to compete future contracts for the types of supplies and services covered by this document. If another potential source emerges, NSWC PCD will assess competition options for future requirements.
