JUSTIFICATION AND APPROVAL

FOR USE OF OTHER THAN FULL AND OPEN COMPETITION

1. Contracting Activity

The Naval Sea Systems Command (NAVSEA), Naval Surface Warfare

Center, Panama City Division (NSWC PCD), 110 Vernon Avenue, Panama City, FL 32407-7001, Contracts Department, .

2. Description of the Action Being Approved

Award of an indefinite delivery indefinite quantity (IDIQ) contract on a sole source basis to Oceanic Imaging Consultants

(OIC), Incorporated (CAGE Code: 1L1K6) of 1144 10th Ave Ste 200, Honolulu, HI, 96816-2442 for Maritime Data Collection Program

(MDCP) software support. This contract will include a base year of twelve months and four twelve month option periods.

3. Description of Supplies/Services

The Contractor shall, as specified in individual orders to be issued under the IDIQ contract, provide engineering and technical support to: 1) trouble shoot and service the Mission

Planning Execution (MPE), CleanSweep and various Geophysical

Data Acquisition System (GeoDAS) applications; 2) modify the

MPE, Clean Sweep and various GeoDAS application; 3) develop, implement and test new software features and improve the performance of the MDCP system equipment; 4) provide algorithm development, implementation, and testing; 5) perform regression testing of modifications, maintenance changes and new features, and; (6) provide training on the software. The certifying technical and requirements personnel have verified the

Government’s minimum needs. The total estimated value of the effort is over the five-year period of performance.

The effort will be funded with Fiscal Year (FY) 2016, 2017, 2018, 2019 and 2020 in the types and estimated amounts shown in the below table.

4. Statutory Authority Permitting Other Than Full and Open

5. Rationale Justifying Use of Cited Statutory Authority

Oceanic Imaging Consultant, Inc is the leading manufacturer in easy to use seafloor mapping software systems. OIC’s software provides critical solutions to seafloor imaging problems. NSWC

PCD currently maintains six of these systems, which are being installed in the fleet. The MDCP uses seven different Oceanic

Imaging Consultants (OIC) proprietary software applications in each system. In addition, NSWC PCD uses two analysis applications developed by OIC to verify proper operation of the system following at-sea tests. This requirement is to provide software maintenance from OIC for each of the currently licensed applications and provide a means of developing enhancements, design changes and new features to the OIC software applications based on Fleet operational feedback. The OIC commercially available software applications have been modified and enhanced specifically for the MDCP, and the MDCP cannot operate without them. There is no other option to purchase these software maintenance licenses except through the original developer, OIC.

Additionally, both the system software and the analysis applications are unique items with proprietary aspects where only OIC has the detailed software design knowledge, background, and experience to provide enhancements and design changes.

Therefore, OIC is the only source capable of meeting the requirements of the MDCP.

6. Description of Efforts Made to Solicit Offers from as Many

Offerors as Practicable

This requirement will be advertised on the Federal Business

Opportunities (FEDBIZOPPS) website per FAR 5.2. A sources sought/synopsis announcement was posted to FEDBIZOPS on 21

September 2015 for the purposes of conducting market research.

The notice also expressed the government’s intent to contract on a sole source basis. In addition to Oceanic Imaging Consultants, a response was received from EvBase Technologies Inc. Technical

Representatives of NSWC PCD reviewed the capability statement and determined that EvBase Technologies Inc. could not satisfy the requirement. No additional market research was conducted because it is not practicable, for the reasons discussed in paragraph 5 above, for any company other than OIC to provide the required supplies and services.

7. Determination of Fair and Reasonable Costs

The Contracting Officer has determined the anticipated cost to the Government for the supplies and services covered by the J&A will be fair and reasonable. Similar services to this requirement have been purchased from this contractor in the past and cost and pricing information was received on those procurements.

This information should be sufficient to support the fair and reasonable price determination of this procurement.

8. Actions to Remove Barriers to Competition

NSWC PCD awarded a contract for development of a replacement system for the Maritime Data Collection Program (MDCP) system that will be delivered in the FY 2017 - 2018 timeframe. This new system is scheduled to replace the existing system in

2020. Until that time, the software developed by OIC is embedded in the current system and cannot be replaced. The cost to replace the existing software at this point would be duplicative and result in unacceptable mission impact as well and is not in the best interest of the Government.
